They were part of a broader plan involving creditors and aircraft lessor AerCap—not the sole cause of Azul’s emergence.
What role did United and American play?
Azul announced restructuring support agreements on May 28, 2025, with key stakeholders that included bondholders, AerCap, United, and American. In a later filing, Azul described investment agreements with United and American providing aggregate commitments of approximately US$200 million. The airlines participated as strategic investors; Azul’s disclosures place their support within a wider restructuring effort.
The plan also involved debt equitization, new equity, long-term exit notes, a settlement with lessors, and changes to the fleet. AerCap, Azul’s largest aircraft lessor, and creditors were important participants. The disclosed airline commitments therefore should not be treated as the entire financing package or as evidence that either airline alone financed the restructuring.
How did the announced framework compare with the completed restructuring?
The figures changed in scope and status as Azul moved from its initial announcement to emergence. The May 2025 amounts were terms or expectations in the announced support framework; the February 2026 figures were results Azul reported when it emerged.

These figures are not interchangeable: the initial “up to” equity financing amount, the airlines’ later aggregate investment commitments, and the Senior Notes raised at emergence refer to different parts of the restructuring. The reported reductions and fundraising amounts are Azul’s figures, not independent estimates of the company’s future financial performance.
When did the court approve the plan, and when did Azul emerge?
- May 28, 2025: Azul announced restructuring support agreements and its initial financing framework.
- December 19, 2025: The bankruptcy court confirmed Azul’s reorganization plan.
- February 20, 2026: Azul reported that the plan had become effective and that it had emerged from Chapter 11, following repayment of its debtor-in-possession financing and settlement of its share offering.
Did Azul keep operating during Chapter 11?
Yes. In its May 2025 announcement, Azul said flights, ticket sales, existing tickets, loyalty points, and customer benefits would continue during the process. Azul also said it continued operating during Chapter 11. The restructuring was a court-supervised financial reorganization, not an announcement that the airline had stopped flying.

What the airline investments do—and do not—establish
The investment commitments show that United and American participated in the restructuring as strategic investors. Alongside the support of creditors and AerCap, that participation formed part of the broader plan that reorganized Azul’s debt and leases, brought in capital, and included fleet changes. It does not, by itself, establish how the company will perform financially after emergence or prove that its long-term stability is assured.
