Depending on its legal structure, the token may represent a rights-bearing security, an interest or claim connected to shares held by an intermediary, or a contract that tracks a stock’s price without giving the holder rights against the company. The blockchain record describes how the token is represented or transferred; the offering’s legal terms determine what the investor owns.
What “tokenized stock” means
A tokenized security is a financial instrument—such as a stock, bond, or fund interest—formatted as or represented by a crypto asset recorded on a blockchain or similar distributed ledger. “Tokenized stock” therefore describes a digital form or arrangement, not one fixed legal product.

The distinction matters because two tokens that refer to the same public company can give their holders very different rights. One may be the company’s own tokenized security. Another may be issued by a third party and tied to shares held in custody or to an investor’s security entitlement. A third may simply offer contractual exposure to the stock’s price. The token’s name, ticker, blockchain address, and price movement do not by themselves tell you which arrangement applies.
In practical terms, ask two separate questions: what is recorded on the blockchain, and what legal claim does the holder receive? The first concerns the token and its transfer mechanics. The second concerns the rights, obligations, and records established by the offering documents and applicable law.

What the investor may actually own
There are three useful categories for understanding a tokenized-stock offering. They describe possible legal structures, not labels that every provider uses consistently.
1. A tokenized security carrying share rights
An issuer may tokenize its own security. In a rights-bearing model, the tokenized instrument can carry the same legal rights as a traditional share of the same class, including voting, dividends, and ownership. The relevant question is not merely whether the issuer calls it a share, but whether the legal documents and ownership records establish those rights.
Even where rights are intended to match those of a conventional share, examine how the arrangement works in practice. The terms should explain who is recognized as the holder, how ownership is recorded, and how voting and corporate actions are administered. A digital representation does not remove the need to establish the legal connection between the token and the security.

2. A custodial claim or security entitlement
A third party may issue a token connected to securities it holds in custody or to investors’ security entitlements. In that structure, the token holder may have a claim or entitlement involving an intermediary, while the intermediary holds the referenced shares. Do not automatically describe the holder as a direct shareholder of the company: the legal relationship may run through the issuer of the token, a custodian, or another intermediary.

That distinction makes the custody and recordkeeping arrangements important. The offering documents should identify who holds any underlying shares, what the token holder’s claim is against, and how the holder’s interest is recorded. They should also explain what happens if an intermediary fails and whether shares are segregated or otherwise treated in a specified way. If those terms are unclear, a price that closely follows the stock does not fill the gap.
3. Synthetic or linked price exposure
A token can track a stock’s price and provide economic exposure without granting the holder legal or beneficial ownership of the referenced shares. In this model, the holder may have contractual rights against the token issuer or another counterparty, but no claim or rights against the company whose stock the token references.
That means price exposure and share ownership are different things. A token may move with a stock’s price yet provide no vote, dividend right, or direct claim against the company. The terms must say whether a payment linked to a dividend or another corporate action is owed, and by whom; price correlation alone does not establish that the holder receives the company’s dividend.

- Who issued the token? Is the issuer the company whose stock is referenced, or a separate firm? Identify the legal entity named in the offering documents, not just the platform or brand through which a token is displayed.
- What does the holder receive? Look for an explicit description of whether the instrument is the share itself, a security entitlement or custodial claim, or contractual economic exposure. If the documents use broad phrases such as “backed by” or “linked to,” find the clause that defines the holder’s actual legal claim.
- Who holds any underlying shares? If a custodian or intermediary is involved, identify it and review the provisions on custody, recordkeeping, and segregation. Check what the documents say about the investor’s rights if that intermediary fails.
- Which rights are expressly granted? Search the terms for voting, dividends, and other corporate actions. Determine who administers each right and whether it passes through to token holders, is exercised by an intermediary, or is not provided.
- What are the transfer, redemption, and eligibility rules? Check who may hold the token, where it may be transferred, whether transfers are restricted, and whether redemption is available. The rules may depend on the offering and the investor’s jurisdiction.
- What does a blockchain transfer change legally? Find out whether transferring the token updates the relevant ownership record or transfers control of the security or entitlement. A change in the blockchain record alone does not prove that legal ownership or a security entitlement changed hands.
- Which law and regulatory arrangements apply? Review the governing-law and jurisdiction provisions, along with any stated venue or regulatory conditions. Do not assume that a token available through one service is available to every investor or treated identically in every location.
When the answers are not clear in the documents, treat the legal nature of the investment as unresolved rather than inferring ordinary shareholder rights from marketing language or market behavior.
How blockchain transfer relates to legal ownership
A blockchain can provide a record of token transfers, but the existence of that record does not, by itself, settle whether a legally effective transfer of the underlying security or entitlement occurred. The connection depends on how the instrument is structured, how its ownership is recorded, and the applicable law.
This is why a token transfer and a change in the legally relevant ownership record should not be assumed to be interchangeable. A transfer may move a digital asset between blockchain addresses while other documents, records, or intermediary arrangements determine who holds the security or entitlement. Conversely, a structure may be designed so that the token transfer is part of the legally effective transfer process. The offering must explain which is true.
The SEC Division of Corporation Finance’s January 28, 2026 staff statement discusses assumptions about effective transfers of control or ownership, while recognizing that legal treatment depends on structure and applicable law. The statement is staff guidance, not binding law. It does not provide a universal answer for every token or replace review of a particular offering’s terms.

Rights to check before treating a token like a share
For a conventional share comparison, focus on the rights and mechanisms that make the holder a shareholder, rather than on whether the token trades at a similar price. The following distinctions can change what an investor can do or claim.
- Ownership: Does the instrument confer legal ownership of the share, an entitlement through an intermediary, or only contractual exposure?
- Voting: Does the holder receive voting rights? If an intermediary or another party votes, do the documents explain how instructions are collected and acted upon?
- Dividends and other corporate actions: Do the terms grant a right to dividends or other distributions, or merely describe a payment linked to them? Identify who is obligated to make any payment.
- Custody and records: If shares are held by a custodian, determine who maintains the relevant records and what protection or claims the documents describe if an intermediary fails.
- Transfer and redemption: Can the token be transferred, and under what conditions? Is redemption offered, and what does it exchange the token for? Do not assume that being able to send a token to another address means it can be redeemed for a share.
- Issuer relationship: Does the investor have rights against the company whose stock is referenced, against the token issuer or intermediary, or both? Identify the legal counterparty for each promise.
These are not cosmetic differences. They define whether the token functions as a security with shareholder rights, an intermediary-based interest, or a contract whose value references a stock.

Federal Reserve capital-treatment FAQs
The Federal Reserve Board’s FAQs on capital treatment, last updated March 5, 2026, address eligible tokenized securities that confer legal rights identical to their non-tokenized form. The FAQs expressly leave out tokenized securities that do not confer identical legal rights, including legal ownership rights. This is a capital-treatment document with a defined scope—not a general finding that all tokens referencing stocks are equivalent to shares.
SEC temporary, conditional relief announced in September 2026
In September 2026, the SEC announced temporary, conditional exemptive relief for certain venues trading tokenized National Market System stock. The announcement describes conditions that include verifying that the tokenized stock gives holders the same rights and privileges as equivalent traditional stock. It also describes notice to, and an opportunity for, the underlying issuer to object before an unaffiliated third party tokenizes that issuer’s stock for venue trading.
The relief is limited and conditional. It does not establish that every token marketed as stock meets those conditions, that every venue qualifies, or that a product is available to every investor. For an investor assessing a specific token, the product’s documents and the conditions applicable to its venue still matter.

On March 9, 2026, Nasdaq announced an equity-token design initiative that it described as intended to put public companies at the center of ownership rights, investor experience, transparency, and governance. Those are Nasdaq’s stated aims, not independently verified results or a guarantee that a product is available to investors. An announced design direction should not be confused with an existing token’s legal rights.
A practical decision rule
Before deciding that a tokenized stock gives you what you expect from a share, write down the answers to three questions: What is my legal claim? Who must honor it? What rights can I exercise? If the documents establish ownership or a security entitlement, identify the records and intermediary arrangements that support it. If they promise only price-linked exposure, assess it as a contract rather than treating it as a share. If the documents do not clearly answer these questions, do not infer the answer from the token’s ticker, trading price, or blockchain activity.
The word “tokenized” tells you about the instrument’s digital representation. It does not, on its own, tell you whether you are a shareholder, an investor with an intermediary-based entitlement, or a holder of a price-linked contract.
