How Tokenized Stocks Are Custodied, Priced, and Redeemed

Tokenized stocks can track a share without giving holders direct ownership or voting rights. Custody, pricing, and redemption depend on the issuer and the token’s terms.

Tokenized stocks are not one standardized product. A token may represent economic exposure to a share without making its holder a direct shareholder; custody, pricing, and the ability to redeem depend on the issuer’s legal structure and terms. To assess a specific token, trace what backs it, who holds that backing, how its price is set, and which users can redeem it.

What does a tokenized stock represent?

A tokenized stock is a digital token designed to track or provide exposure to a stock or exchange-traded fund (ETF). The label alone does not tell you whether you own the underlying share. For example, xStocks describes its products as tracker certificates and says holders receive economic exposure, not shareholder rights such as voting. Its legal overview classifies them as bearer debt instruments and notes that legal classification may vary by jurisdiction (xStocks FAQ; xStocks product legal overview).

The important distinction is between the token and the security it tracks. Depending on the product, a holder’s claim may be as a security holder, creditor, contractual claimant, or another category set out in the governing documents. Do not assume that holding a token makes you the registered owner of a share, gives you the same rights as a brokerage-account shareholder, or lets you claim a share directly.

Who holds the shares behind a tokenized stock?

Issuers describe different custody and legal arrangements. The examples below are the firms’ own product descriptions, not an independent audit of reserves, legal enforceability, or the rights of every holder.

Product Issuer-described structure What the description does not establish
xStocks / Backed xStocks says each token is a tracker certificate backed 1:1 by the underlying equity, held with regulated custodians in segregated accounts. Backed Assets (JE) Limited issues the certificates through a Jersey special-purpose vehicle (SPV). Its legal overview says a security agent may, in a default, take control of collateral accounts, liquidate assets, and distribute proceeds under the prospectus terms. xStocks also describes publicly available reserve information (xStocks introduction and product overview; xStocks product legal overview). The product description is not an independent confirmation of balances or of how a particular holder’s claim would be enforced or paid in an insolvency.
Ondo Stocks Ondo says its tokens are secured by U.S. stocks, ETFs, and cash held with U.S. broker-dealers. It describes an independent Verification Agent reviewing backing daily and a Security Agent holding a security interest for token holders (Ondo Stocks product overview). This is Ondo’s description of its arrangement; it is not the same legal structure as xStocks and does not, by itself, answer every holder’s insolvency or enforcement questions.

“Backed” is not a complete explanation of what a holder owns or what happens if an issuer or service provider fails. Before relying on a backing claim, check the product’s legal documents for the issuer, the holder’s legal status, where assets are held, whether they are segregated, who can enforce any security interest, and how assets or proceeds would be distributed in insolvency. Also check which entity verifies reserves, how often it does so, and what that verification covers.

Why can the token price differ from the stock price?

There are at least three prices to distinguish:

  • Underlying market price: the market price of the share or ETF the token tracks.
  • Issuer’s primary price: the price used when an eligible user creates or redeems tokens through the issuer’s process.
  • Secondary-market price: the price buyers and sellers agree on for the token on a particular exchange or decentralized exchange (DEX).

For xStocks, the issuer says secondary-market prices are set by supply and demand on each platform, while direct clients can issue or redeem at prevailing underlying-equity prices through the issuer platform (xStocks FAQ). Those are different pricing mechanisms, so the token’s traded price need not match the underlying share price at every moment or on every venue.

Ondo describes primary minting and redemption at the prevailing underlying value. It also explains that arbitrage can help narrow a gap: if a token trades above the value available through the primary path, a market participant able to mint may create tokens and sell them on the secondary market. That added supply could push the venue price closer to the underlying value (Ondo Global Markets launch explanation).

That mechanism is not a promise of exact price parity. Arbitrage depends on access to primary minting or redemption, market hours, liquidity, fees, operational availability, and price-feed timing. Price data itself can also come from different sources: xStocks’ developer materials say its data may use on-chain providers and Nasdaq, with Blue Ocean for overnight and extended-hours data (xStocks developer documentation). A quote should therefore be understood in context: identify the venue, timestamp, and whether it refers to the underlying security, an issuer transaction, or the token market.

How corporate actions may affect a token

xStocks’ developer documentation says dividends, splits, and reverse splits are reflected through an on-chain multiplier, and that its API provides market-price and multiplier data (xStocks developer documentation). This describes xStocks’ data handling; it does not establish that every issuer treats corporate actions the same way. For any token, consult its own governing terms to learn how dividends and other corporate actions affect the token and its value.

Can you redeem a tokenized stock for the underlying shares?

Redemption is product-specific and may be limited to certain users, locations, accounts, or transaction windows. It does not necessarily mean that a holder can exchange one token for one share. The issuer’s terms must specify whether redemption is for cash, delivery of an underlying security, or another form of settlement.

xStocks: issuer access versus secondary-market holding

xStocks says issuance and redemption through its issuer process operate 24/5 in line with U.S. equity-market hours. Its FAQ says direct clients may issue or redeem through the issuer platform at prevailing underlying prices. A person who holds tokens through a secondary-market platform may instead need to sell or transfer them there; the reviewed documentation does not establish that every wallet holder can redeem directly with the issuer (xStocks introduction and product overview; xStocks FAQ).

Ondo: check the token and the eligible-user rules

Ondo’s product overview describes minting and redemptions as 24/5, subject to availability exceptions (Ondo Stocks product overview). In an announcement dated June 25, 2026, Ondo said eligible users could mint or redeem SPYon, QQQon, CRCLon, NVDAon, TSLAon, and GOOGLon at any time, including weekends and U.S. public holidays (Ondo announcement of 24/7 minting and redemption). That announcement covers the named tokens and eligible users; it should not be read as a 24/7 redemption promise for every Ondo token or for every account. Check the current product and account terms for supported assets, location restrictions, settlement method, cutoffs, and exceptions.

Continuous token transfers or trading on a secondary market are not the same thing as continuous primary minting or redemption. A token might move between wallets or trade while an issuer’s redemption channel is unavailable, or while a particular holder is ineligible to use it.

Do tokenized stocks give you voting rights?

Rights depend on the specific token and its legal structure. xStocks says its holders receive economic exposure but not shareholder rights such as voting (xStocks FAQ). Ondo’s July 2, 2026 announcement describes a separate U.S. third-party custodial tokenized-securities deployment with Broadridge and says tokenized equity holders in that deployment receive full voting rights (Ondo announcement of U.S. custodial tokenized securities). That separate deployment does not establish voting rights for Ondo’s other tokens, or for tokenized stocks generally. Read the exact product terms rather than inferring rights from the word “stock.”

What to verify before acquiring a token

Use the prospectus, product terms, custody disclosures, and account eligibility rules for the exact token—not a general description of the issuer’s offerings. Confirm:

  • Who legally issues the token and what legal claim the holder has.
  • What assets are described as backing it, which entity holds them, and whether they are segregated.
  • Who verifies the backing, how often, and what the verification covers.
  • Who can enforce any security interest, and what the governing documents say about default, insolvency, and distribution.
  • Whether you are eligible to mint or redeem in your jurisdiction and account type, and what the applicable windows, fees, settlement method, and exceptions are.
  • Whether the token provides voting or other shareholder rights, and how dividends, splits, and other corporate actions are handled.

Availability, supported tokens, redemption windows, and legal terms can change. These issuer examples do not establish a uniform legal or custody model across tokenized stocks or a legal conclusion for every jurisdiction. The product documents and local restrictions control; this explanation is not individualized investment or legal advice.
