Before giving a provider payroll, bank, tax, card, or contributor data, verify who the provider is, what it is authorized to do, where the money goes, and how you can check its work independently. For U.S. federal payroll taxes, outsourcing the work usually does not transfer the employer’s responsibility for making sure taxes are deposited and paid. Contribution collection is broader: the right checks depend on whether the money is donations, dues, retirement-plan contributions, or another kind of payment.
1. Identify every company that will handle your data or money
Start with the provider’s legal business name, address, and business contact. Match that name across the proposal, contract, authorization forms, and the account or payment screens you will use. A brand name on a website may not be the entity that receives funds or processes your data.
Ask for the names of every subcontractor, payment processor, or other intermediary that may handle payroll records, tax details, bank information, card data, or contributor information. Find out whether the provider resells another company’s service or uses nested processors. In guidance amended February 3, 2026, the FDIC identifies intermediaries and nested processing arrangements as factors that can make monitoring more difficult for financial institutions evaluating processor relationships. That guidance is a due-diligence reference, not a general legal duty for every business hiring a processor.
2. Match the access request to the provider’s actual role
Write down each action the provider wants to perform. Viewing records is different from filing a return, initiating a tax deposit, debiting an account, receiving contribution funds, issuing refunds, or changing payment instructions. Grant only the access needed for the agreed service.

For U.S. federal employment taxes, ask which arrangement applies. The IRS describes several distinct roles; their authority and liability are not interchangeable.

Use the form that corresponds to the actual role, not simply the one the provider offers to sign. The IRS’s descriptions of these arrangements and forms are the relevant reference for federal payroll authority.

3. Read who is responsible if a payment or filing fails
For a typical U.S. payroll service provider or reporting-agent relationship, the employer generally remains responsible for ensuring federal employment taxes are deposited and paid, even when a third party receives the money. If the provider fails to deposit the taxes, the employer may owe the tax, penalties, and interest. The IRS treats a missed or late payment as a warning sign.
Section 3504 agents have joint liability for specified withholding responsibilities, while CPEOs operate under a distinct statutory arrangement. Do not infer that a contract transfers liability or protects your organization because it uses terms such as “full service.” Read the agreement alongside the provider’s actual IRS role and authorization.

There is no single liability rule established here for every kind of contribution collection. For donations, dues, retirement contributions, or other recurring payments, ask the provider to identify in writing which party is the merchant of record or account holder, who holds the funds, who handles refunds and chargebacks, and who is responsible for reporting and protecting the data. Treat these as questions to clarify in your specific agreement, not as a universal legal test.
4. Verify payroll tax deposits through a channel you control
Do not rely only on a provider’s dashboard or confirmation email to establish that a U.S. federal tax deposit reached the IRS. Enroll in EFTPS independently, keep the employer’s IRS address of record current so notices reach you, and check payment history under the employer’s EIN. The IRS says registered employers can access 16 months of payment history.

In Tax Tip 2023-65, dated May 10, 2023, the IRS encouraged employers to enroll in EFTPS and make sure their third-party payroll service provider uses EFTPS to make tax deposits. If you see a missed or late payment, follow up promptly rather than waiting for a routine reconciliation.
Ask the provider for a sample reconciliation before onboarding. It should let you trace gross payroll or contribution totals through deductions and fees to tax deposits or payouts, destination accounts, timing, and exceptions. This is a practical control for comparing provider records with your own; it is not a prescribed IRS or FDIC template.

5. Check security controls, card-data scope, and offboarding
Ask for written documentation of how the provider protects sensitive information and divides security responsibilities. The IRS’s taxpayer-data safeguarding guidance recommends controls that are also useful questions for a prospective provider:
- Who can view or change payroll, tax, bank, card, or contributor information, and how is access limited to people who need it?
- Is multifactor authentication used to access customer information?
- Do audit trails record who acted, when they acted, and what changed?
- How will the provider remove your users’ access and withdraw outstanding authorizations when the relationship ends?
If the provider handles card data or performs a function affecting the cardholder-data environment, ask which parts of the service fall within PCI DSS scope and how responsibilities are divided. The PCI Security Standards Council’s June 2025 guidance says outsourcing does not remove a merchant’s responsibility to ensure that a provider complies for the services it performs, maintain written agreements, and monitor the provider’s compliance status at least annually. Confirm the applicable scope and evidence with the organization that administers your merchant compliance program; PCI obligations depend on the payment environment.
6. Ask what protection and escalation look like if something goes wrong
The IRS advises employers using payroll service providers to check whether the provider has a fiduciary bond. Request the bond documentation and establish which entity and losses it covers, its limits and exclusions, and how a claim would be made. A bond is not a guarantee that every loss will be recovered.
Before signing, obtain a named escalation contact and a process for urgent payment or account-detail changes. If an IRS notice or bill may involve a provider’s work, contact the IRS promptly using the number on the notice or the IRS business tax line. The IRS also identifies Form 14157 as a way to report suspected improper payroll tax deposits or filings.

Use this decision checklist before granting access
- Identity: The legal entity in the contract matches the entity requesting access, and all subcontractors or processors are disclosed.
- Authority: Each requested task is documented, and any IRS authorization matches the provider’s stated federal payroll role.
- Responsibility: The agreement says who handles deposits, filings, funds, refunds, chargebacks, and data responsibilities; it does not rely on vague assurances.
- Visibility: You can independently check federal payroll deposits under your EIN through EFTPS and reconcile the provider’s records.
- Security and exit: Access is limited and logged, multifactor authentication is addressed, and there is a documented way to remove access and authorizations at termination.
- Protection and escalation: You have reviewed any bond’s actual terms and know whom to contact about a payment failure or suspected improper filing.
