How to Verify a Crypto Project, Token, or Exchange Promotion Before Investing

Before investing in a crypto offer, independently check who is behind it, what the token grants, what evidence supports the project, and whether the platform’s relevant activity is registered.

Before sending money, verify the people and entities behind the offer, the token’s actual rights, the project’s evidence, the platform’s relevant registration, and the promotion’s claims—separately. These checks can reveal contradictions and warning signs, but they cannot certify an investment as safe. This guide is U.S.-focused; legal tests and regulator records differ by activity and jurisdiction.

Start by turning the pitch into claims you can check

Save the offer and write down its specific promises: what the project has built, what remains to be done, what a token holder can do, who controls decisions, how raised funds will be used, and how the token is supposed to gain or retain value. Separate statements of present fact from forecasts and promises.

For each claim, ask what independent evidence could support it. A white paper, roadmap, website, testimonial, or social-media post tells you what the promoter says; none alone demonstrates that a product works, milestones were met, or the promised value is plausible. Compare claims with public disclosures, product functionality you can verify, available code, and milestones that can be checked independently. Public code is not proof that a project is sound, and an audit, if one is cited, should not be treated as a guarantee of safety.

Identify the people, companies, and destination for your money

Record the full names of the issuer, founders or developers, promoters, affiliates, platform operator, and any entity or wallet that will receive funds. Check their identities and histories using sources independent of the promotion. Do not treat a profile, group-chat introduction, testimonial, or polished website as identity verification.

Investor.gov’s “Common Scams” (last reviewed July 16, 2026) and CFTC guidance recommend investigating the people and entities associated with an offer. If you cannot establish who is responsible or where the money goes, that is an unresolved risk—not, by itself, proof of fraud. A filing displayed by a promoter also does not establish that a person or firm is registered.

Read what the token actually gives you

Look for the token’s legal and project documents, then answer these questions in plain language before buying:

  • Does it provide access to a product or service, voting rights, a claim on assets or revenue, redemption, refunds, or some other enforceable right?
  • Can the issuer change the terms, supply, or rules, and who has the power to do so?
  • How are tokens issued or released, and are there resale restrictions?
  • What are the practical options for selling, redeeming, or otherwise exiting—and what happens if the project stops operating?

The SEC’s “Investor Bulletin: Initial Coin Offerings” (July 25, 2017) specifically urges prospective buyers to consider how proceeds will be used, what rights the token provides, and whether and how it can be resold. The label “utility token” does not answer those questions or settle the legal status of an offering.

Test the project and its value story

Ask what real demand exists for the product or service, what evidence shows adoption, and how the project competes with alternatives. Check whether the token’s proposed usefulness depends on a product that is not yet available or on milestones that remain unverified. Consider whether technological changes, competition, forks, or the project’s failure could make the token obsolete or break its connection to a service.

Liquidity matters too: a quoted price does not establish that you could sell a meaningful amount when you want to. The CFTC’s “Customer Advisory: Use Caution When Buying Digital Coins or Tokens” (July 2018) says there is no widely accepted standard for valuing a digital coin or token. It also warns that buying only in expectation of selling later at a higher price is speculation and carries considerable risk, regardless of how convincing a white paper, application, or business plan sounds.

Check the platform and the activity it offers

Find the platform’s full legal name, home jurisdiction, custody arrangements, withdrawal terms, and the specific services it provides. Then check the relevant regulator’s records for the activity in question, including any disciplinary history. Which regulator and record matter depends on the service, the entity, and where it operates; “exchange” is a business label, not proof of a particular registration.

Do not confuse a registration or filing with government approval, endorsement, or protection against loss. A platform’s claim that it vets token listings does not establish that it is a registered securities exchange or that a token is SEC-approved. The SEC’s Investor Alert “Initial Exchange Offerings (IEOs)” (January 14, 2020) cautions that platforms may improperly call themselves “exchanges” and that claims of due diligence may be used to attract investors. An absent or hard-to-find record warrants further checking, but it does not alone prove fraud.

Evaluate the promotion and the way you were contacted

Be wary of unsolicited approaches, pressure to act quickly, secrecy about a trading method, and promises of high returns with little or no risk. Treat celebrity endorsements, claims of regulatory legitimacy, and invitations to recruit others as reasons to verify—not as evidence. Investor.gov describes schemes that build trust through social messages, impersonate trusted professionals or agencies, encourage coordinated buying before promoters sell, or demand fees to withdraw funds or recover losses.

A displayed account balance or profit is not proof that funds exist or can be withdrawn. If a supposed platform blocks withdrawals and demands a new tax, unlock charge, or recovery payment, independently verify the demand before paying. In a September 29, 2026 announcement, the SEC said complaints in two cases alleged that entities used WhatsApp and other channels, claimed regulatory legitimacy, displayed fictitious profits, and told investors seeking withdrawals to pay advance fees; one case allegedly involved a falsified filing. These are allegations, not findings of guilt.

Use a side-by-side comparison if you have more than one offer

This is a practical comparison framework, not an official scoring model. Record what you can verify for each offer and mark unknowns as unknown; do not turn incomplete evidence into a numerical rating.

Value assumptions Evidence of demand, adoption, liquidity, competition, and reliance on future development What would need to be true for the value story to hold?
Technical and custody risks Available information about code, control, custody, and material dependencies What could affect access, operation, or the token’s usefulness?
Platform and withdrawals Operator’s legal name and jurisdiction, relevant regulatory records, custody model, and withdrawal terms Which entity provides the service, and what conditions govern access to funds?
Promotion and contact Exact claims, promised returns, urgency, contact channel, and requests for added payments Is the pitch pressuring you or asking you to trust claims that can be checked?

Understand the current U.S. legal framing

For U.S. readers, token labels do not determine legal status. The SEC’s March 17, 2026 interpretive release, with related CFTC guidance, discusses categories of crypto assets and circumstances in which a non-security crypto asset may be offered subject to an investment contract or may later separate from that contract. SEC materials give March 23, 2026 as the release’s effective date.

The SEC’s April 22, 2026 summary describes the Howey factors as an investment of money in a common enterprise with a reasonable expectation of profits derived from the essential managerial efforts of others. Applying that test is fact-specific; a token’s name, marketing category, or trading venue cannot decide it on its own. The SEC Division of Corporation Finance’s September 25, 2026 FAQs say whether marketing communications amount to representations or promises of essential managerial efforts depends on the facts and circumstances. The FAQ page presents staff views, not a rule or regulation, and says the Commission has neither approved nor disapproved them; they have no legal force or effect.

Pause if you cannot verify essential facts

Do not send funds or share sensitive identity or financial details while the responsible entity, terms, or destination remain unclear. If you suspect fraud, preserve the promotion, messages, wallet addresses, transaction hashes, and payment instructions, and report through relevant official channels. The SEC and CFTC’s 2019 investor alert about fraudulent digital-asset and crypto trading websites also cautions readers to scrutinize claims made by such platforms.
