How to Value Fannie Mae Stock: Conservatorship, Earnings, and Common-Shareholder Claims

Fannie Mae’s reported earnings are not the same as earnings available to FNMA common shareholders. See how to assess earnings, senior preferred claims, capital, dilution, and possible conservatorship outcomes.

Fannie Mae’s reported profit is not the same as profit available to FNMA common shareholders. In its 2025 Form 10-K, Fannie Mae reported $14.364 billion in net income, but $14.355 billion was attributed to senior preferred stock and just $9 million to common stockholders. That gap is the starting point for valuing the stock: investors must estimate what, if anything, could remain for common shareholders after preferred claims, capital needs, dilution, and the uncertain path out of conservatorship.

There is no conventional earnings multiple that resolves those questions on its own. A useful analysis separates the company’s operating performance from the value of the common-share claim, then tests that claim against different capital and policy outcomes. The available facts support a valuation framework, not a single fair-value estimate or release-date forecast.

How do you value Fannie Mae stock while it is in conservatorship?

Value FNMA by estimating the residual claim available to common shareholders under several plausible policy and capital outcomes—not by applying a standard price-to-earnings multiple to Fannie Mae’s total net income. The company remains in Federal Housing Finance Agency (FHFA) conservatorship, which began on September 6, 2008. FHFA says it will act as conservator until the Enterprises are stabilized.

In practical terms, the common stock represents a claim whose eventual value depends on more than the mortgage business’s ability to earn money. An investor must consider the senior preferred stock and Treasury agreements, the capital Fannie Mae must hold, how common shares could be diluted, and whether and how conservatorship might end. None of those unresolved items can be replaced by multiplying a strong year’s earnings by a familiar industry multiple.

Separate business value from common-equity value

Start by distinguishing three concepts: the business’s earnings, the company’s net worth, and the portion of either that may ultimately accrue to common shareholders. A large profit can improve the company’s financial position without producing a matching amount of income or distributable value for common holders. Fannie Mae’s 2025 earnings attribution shows why: nearly all reported net income was attributed to senior preferred stock, leaving $9 million attributed to common stockholders.

A useful conceptual model is: common-equity value depends on the value remaining after senior claims and required capital, divided among the shares outstanding after accounting for dilution. This is a framework, not a formula with known inputs today. The eventual treatment of senior preferred stock, capital rules, release mechanics, and share count is not established by the cited public materials.

Use scenarios, not a single outcome

Because policy and capital treatment can change the common-share claim materially, build at least a constrained case, an intermediate case, and a more favorable case. These are analytical cases, not predictions. Make the assumptions explicit and vary them rather than quietly treating one outcome as certain.

Scenario dimension What to specify Why it changes common value
Senior preferred treatment Whether and how senior preferred claims are treated before common equity receives residual value A larger or more senior claim can reduce what remains for common shareholders.
Capital before release or distributions The capital Fannie Mae would need to hold, and how much can be accumulated or raised Capital retained to meet requirements is not automatically available for common distributions.
Conservatorship termination The process, approvals, and mechanics assumed for any termination A possible release is not equivalent to a completed release or a settled value for common stock.
Dilution and share count The treatment of any warrants or other dilutive claims, based on current filings and governing documents The value of the residual claim is shared across the post-transaction share count.
Normalized earnings Expected guaranty economics, credit costs, fair-value movements, and operating costs under different conditions Recurring earnings support a different valuation from a temporary accounting gain or unusually low credit cost.

Do not assign a numerical fair value to a scenario unless you can support each major input. A scenario table is valuable even without a target price: it reveals which unresolved assumptions drive the result and how sensitive the conclusion is to them.

How much of Fannie Mae’s earnings goes to common shareholders?

In the 2025 results, $9 million of $14.364 billion in net income was attributed to common stockholders after $14.355 billion was attributed to senior preferred stock. Fannie Mae showed basic and diluted earnings per share of $0.00 for the year. Those are the figures to use when explaining the difference between headline corporate earnings and common-share earnings; treating the full $14.364 billion as common earnings would misstate the claim being valued.

Reporting year Fannie Mae net income Common-share context
2023 $17.408 billion The cited series reports company net income; this figure alone does not establish earnings attributable to common shareholders.
2024 $16.978 billion The cited series reports company net income; this figure alone does not establish earnings attributable to common shareholders.
2025 $14.364 billion $14.355 billion was attributed to senior preferred stock and $9 million to common stockholders; basic and diluted EPS were $0.00.

These figures come from Fannie Mae’s annual reporting, including its 2025 Form 10-K filed February 11, 2026. The three-year pattern also matters: net income declined from $17.408 billion in 2023 to $16.978 billion in 2024 and $14.364 billion in 2025. That decline does not by itself establish a long-term earnings trend, but it is a reason not to project a single year forward without examining what drove it.

Look beneath net income before normalizing earnings

Two lines in the 2025 statement illustrate why annual profit is not a clean proxy for repeatable earnings. Fannie Mae recorded a $1.606 billion provision for credit losses in 2025, compared with a $186 million benefit in 2024. It reported fair-value gains of $90 million in 2025, compared with $1.821 billion in 2024. The swing in these items can affect year-to-year comparisons even when the underlying guaranty business is not changing by the same amount.

For a normalized earnings range, separate recurring guaranty revenue and operating costs from credit-loss estimates and fair-value movements. Consider how credit costs may change with borrower performance and economic conditions, and how interest-rate environments may affect results. The cited figures establish that these accounting lines changed substantially; they do not supply a ready-made normalized earnings estimate. Any such estimate requires transparent assumptions and a review of the relevant financial statements.

What does Treasury’s senior preferred stock mean for FNMA stock?

Senior preferred stock and the Treasury support arrangements are central to the common-stock valuation because they affect what claims stand ahead of common equity and how the company operates under conservatorship. The 2025 income statement makes the earnings effect visible: $14.355 billion of the year’s $14.364 billion in net income was attributed to senior preferred stock. A valuation that treats all corporate income as belonging to common holders ignores this distinction.

The FHFA 2025 Annual Report to Congress describes $191.5 billion in combined Enterprise draws under the Preferred Stock Purchase Agreements (PSPAs) and ongoing access to $254.1 billion in Treasury support. Those are combined figures for Fannie Mae and Freddie Mac—not Fannie Mae-only amounts and not a measure of FNMA common-equity value. Do not divide or assign them to Fannie Mae common shareholders without a documented basis.

The available public facts establish that the senior preferred stock and Treasury agreements matter to the claim being valued. They do not establish a final conversion, cancellation, settlement, or other resolution of the senior preferred stock. A valuation therefore needs to state its assumption about that treatment instead of presenting an unresolved outcome as fact.

Does Fannie Mae’s net worth belong to common shareholders?

No. Net worth is a measure of the company’s financial position; it is not, by itself, cash or equity value available for common shareholders to claim. Senior claims, required capital, the terms governing the company, and the mechanics of any future transaction all affect whether and how net worth could translate into residual common value.

Fannie Mae’s investor relations page reported second-quarter 2026 net worth of $116.5 billion and net income of $4.0 billion. Those company-level figures can inform analysis of financial capacity, but neither should be read as a common-shareholder payout or as a direct per-share valuation. The same page says Fannie Mae remains in conservatorship and describes its Treasury support agreement.

Capital analysis also requires care. FHFA says that, during conservatorship, existing statutory and regulatory capital requirements are not binding and that it does not issue quarterly capital classifications. The Enterprises continue to file capital reports. Consequently, a hypothetical surplus over a capital requirement should not be treated as distributable common equity unless there is an explicit, supported mechanism for distribution or release.

Use current capital disclosures carefully

Fannie Mae’s capital disclosure index lists quarterly capital-position and Enterprise Regulatory Capital Framework (ERCF) requirement disclosures. The latest filing listed in the cited search results was for the second quarter of 2026, dated August 11, 2026. Review the actual disclosure before using any required-capital, available-capital, or surplus figure; figures from different dates or definitions may not be comparable. A disclosed capital position helps describe the constraint, but does not settle what common shareholders will receive.

What happens to FNMA common stock if Fannie Mae exits conservatorship?

Termination could change the company’s governance and capital framework, but the phrase “exits conservatorship” does not specify what happens to the common shares. The value for common holders would depend on the transaction and policy choices made along the way: senior preferred treatment, required capital, potential dilution, and the timing and mechanics of termination.

On January 2, 2025, FHFA and Treasury announced amendments to the PSPAs. The amendments clarify that the Enterprises must meet FHFA capital requirements as those requirements are amended over time. They describe a methodical process that includes public input and consideration of market impacts before seeking Treasury consent for termination approaches. The FHFA 2025 Annual Report to Congress also describes Treasury consent before most approaches to termination and mechanisms for public input.

These amendments set requirements and procedures; they do not themselves complete a release, give a timetable, or establish a conversion value for common shares. An investor should distinguish a policy step from an executed transaction. Until the relevant terms are settled, a release scenario is an assumption in a valuation model, not a known catalyst with a known payoff.

What to model in a release scenario

  • How senior preferred stock is treated and what claims remain ahead of common equity.
  • How much capital must be held before release or before any distribution to shareholders.
  • What Treasury consent, FHFA action, and other process steps are assumed, without treating a proposed approach as completed.
  • What happens to common-share dilution and the fully diluted share count, using current filings and governing documents.
  • How earnings might perform under different credit and interest-rate environments after separating recurring guaranty economics from volatile accounting items.

Change one assumption at a time when testing sensitivity. For example, hold normalized earnings constant while varying senior preferred treatment, then hold that treatment constant while changing capital requirements or the diluted share count. This makes clear whether a valuation depends mainly on operating performance or on a policy outcome.

How should you compare a valuation with FNMA’s market price?

Fannie Mae’s investor relations page identifies its common stock as FNMA, traded on OTCQB. A market comparison needs a dated quote because the market price changes. No market quote is established by the figures cited here, so they do not support a current price-to-earnings multiple, price-to-book multiple, or implied-upside calculation.

Once you have a quote for a specific date, identify the exact share count and whether the calculation is basic or fully diluted. A price-to-earnings ratio based on the company’s total net income would be especially misleading if it presents that income as attributable to common shareholders. A price-to-book comparison also needs a clear explanation of why company net worth is an appropriate proxy for common value despite senior claims and capital constraints.

  1. Record the quote date and source. State the date of the OTCQB market price used; do not describe it as current later without checking again.
  2. Define the earnings measure. State whether it is reported net income, earnings attributed to common stockholders, or a separately constructed normalized estimate.
  3. Define the share count. Explain whether the calculation uses basic shares or includes potential dilution, and base any dilution assumptions on current filings and governing documents.
  4. State the policy and capital assumptions. Identify the treatment assumed for senior preferred stock, required capital, and conservatorship termination.
  5. Show the result as conditional. Describe the multiple or implied value as the output of those assumptions, not as an established intrinsic value.

What information should you verify before doing the math?

Financial and policy facts can change as new filings, quarterly results, or government actions are published. Fannie Mae reported full-year 2025 results and filed its 2025 Form 10-K on February 11, 2026. Its investor relations page later reported second-quarter 2026 results, and the capital disclosure index listed a second-quarter 2026 filing dated August 11, 2026. Use the actual dated documents for any calculation rather than carrying figures forward as though they were current indefinitely.

  • Annual and quarterly earnings: Check Fannie Mae’s statements of operations for net income, attribution to senior preferred stock and common stockholders, and the drivers of year-to-year changes.
  • Capital: Check the latest capital-position and ERCF disclosures and understand which measure is being used.
  • Governing terms: Review current PSPA terms and the relevant filings before assuming how senior preferred claims, Treasury support, or potential dilution work.
  • Policy status: Check for subsequent FHFA or Treasury actions; the January 2025 amendments alone do not establish a termination date or common-share outcome.
  • Market data: Obtain a dated FNMA quote before calculating any market multiple or comparing market price with a scenario estimate.

Do not turn an unverified assumption into a numeric input simply because a spreadsheet requires one. If a term remains unresolved, show a range of outcomes or explain why a particular calculation cannot yet be made.

Common mistakes when valuing Fannie Mae stock

  • Using total net income as common earnings. The 2025 attribution demonstrates that the two figures can be dramatically different.
  • Capitalizing one year without adjusting for volatility. The 2024-to-2025 changes in credit provisions and fair-value gains show why reported earnings need context.
  • Treating combined Treasury figures as Fannie Mae-only figures. The $191.5 billion in draws and $254.1 billion in support access reported by FHFA are combined Enterprise amounts.
  • Equating net worth with shareholder value. Company net worth does not by itself reveal the amount available to common shareholders.
  • Assuming a conservatorship exit has a known date or payoff. The January 2025 PSPA amendments describe a process and requirements, not a completed release or common-share conversion value.
  • Quoting a multiple without a date or share-count basis. A market comparison needs a dated quote and explicit earnings and dilution assumptions.

FNMA valuation is therefore a question about the residual claim under uncertain capital and policy arrangements, not simply about whether Fannie Mae can report substantial profits. A disciplined analysis keeps operating earnings, senior claims, capital constraints, dilution, and market price separate until the assumptions connecting them are stated.
