There is no universal response deadline or template for every CFIUS follow-up. Coordinate a complete, consistent response with counsel familiar with CFIUS matters, and confirm any uncertainty with the case contact.
What should you do first when CFIUS contacts you?
Read the entire communication before assigning work. Record the issuing office or case contact, every question and requested document, the due date and time, the delivery channel, and any formatting or certification instructions. Treat the request as case-specific; general descriptions of CFIUS timelines do not establish what is due in your matter.
Classify the communication before responding. A request for more information, a notice-completeness issue, a proposed mitigation term, and another procedural message may call for different actions. Do not assume that every follow-up means the notice is incomplete or that one standard response format applies.
What information does CFIUS ask for after a notice?
The questions depend on the transaction and the communication. Treasury identifies several areas that can be relevant to review, including cyber systems and services, natural-resource and energy activities, transaction rationale, and other national-security regulatory regimes. Examples of the latter include ITAR, EAR, and NISPOM. Supply accurate, transaction-specific context where it answers a question or helps explain the matter; avoid boilerplate that does not fit the transaction.

Treasury also identifies recurring notice-completeness problems: unclear descriptions of business lines or the transaction, missing U.S. locations, and deficient certifications. These are useful checks when reviewing a request or reconciling a response with the notice, but they do not mean every information request is a deficiency notice.
How do you organize a complete, consistent response?
Build a request-to-evidence matrix so each item has an owner, supporting record, proposed answer, and any unresolved assumption or gap. Reconcile the response against the filed notice and related materials, especially for entity names, ownership, transaction structure, business descriptions, locations, and dates.

- Break down the request. Give each question and requested document its own row or task; preserve any subparts and stated definitions.
- Assign an accountable owner. Identify the business, legal, compliance, or technical team that can verify the underlying facts.
- Locate supporting records. Keep the source for each factual statement, and flag information that is unavailable or requires clarification rather than filling gaps with an assumption.
- Check consistency and certifications. Compare names, figures, locations, and descriptions with the notice and other submissions. Have appropriate counsel review any certification and any correction or supplement.
- Confirm the final package and delivery. Follow the instructions in the communication and confirm any ambiguity with the case contact before sending.
Keep a record of the final response, supporting materials, approvals, and delivery confirmation. Accuracy matters: Treasury’s 2024 final rule expanded certain information-request, subpoena, and enforcement authorities.
What is the deadline to respond to CFIUS?
The deadline for a particular request is the one stated in that communication, as clarified by the case contact if necessary. The public process materials described here do not establish a universal deadline or delivery method for every follow-up, so do not infer either from a general review timeline.

One distinct rule applies to proposed mitigation terms. Under Treasury’s final rule effective December 26, 2024, the Staff Chairperson may set a period of at least three business days for a substantive response to proposed terms, including revisions. An extension may be requested. If a response period has been imposed, calendar it immediately and raise an extension request promptly if more time is needed; failure to respond substantively within the imposed period can be a basis to reject an accepted voluntary notice.
When does the CFIUS review period start?
For a voluntary notice, the review clock starts on acceptance, not simply when the parties submit the notice. Treasury describes Day 1 as the date the Staff Chairperson accepts the notice after checking regulatory compliance, confirming that any filing fee is paid or waived, and circulating the notice to Committee members. The interval between submission and acceptance depends on the notice and whether a draft was submitted.
Treasury’s FAQ describes a maximum 45-day review period after FIRRMA, with an investigation beginning no later than the end of that review period if one is needed. That is general process context, not the deadline for answering an individual information request.

Follow the delivery instructions in the case communication and confirm with the case contact if they are unclear. Treasury says its Case Management System (CMS) must be used for draft or formal written notices and declarations under 31 C.F.R. parts 800 and 802. That filing requirement does not establish that every response to a later request must be submitted through CMS; verify the route for your specific communication.
