Research Fannie Mae or Freddie Mac securities in a fixed order: establish each company’s mortgage-market role and conservatorship status, read the latest 10-K, 10-Q and 8-K filings, review Federal Housing Finance Agency (FHFA) capital and stress-test disclosures, then analyze the exact security’s rights and current terms. A profitable quarter is evidence about operations—not proof that common or preferred shareholders will receive a particular outcome.
This process is designed for primary-source due diligence. It helps you distinguish business performance, regulatory capital, mortgage-credit risk, interest-rate exposure and the legal position of the security you might buy.

1. Understand what the two enterprises do
Fannie Mae and Freddie Mac are government-sponsored enterprises (GSEs) at the center of the U.S. residential-mortgage market. Fannie Mae describes its core cycle as buying qualifying residential mortgage loans from lenders and converting those loans into mortgage-backed securities (MBS) that it guarantees. Freddie Mac operates a comparable secondary-market model, but the two are separate issuers with separate filings, capital disclosures and security terms.
Recommended Free Tools
The operating model creates several layers of exposure for an investor:
- Mortgage credit: borrowers may become delinquent or default, producing credit losses and expenses for the guarantor.
- Guarantee and portfolio activity: the size and composition of the mortgage book, new acquisitions, dispositions and MBS guarantees affect future revenue and risk.
- Interest-rate and market risk: rates, prepayments, spreads and hedging results can change earnings and the value of assets and liabilities.
- Legal and policy risk: the enterprises’ conservatorship and Treasury agreements affect capital retention, distributions and the possible treatment of each class of security.
Do not treat the two companies as interchangeable simply because both support the mortgage market. Compare issuer-specific disclosures for every figure and every security term.

2. Put conservatorship at the center of the analysis
FHFA placed both enterprises into conservatorship on September 6, 2008, and serves as conservator. FHFA describes conservatorship as “a statutory process designed to stabilize a troubled institution with the objective of returning it to normal business operations.” That description is not a timetable, a guarantee of release or a forecast of shareholder recovery.
The Senior Preferred Stock Purchase Agreements (PSPAs) with the U.S. Treasury are a central part of the investment case. Read the newest 10-K, 10-Q and 8-K disclosures for the current agreement terms, amendments, funding commitments, dividend mechanics, liquidation provisions and any changes affecting retained capital. Historical summaries are not enough because the agreements and regulatory framework can change.

FHFA states that capital classifications are suspended while the enterprises are in conservatorship in light of the PSPAs. Consequently, a headline such as “well capitalized” or a comparison with ordinary bank capital categories can be misleading. You must distinguish the amount of capital reported by the company from the capital that would be required under the Enterprise Regulatory Capital Framework (ERCF), and from the formal capital classification that is currently suspended.
3. Use a primary-source filing sequence
Start with the most recent filings and move outward to specialized disclosures. Record the filing date and the reporting period before copying any number into your notes.
- Read the latest Form 10-K. Begin with the business description, risk factors, management’s discussion and analysis, audited financial statements, accounting policies and notes. The 10-K explains how the enterprise earns money, what it guarantees or owns, how it hedges risk and what legal contingencies may affect investors.
- Read the latest Form 10-Q. Use the quarterly filing to update the 10-K. Focus on changes in net income, net worth, guaranty-book composition, credit-loss provisions, delinquency, liquidity, derivatives and Treasury or FHFA developments.
- Review subsequent Form 8-K reports. An 8-K can contain earnings releases, material agreements, executive or governance developments and other current events filed after the latest quarterly report. It may be the fastest way to identify a change that is not yet reflected in a 10-Q.
- Use each company’s investor-relations filing index. Retrieve earnings releases, financial supplements, monthly summaries and capital materials from the issuer that produced them. Do not substitute a secondary data service for the filing when a security right or accounting figure matters.
- Read FHFA materials alongside the company filings. FHFA’s conservatorship, ERCF and stress-test pages provide the regulatory context that an issuer’s income statement cannot supply.
For every fact in your notes, add four labels: issuer, document, reporting period and publication date. This prevents a 2024 annual disclosure from being mistaken for a current 2026 term.
4. Separate earnings from the balance-sheet and capital questions
Operating earnings answer whether the business generated income during a period. They do not answer whether common or preferred shareholders will receive distributions, whether Treasury agreements will be changed, or what a restructuring would mean for a particular class.

Net revenue and net income
Net revenue reflects the period’s mortgage-guarantee and investment activity after relevant expenses and adjustments. Net income is the resulting accounting profit after expenses, credit provisions, taxes and other items. Compare both with prior periods and read the accompanying explanation for changes; a one-quarter swing can result from market valuation, hedging or credit assumptions rather than a durable change in the franchise.
Net worth and retained capital
Net worth is an accounting measure of assets minus liabilities. It is useful for tracking retained earnings and the effect of comprehensive income, but it is not the same as distributable cash or the amount available to every security holder. Treasury’s senior preferred position and the PSPAs must be considered before treating net worth as shareholder value.
Reported capital versus required capital
Quarterly ERCF disclosures show measures such as adjusted total capital, risk-based requirements and buffers. Place those figures in separate columns in your worksheet:
- Reported capital: what the company says it has under the applicable definition.
- Required capital: the amount implied by the ERCF and applicable buffers.
- Capital classification: the regulatory status, which FHFA says is suspended during conservatorship.
A positive difference between reported and required capital can indicate progress toward a regulatory objective, but it does not by itself establish that conservatorship will end or that any security will be repaid.

Fannie Mae’s investor materials identified the following Q2 2026 figures, reported July 29, 2026:
| Measure | Fannie Mae Q2 2026 figure | How to use it |
|---|---|---|
| Net revenues | $7.6 billion | Use with the quarter’s expense, credit-loss and market-valuation explanations. |
| Net income | $4.0 billion | Compare with prior periods and identify the sources of the change in the 10-Q. |
| Guaranty book | $4.1 trillion | Analyze alongside guarantee fees, credit mix, delinquency and loss assumptions. |
| Net worth | $116.5 billion | Track retained earnings and capital progress, not an automatic equity value. |
These are company-reported Q2 2026 figures, not timeless facts or a forecast. Before relying on them, check whether a newer earnings release, 10-Q or 8-K has been published. Perform the same exercise for Freddie Mac using its latest financials; never infer Freddie’s results from Fannie Mae’s numbers.

6. Examine the guaranty book and mortgage-credit performance
The guaranty book is the pool of mortgages for which the enterprise provides credit protection. Size alone is not a quality measure. A larger book can produce more guarantee-fee revenue while also increasing the dollar amount exposed to defaults.
Questions for the mortgage book
- How did the book change from the prior quarter and year?
- What proportion consists of new acquisitions, refinancings, seasoned loans or other categories disclosed by the issuer?
- How are guarantee fees changing, and what pricing or credit characteristics explain the change?
- Are credit-loss provisions rising or falling relative to serious delinquency and loan-performance trends?
- What representations, warranties, recourse arrangements or mortgage-insurance protections affect potential losses?
Use monthly volume or summary disclosures to follow acquisitions, MBS guarantees, portfolio activity and serious-delinquency measures between quarterly filings. Monthly data can reveal a trend earlier, but it is narrower than a 10-Q and should not replace the full notes.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesSerious delinquency and loss assumptions
Serious delinquency is a key warning indicator because loans that remain delinquent for extended periods are more likely to produce foreclosure, modification or loss activity. Read the definition used by the issuer, the reported rate, the loan population covered and the movement from the previous period. Then compare the trend with credit-loss provisions and management’s assumptions about house prices, unemployment, interest rates and borrower behavior.
7. Analyze interest-rate and market risk
The enterprises are exposed to changes in rates, mortgage prepayments, funding costs, MBS spreads and derivative valuations. A falling-rate environment can accelerate refinancings and prepayments; a rising-rate environment can alter funding costs, hedging results and borrower performance. The same rate move can affect different assets and liabilities in opposite directions.
In each filing, locate the interest-rate-risk discussion, duration or sensitivity disclosures, derivative positions, hedge accounting explanations and fair-value changes. Ask whether the reported earnings movement came from recurring guarantee economics or from a market valuation that could reverse.
Stress-test materials
FHFA’s annual stress-test materials apply prescribed adverse scenarios. They are analytical exercises, not predictions of what will happen and not estimates of shareholder returns. Compare the scenario assumptions with the enterprise’s capital, credit losses, earnings capacity and risk-management disclosures. A large modeled loss may identify vulnerability without predicting an actual loss; a pass under one scenario does not eliminate risks outside that scenario.

8. Compare the exact security, not just the issuer
Before buying anything, write down the issuer, security type, series or ticker, original issue terms and current market price. Common stock, preferred stock and debt can respond very differently to the same operating result.
Dividend priority and payment restrictions
Identify whether dividends are cumulative or noncumulative, whether payment is discretionary, and whether unpaid amounts accumulate. Check restrictions that may prevent payment on junior securities when a senior obligation is unpaid. Do not assume that a historical dividend rate will resume merely because the company reports a profit.
Seniority and liquidation preference
Read the relevant certificate, prospectus and filing. Fannie Mae’s 2024 filing describes Treasury’s senior preferred stock as senior to common and other preferred stock for dividends and liquidation distributions. That statement concerns the specified Fannie Mae securities and should not be generalized to every Freddie Mac instrument or every preferred series. Record each class’s liquidation preference and ranking separately.
Conversion, redemption and amendment provisions
Check for conversion rights, redemption dates, consent thresholds, exchange provisions, voting rights and terms that allow amendment by a specified majority. A security with a high stated dividend can still have limited economic value if payment is blocked, redemption is uncertain or a senior claim absorbs available value.
Liquidity and market structure
Review trading volume, bid-ask spreads, quotation availability and settlement information for the exact security. Thin trading can make the displayed price unreliable and can magnify losses when you need to sell. Confirm that your account is permitted to purchase the instrument and that you understand any market or custody restrictions; availability varies by broker and jurisdiction and is not established by the issuer’s filings.

- Liquidity: document quoted market, trading activity and any purchase or settlement limitations you verified.

10. A practical research procedure before placing an order
- Define the decision. Decide whether you are evaluating common stock, a specific preferred series, debt or simply the enterprise’s operating outlook. Different instruments require different documents.
- Download current documents. Save the latest 10-K, 10-Q, 8-K earnings release, monthly summary, ERCF disclosure and relevant FHFA conservatorship or stress-test material.
- Mark the reporting dates. Separate historical 2024 rights disclosures from current 2025 or 2026 financial and agreement terms.
- Reconcile headline numbers. Tie net income, net worth and guaranty-book figures to the financial statements and notes. Investigate any difference between an earnings release and a filing.
- Read risk factors before forming a thesis. Highlight credit, market, operational, legal, regulatory and funding risks that could change the value of the chosen security.
- Review capital and Treasury terms. Determine what capital is reported, what ERCF requires and how conservatorship and the PSPAs affect distributions and retained earnings.
- Inspect the security document. Verify the exact series’ ranking, dividend mechanics, liquidation preference, conversion, redemption and voting provisions.
- Write disconfirming evidence. List the facts that would invalidate your thesis, such as worsening delinquency, a capital shortfall, an adverse agreement change or a security amendment.
- Set a monitoring schedule. Recheck 8-Ks for material events, monthly disclosures for mortgage trends, quarterly filings for financial and capital updates, and annual stress-test materials for scenario analysis.
11. Common mistakes and how to correct them
Mistake: treating a profitable quarter as a shareholder catalyst
Correction: trace the profit to recurring guarantee economics, credit provisions, market valuation and Treasury-related effects, then read the security’s distribution restrictions.

Correction: distinguish FHFA’s statutory description from a timetable. Look for an official action, amended agreement or filing disclosure rather than relying on speculation.
Mistake: equating net worth with common-equity value
Correction: map senior claims, preferred rights, liquidation preferences and potential changes in the capital structure before estimating what remains for common holders.
Mistake: comparing percentages without definitions
Correction: copy the issuer’s definition, denominator, reporting date and loan population for delinquency, capital and guaranty-book measures.
Mistake: applying one preferred series’ terms to another
Correction: read the prospectus or certificate for the exact series and verify amendments in current filings.
Mistake: using stale filings
Correction: check publication dates every time. The Q2 2026 Fannie Mae figures cited above were reported July 29, 2026; a later filing may change the relevant picture.
12. How to reach a disciplined investment conclusion
After completing the worksheet, write a conclusion in four separate paragraphs:
- Business: explain whether guaranty-book trends, revenue and credit performance are improving, stable or deteriorating.
- Capital and policy: state the reported-versus-required capital position and the unresolved effects of conservatorship and Treasury agreements.
- Security: identify exactly who is paid first, what distributions are permitted, and what legal or market features could prevent the expected return.
- Uncertainty: list the events that could change the analysis and the documents you will monitor.
Only then should you consider valuation, position size, liquidity and the possibility of losing some or all of the invested capital. The filings can improve the quality of the decision, but they cannot remove the legal, regulatory, market and credit uncertainty surrounding these securities.
