Protect trade secrets during an employee’s departure by limiting access according to risk, promptly revoking accounts and credentials, recovering company property, documenting a clear exit conversation, and preserving relevant records. These steps support—but do not replace—the need to identify genuine trade secrets and use reasonable measures to keep them secret. The right process also depends on local employment, privacy, and trade-secret law.
What needs protection—and what does not
A trade secret is not simply any document marked “confidential.” Under the definition in EU Directive 2016/943, information qualifies when it is secret, has commercial value because it is secret, and has been subject to reasonable steps to keep it secret. The directive’s definition applies in the EU legal framework; national implementation and other local law matter. Read Directive 2016/943.
Build a practical inventory that connects information to the controls protecting it. For each item or category, record its business value, who needs access, and the safeguards used to preserve secrecy. Clear confidentiality obligations, employee training, and documentation can support that effort; a label or contract by itself is not a complete secrecy program. Keep this work separate from efforts to control what an employee may do with general professional experience and skills. The EU directive says trade-secret protection does not justify limiting employees’ use of experience and skills honestly acquired in the normal course of employment. That is not a universal rule for every jurisdiction, so check the governing law before applying it to a particular departure.

Before the employee leaves
Assess access based on role and risk
Decide whether the employee needs each system, file, facility, and credential through the final day. Consider the sensitivity of the information, departure circumstances, business continuity, and the risk of unnecessary access. WIPO’s departure checklist identifies this assessment as part of offboarding; it does not prescribe one universal revocation schedule for every employee.
Coordinate the plan among the employee’s manager, HR, IT, and security. Identify who will disable accounts, revoke credentials, collect property, preserve records, and handle any departure conversation. A planned handoff helps avoid both lingering access and preventable disruption to legitimate work.
Check agreements and required notices
Review the employee’s confidentiality agreement and any relevant policies. For U.S. agreements governing the use of trade secrets or other confidential information, check the notice requirement in 18 U.S.C. § 1833(b). The statute permits an employer to provide the required notice through a cross-reference to a policy document that sets out the employer’s reporting policy. Failure to provide notice can affect eligibility for exemplary damages and attorney fees in an action against an employee who did not receive notice. See 18 U.S.C. § 1833.

The statute also protects certain confidential disclosures to government officials or attorneys made solely to report or investigate a suspected legal violation, as well as qualifying lawsuit documents filed under seal. Do not frame protected reporting as prohibited disclosure. Have U.S. counsel check the agreement and notice against the applicable statutory text and circumstances.

On the final day: revoke access and recover property
Disable accounts and revoke authenticators and credentials promptly under the organization’s offboarding plan. NIST Special Publication 800-171 Revision 3 calls for disabling system access within an organization-defined period, revoking authenticators and credentials, and retrieving security-related property when employment ends. That is a security-control baseline for organizations to apply in context, not a single deadline for every employer. NIST SP 800-171 Rev. 3.

- Badges, keys, tokens, and other access devices
- Company phones, computers, removable media, and other equipment
- Manuals, records, or physical materials containing protected information
Document what was returned, what remains outstanding, and the follow-up owner. If business continuity requires a handoff or staged access change, define the scope and duration rather than leaving access open by default.
Conduct and document the exit conversation
Where practical, hold an exit interview that is calm, specific, and recorded in the normal HR process. Remind the employee of applicable continuing confidentiality duties, identify company materials and information to return, and explain the return process. Record that the reminder occurred and note any items still to be returned. Keep the conversation focused on company information and property, not on demanding that an employee surrender general knowledge or refrain from lawful work. If the employee raises a concern about reporting suspected unlawful conduct, ensure the response respects applicable legal protections, including the U.S. statutory protections where relevant.

Review devices and systems lawfully
If the company reviews devices, accounts, or system activity, use a documented and limited process tied to a legitimate business purpose. Before reviewing content or monitoring activity, check applicable privacy, employment, labor, and monitoring rules. Do not assume that company ownership of a device gives unrestricted authority to inspect personal accounts or personal data. WIPO’s checklist expressly makes device checks subject to applicable privacy and other laws; the permitted scope depends on jurisdiction and circumstances.

Preserve records when concerns arise
Follow established retention and legal-hold processes for relevant records and access logs. Monitoring former-employee activity or contacting the former employee or a new employer may be appropriate in some circumstances, but only when lawful and proportionate. WIPO notes that enforcement approaches differ across countries and that proceedings can create a risk of public disclosure if the information is not adequately protected. Distinguish a warning sign from proof
A new job, competition, or the employee’s use of general professional skill does not by itself establish trade-secret misuse. Focus on concrete indicators tied to information that the organization actually treated as secret—for example, a relevant access record or an identified company file—rather than relying on the fact of departure alone.

Escalate credible evidence carefully
If there is credible evidence of unauthorized use or disclosure, secure the relevant records and promptly seek legal advice in the applicable jurisdiction. Counsel can help assess what the evidence establishes, what preservation or further investigation is appropriate, and whether any contact or legal action is justified. Trade-secret proceedings require care because mishandling the information during enforcement can expose the very material the employer seeks to protect.
Adapt the process to the governing law
The appropriate steps depend on where the employee works, which law governs the agreements, the employer’s industry and size, and the systems and information involved. Have local counsel review employee agreements, device monitoring, access to personal accounts or devices, record retention, and any proposed contact with a former employee’s new employer. The U.S. statute and EU directive discussed here illustrate important legal rules, but neither supplies a single worldwide offboarding standard.
