Re:

How to Handle Home Loan EMIs When a Builder Sells Your Flat to Someone Else

A builder’s resale does not automatically cancel your home loan or erase your allotment rights. Here’s how to preserve records, contact the lender, and assess next steps.

If a builder has sold your allotted flat to another buyer while you are paying a home loan, do not assume either that you have lost the flat or that your EMI has automatically stopped. The builder dispute and your loan obligation are related, but legally distinct. Preserve your documents, get the lender’s account and disbursement details in writing, object to the builder in writing, and seek prompt advice from a lawyer familiar with property disputes in your state. Do not stop paying or sign a cancellation or settlement simply because the builder says it will resolve the loan.

First, separate the flat dispute from the loan account

A builder’s alleged resale of your flat may give you grounds to challenge the cancellation or later allotment. It does not, by itself, show that the bank has cancelled your loan or released you from repayment. Your rights against the builder depend on your allotment and sale documents, payment history, notices, and what happened to the unit. Your obligations to the lender depend on the loan documents, disbursements, and any tripartite or subvention arrangement.

As an Amazon Associate I earn from qualifying purchases.

That distinction matters even if the builder promised to pay instalments for a period. A promise between the builder, buyer, and lender may affect the analysis, but a sales representative’s verbal assurance is not proof that the lender has changed the borrower’s account or will not seek payment. A complaint against the builder also does not necessarily pause lender recovery action. If you have received a lender demand or recovery notice, treat its deadline as urgent and get case-specific legal advice.

Think of the problem as two connected but separate questions: what can you require the builder to do about the unit, and what does your signed loan arrangement require you to do with the lender? The answer to one does not automatically answer the other. For example, proving that you paid the builder or had an earlier allotment may be important to a claim against the builder, but you still need the lender’s records to understand the loan balance and whether instalments were credited. Likewise, a lender statement does not determine who has the better contractual claim to the flat.

What to do now

Work on two tracks at once: establish what happened to your allotment, and establish exactly what you owe and who received the loan money. Keep dated copies of every communication and proof that your letters were delivered.

1. Preserve the documents and build a timeline

Save originals and make secure copies of:

  • the booking form, allotment letter, and signed or registered builder-buyer agreement;
  • receipts, bank-transfer records, and the builder’s payment schedule;
  • the loan sanction, disbursement record, repayment schedule, and account statements;
  • any tripartite or subvention agreement, including documents describing who would pay instalments and for how long;
  • builder emails, messages, letters, cancellation or resale notices, and any communication about a replacement flat or refund; and
  • lender correspondence, including demands, arrears notices, and recovery communications.

Write a chronology with dates for booking, allotment, each payment and loan disbursement, builder communications, when you learned of the other buyer, and any notices. This helps a lawyer compare the builder’s stated reason for cancellation with the contract and payment record. The Supreme Court’s information format in ongoing subvention proceedings, dated 20 January 2026, sought granular details including the unit, agreement, loan disbursement, EMIs, possession, refunds, complaints, and notices.

Make the chronology factual rather than argumentative. Note what happened, when it happened, who communicated it, and how you know: for example, the date of a bank transfer, the date on a cancellation letter, or the date you first received information about a later allotment. Preserve the original message or attachment where possible, not just a summary or screenshot. Keep a separate list of unanswered requests and upcoming dates, especially deadlines stated in any lender or builder notice. These records can help counsel distinguish a missed payment, a disputed cancellation, and a later transfer rather than treating them as one event.

2. Ask the lender for the complete account record

Write to the lender’s formal customer-service or grievance channel and request a written account statement and disbursement history. Ask it to identify the amount disbursed, each disbursement date and recipient, the current principal and interest, any arrears, and the loan terms it says govern repayment. Request copies of the sanction and loan documents and any tripartite or subvention documents in its file. Keep the request and proof of delivery.

Be specific about the information you need. A useful request should help you reconcile what the lender says it advanced with the builder’s receipts and your own payments. Ask whether any builder-paid EMI or pre-EMI was credited, the dates and amounts credited, and the account status as of the statement date. If the lender says a subvention or tripartite term applies, ask it to identify the document and clause it relies on. These are practical requests, not a prescribed universal form or a guarantee of any particular response.

Do not rely on an oral assurance from the builder that it is paying the EMIs. Check the lender’s records to see whether payments were actually credited and whether the account is current. The court records discussed below show why the loan structure and the recipient of disbursed funds can matter, but they do not establish a universal letter format or guarantee that a lender will defer collection.

3. Object to the builder in writing

Send a dated written objection to the builder. Ask it to explain the contractual basis for cancelling or reselling the allotment, provide copies of the cancellation notice and relevant later sale or allotment records that can lawfully be disclosed, and state what remedy it proposes. Refer to your agreement and payment evidence; avoid relying on an informal phone call as your only record.

Keep the request focused: identify your unit and allotment, state that you dispute the cancellation or later sale if that is your position, and ask for the documents and explanation needed to understand the builder’s action. Attach copies of relevant records rather than sending irreplaceable originals. If the builder proposes a refund, a replacement flat, or another settlement, ask for the full terms in writing, including what claims the builder says you would give up. Do not assume a proposal is harmless because it is described as temporary or administrative.

Do not sign a surrender, cancellation, refund, replacement-flat, or settlement document before independent review. Such a document may affect the rights or remedies you are trying to preserve. Whether a particular proposal is worth accepting depends on its terms and your circumstances.

4. Check the project and get local legal advice

Check the project’s registration with the applicable state Real Estate Regulatory Authority (RERA) and identify the state authority. Give a local property or consumer-disputes lawyer your chronology, agreements, loan records, and notices. Ask the lawyer to assess whether you should seek preservation or interim relief and whether RERA, a consumer commission, a civil court, or another route fits the facts and remedy you want. The correct forum cannot be selected from the fact of resale alone.

Bring the complete records for both sides of the problem, not only the builder agreement or only the loan statement. Tell the lawyer whether you want the flat, a refund, another remedy, or urgent protection while the dispute is considered. Also identify any later buyer, registered instrument, lender charge, possession, or pending transfer that you know about. Those facts may affect the options and urgency, but this article cannot determine their legal effect for a particular state or contract.

Can the builder sell an already allotted flat again?

A later agreement with another buyer does not automatically settle the earlier allottee’s rights. In Suman Jindal & Anr. v M/s Adarsh Developers (Supreme Court of India, 25 April 2019), the Court considered the parties’ correspondence and payment record in a dispute about cancellation after disagreement over the booking amount. It found that the correspondence showed a reduced booking requirement and that the buyers had paid more than that amount. It held that the developer’s later agreement to sell the unit to a third party, made after the NCDRC decision, could not defeat the appellants’ prior contractual rights. The Court directed the buyers to pay the adjudicated balance and the developer to execute and register the agreements and hand over possession.

The decision is useful when assessing a later sale, but it is not a guarantee that every first allottee will get possession. Its outcome turned on the record before the Court. Your agreement, payments, cancellation terms and notices, and the status of any later transaction all matter. A lawyer should review those facts before advising whether to seek performance, money back, or another remedy.

In particular, distinguish what you know from what you have heard. A builder’s statement that the flat has been resold, a public project record, or a document relating to a later buyer may not tell you whether a later agreement was signed, registered, acted upon, or followed by possession. Ask for the basis of the builder’s position and preserve any lawful records you can obtain. Do not assume that an unverified statement proves the other buyer’s legal position, but do not ignore it either: it may make prompt advice about possible preservation or interim relief more important.

Do you have to keep paying the EMI?

Do not treat the builder’s resale as an automatic EMI waiver. Unless the lender has confirmed a change to your account or a case-specific legal order applies, stopping instalments can expose you to lender action under the loan arrangement. The documents and any applicable court directions need to be examined before changing payments.

Before deciding what to do about the next instalment, establish the account status and ask a lawyer to review the loan terms, any payment promise, and any relevant order. If the builder had promised to pay, find out whether that promise appears in a signed tripartite or subvention agreement, what period it covers, and whether the lender’s own records show the promised payments being made. Do not infer from a builder default that the lender has waived its rights. If you cannot make a payment or believe the account is misstated, communicate with the lender in writing and seek advice promptly rather than ignoring a demand.

Why the Amrapali order is not a general EMI rule

In its 18 April 2022 order in the Amrapali proceedings, the Supreme Court described a particular subvention scheme in which buyers had been told that the developer would pay instalments during a promised period. The Court explained that the arrangement assumed timely construction and possession, while buyers faced EMI demands after that period expired despite incomplete projects. In that specific context, it stated that “the flat buyer would not be liable to make any payment towards EMIs to the bank with respect to the loan or financial accommodation enjoyed by him.”

The Court’s directions applied to the covered defaulting buyers who regularized their accounts: their accounts were not to be treated as non-performing assets (NPAs) and no penalty was to be imposed, while banks remained entitled to principal and applicable interest. The order described payment liability as arising after completion and an offer of possession under that particular arrangement. It does not establish that every borrower whose builder defaults or resells a flat may stop paying. Do not apply the quoted sentence without its Amrapali and subvention context.

What other subvention cases establish—and what they do not

In Himanshu Singh v Union of India (Delhi High Court, 4 March 2025), the judgment recounted homebuyers’ challenge to lenders demanding payments after builders defaulted on pre-EMIs. It described other remedies pursued before RERA and consumer fora and the procedural history of those matters. It does not establish that a bank must always collect from the builder instead of the borrower.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

That judgment recorded an allegation by homebuyers that 70–80% of loan amounts had reportedly been disbursed upfront. This was an allegation in that case, not a judicially established figure for housing projects generally. It is a reason to obtain your own disbursement record, not a basis to assume how much of your loan the lender paid to your builder.

A Supreme Court order dated 20 January 2026 in ongoing subvention-scheme proceedings required detailed information about allotments, agreements, sanctions and disbursements, EMIs paid by builders and buyers, possession, refunds, complaints, and lender notices. It also recorded information that the Central Bureau of Investigation had registered 22 cases and filed chargesheets in three. That is an investigation update recorded in the order—not a finding of guilt, a measure of how common flat resales are, or evidence of the likely outcome in an individual dispute.

Which remedy should you pursue?

Start with the outcome you want, then have a lawyer assess which route the documents and state rules support. The available material does not establish a single correct forum or remedy for every resale dispute.

Possible objective What needs to be assessed Important qualification
Keep the flat or enforce the earlier allotment Your allotment and agreement, payment history, cancellation terms and notices, and the status of the later buyer’s transaction Suman Jindal shows that a later agreement did not defeat prior contractual rights on that record; it does not guarantee the same result in another case.
Recover money or seek another remedy from the builder The contractual terms, amounts paid, communications, and relief available in the relevant state and forum A refund or alternative settlement may affect other remedies; review proposed terms independently before signing.
Challenge or clarify a lender demand The sanction and loan documents, disbursements and recipients, account status, and any tripartite or subvention terms A builder complaint alone does not necessarily stay lender action. The Amrapali directions were tied to a defined scheme and covered borrowers.
Seek urgent protection while the dispute is considered Any pending transfer, possession, lender-recovery, or other deadline, and the authority with jurisdiction Whether interim or preservation relief is available requires prompt, local, case-specific legal advice.

The Delhi High Court judgment records recourse to RERA and consumer fora in the underlying cases, but that procedural history does not decide which forum has jurisdiction over your claim. The RBI housing-finance notification addresses lender directions concerning sanctioned plans and architect certifications in specified housing-finance situations. It does not decide your contractual rights against the builder or create an individual EMI waiver because a unit was resold.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

These possible routes address different objectives, so do not choose a forum just because another buyer in a different project used it. A RERA route, consumer proceeding, civil proceeding, or lender-related step may be relevant depending on the facts, state rules, and relief sought. The lawyer’s review should account for the exact agreement, the loan structure, the later transaction’s status, and any deadline. Ask how a proposed step relates to the lender issue as well as the builder issue; pursuing one complaint does not necessarily pause action on the other.

Common mistakes that can make the situation harder

  • Stopping instalments based only on a builder’s promise. First establish what the lender’s account says and get legal advice about your loan terms and any applicable order.
  • Assuming the later buyer automatically wins—or that you automatically do. The contract, payment evidence, notices, and later transaction must be reviewed together.
  • Accepting a verbal explanation of cancellation. Request the stated contractual basis and relevant records in writing.
  • Signing a quick refund or replacement offer without review. Read the settlement terms for their effect on the rights and remedies you may want to preserve.
  • Ignoring a lender deadline while pursuing the builder. A builder dispute does not necessarily prevent the lender from acting; respond promptly with legal advice.
  • Assuming a court ruling from a different project applies wholesale. Amrapali and the other cited cases concern specific records, proceedings, and arrangements.

Another avoidable mistake is treating the loan disbursement as a single undifferentiated number. The amount sanctioned, the amount actually disbursed, the recipient of each disbursement, and the amount credited back through instalments can be different. A clear lender statement can show which parts of the account need to be reconciled with builder receipts or a payment promise. Also keep the lender’s communications separate from the builder’s: a builder’s assurance is not the lender’s confirmation.

What you need to decide the next step

Before choosing between seeking the flat, recovering money, contesting a lender demand, or negotiating a replacement or settlement, assemble answers to these questions:

  • What do the signed allotment and sale documents say about cancellation, payment, and the unit?
  • How much has the lender disbursed, on what dates, and to whom?
  • Is there a tripartite or subvention agreement, and what does it say about the builder’s payment promise and its duration?
  • Has the builder issued a cancellation notice, and what evidence exists of the later allotment, sale, registration, lender charge, or possession?
  • Which state and forum may have jurisdiction over the relief you seek?
  • Is a lender recovery notice, transfer, possession, or other deadline pending?

These are not merely background details. They help separate a request to enforce an earlier allotment from a request for money, and either from a question about whether the lender has credited payments or can demand an instalment. The desired outcome matters too: keeping the flat may call for a different assessment than accepting a refund or challenging a loan demand. No one should promise a particular result without reviewing the relevant documents and procedural posture.

No representative published statistic is established here for how often Indian builders resell allotted flats or the probability that a buyer will recover money or obtain possession. The documents, state, loan structure, payment history, and deadlines are more useful to your decision than a generalized prediction.

Frequently Asked Questions

Do I have to keep paying my home loan if the builder sold my flat to someone else?

A builder’s resale does not automatically cancel your loan or waive EMI obligations. Check your loan account and documents, including any tripartite or subvention agreement, and get case-specific legal advice before changing payments. A complaint against the builder does not necessarily stop lender action.

Can a builder sell a flat that was already allotted to me?

A later sale does not automatically defeat an earlier allottee’s contractual rights. In Suman Jindal & Anr. v M/s Adarsh Developers (25 April 2019), the Supreme Court held that a later agreement could not defeat prior rights on the facts before it. The result in another case depends on its documents, payment history, notices, and later transaction.

What documents should I collect first?

Keep the booking and allotment records, signed or registered builder-buyer agreement, receipts and bank transfers, loan sanction and disbursement records, repayment statements, any tripartite or subvention agreement, builder communications and notices, and all lender correspondence. Make a dated chronology and retain proof that written requests were delivered.

Does the Supreme Court’s Amrapali order mean I can stop paying EMIs?

No. The 18 April 2022 order addressed a defined subvention scheme and covered buyers under specific directions. It is not a general EMI waiver for every borrower whose builder defaults or resells a unit. Have your own loan arrangement and any applicable order reviewed before changing payments.

Which forum should I approach: RERA, a consumer commission, or a civil court?

The right route depends on the state, your documents, the relief you seek, and the status of any later transaction or lender action. The cases discussed here do not establish one forum for every buyer. A local lawyer can assess jurisdiction and whether urgent interim or preservation relief should be considered.

The Bottom Line

A builder’s resale and your home-loan account are separate issues, even when they arise from the same flat. Preserve the allotment and loan records, ask the lender in writing for disbursement and account details, object to the builder in writing, and get prompt local legal advice. Do not stop EMIs or sign a surrender or settlement on the strength of a verbal assurance; check your documents and any relevant order first.
