How to Form a Corporation in 9 Steps—and Avoid Common Mistakes

A practical nine-step guide to forming a U.S. corporation, organizing its records, handling tax setup, and avoiding common compliance mistakes.

To form a corporation in the United States, choose a state, check and register a compliant name, appoint a registered agent, and file articles of incorporation with the state. Then organize the company, document its shares, obtain an EIN, decide whether an S corporation tax election fits, and meet licensing and ongoing filing requirements. The exact forms, fees, deadlines, and rules depend on the state and sometimes the locality and industry.

State acceptance of the articles creates the corporation, but it does not complete its internal governance, federal tax setup, licenses, or recurring compliance. Use this as an orientation, then confirm current requirements with the formation state’s Secretary of State or equivalent, the relevant tax agencies, your locality, and the IRS.

How to form a corporation in 9 steps

The steps below are a practical sequence, not a statutory checklist that applies identically in every state. Some actions—especially the initial board decisions, bylaws, and share records—may be handled together during the corporation’s organization.

1. Decide whether a corporation fits and choose where to form it

Before filing, compare a corporation with an LLC or another structure against your ownership plans, fundraising needs, tax considerations, paperwork, and the places where the business will operate. Both corporations and LLCs provide a legal framework that can separate business and owner responsibilities, but the details and protections depend on applicable law and how the business is run. Neither structure eliminates every personal risk.

A corporation is created under state law. The state where you form it is not necessarily the only state where you will have obligations: operating in another state may require foreign qualification there, along with additional taxes, reports, and fees. Compare the actual costs and compliance duties in the state where the business will have a presence with the costs of forming elsewhere and registering to operate at home. A popular formation state does not automatically save money.

2. Choose a name and check its availability

Check the formation state’s entity-name rules and search its official business-name database before filing. The name may need to include a corporate designation or avoid words restricted by state law. State approval means the name meets that agency’s entity-registration rules; it does not establish that the name is clear for every other use.

Keep these separate:

  • Entity name: The legal name registered with the state.
  • Trademark: A distinct form of protection for a brand or mark; state entity-name approval is not federal trademark clearance or protection.
  • DBA or assumed name: A name used for business that differs from the legal name. Registering a DBA does not by itself provide legal protection.
  • Domain name: A web address, which is separate from entity and trademark registration.

Check each relevant state and federal source for the rights you need. Do not assume a name reservation, if available, settles trademark questions.

3. Appoint a registered agent

A corporation needs a registered agent in its state of formation to receive official papers and legal documents on the company’s behalf. State rules determine who can serve and what address or availability requirements apply. A founder may be eligible, or the corporation may use a registered-agent service. The service is an administrative option; it is not the corporation itself.

4. Prepare and file articles of incorporation

File the articles of incorporation—or a similarly named certificate—with the state agency responsible for business entities. The U.S. Small Business Administration describes articles as required in every state and lists common information such as the corporation’s name, purpose, shares, value, directors, and officers. States differ on the exact fields, fee, filing method, and effective date, so use the current official instructions for the state you selected rather than copying another state’s form.

Before submitting, check that the proposed share structure and other details are consistent with the company’s plans. Keep the filed document and the state’s acceptance or formation record with the corporation’s permanent records. The state filing establishes the entity; it does not automatically issue shares or complete the company’s internal organization.

5. Organize the corporation and adopt bylaws

After formation, take the appropriate initial board action to establish how the corporation will operate. Adopt bylaws covering governance, decision-making, and the duties and authority of directors and officers. Appoint officers as needed and document the decisions in written resolutions or minutes. The SBA describes bylaws as internal governance documents and recommends keeping them even where state law does not require them.

Follow the applicable state law and the corporation’s governing documents for required approvals and meeting records. Bylaws do not replace the articles: the articles are filed with the state, while bylaws govern the corporation internally.

6. Set up ownership records and issue shares

Document ownership in a way that matches the articles and the board’s decisions. Record each share issuance, including who receives the shares and the terms of the issuance, and keep records of later transfers. Maintain the corporation’s stock records, minutes, and other key documents together in its company records.

Do not treat the state’s acceptance of the articles as proof that anyone owns shares. Ownership should be established and recorded through the corporation’s proper actions and records. If the company expects to seek investment or has multiple owners, get advice on the share structure and issuance documents before making commitments.

7. Obtain an EIN and establish tax and financial administration

An Employer Identification Number (EIN) is used for federal tax administration and may be needed for hiring, opening a business bank account, and obtaining licenses. The SBA says corporations need an EIN and that applying through the IRS is free; avoid paying a third-party website simply to submit the application.

The IRS application must identify a qualified responsible party, generally the corporation’s principal officer. A person who merely helped form the entity is not the responsible party just because they acted as a formation nominee. After obtaining the EIN, establish the company’s tax, accounting, banking, and recordkeeping processes in line with its activities and obligations.

8. Decide whether to elect S corporation tax treatment

An S corporation is a corporation that elects pass-through treatment for federal tax purposes; it is not a separate state incorporation document. Federal eligibility rules include being a domestic corporation, having allowable shareholders, having no more than 100 shareholders, and having one class of stock. Form 2553 must be signed by all shareholders.

Do not assume that every corporation qualifies or that an S election will reduce a particular company’s taxes. Consider the planned owners and stock structure, the company’s circumstances, and how the state treats the election. Confirm current IRS requirements and consult a tax professional before deciding; state tax treatment may differ from federal treatment.

9. Check licenses and calendar ongoing obligations

Identify the licenses, permits, and tax registrations that apply to the business at the state, county, and city levels, as well as any industry-specific requirements. The relevant rules depend on where and how the company operates, so check with the agencies responsible for the business’s actual locations and activities.

Build a compliance calendar for the corporation’s recurring obligations, which may include:

  • Initial reports, where required, and annual or biennial state reports.
  • Franchise taxes and state corporate tax filings.
  • Employment tax and other federal tax filings that apply to the business.
  • Local tax filings, renewals, licenses, and permits.
  • Internal meetings, approvals, minutes, and updated ownership-transfer records.

The SBA says most states require annual or biennial filings, some require an initial report, and some recurring filing fees can exceed $300. Those are broad agency statements, not a quote for a particular corporation. Check the relevant state agency for the exact fee, due date, filing frequency, and consequences of missing a deadline. If the company operates in additional states, assess whether it must qualify and file there too.

How to avoid common corporation-formation mistakes

  • Choosing a formation state by reputation alone: Compare the business’s real operating footprint, state costs, taxes, and compliance requirements, including any need to register in another state.
  • Confusing name approval with brand protection: Entity registration, trademarks, DBAs, and domain names serve different purposes; check the protections you actually need.
  • Stopping after the state filing: Complete the initial governance, share documentation, tax administration, licenses, and recurring filings that apply to the company.
  • Paying for an EIN application or naming the wrong responsible party: Apply through the IRS at no charge and identify the qualified responsible party, not merely a formation helper.
  • Treating an S election as automatic or universally advantageous: Check eligibility, shareholder and stock requirements, and state tax treatment before making the election.
  • Relying on generic formation instructions for deadlines: Verify current forms, fees, reports, and permits with the agencies for the relevant state and locality.
