For each relevant entry, check the transaction date, code, number of securities, price if reported, whether ownership is direct or indirect, and the amount held after the transaction. Footnotes may describe the circumstances, relationships, or nature of indirect ownership; they can change how a line item should be characterized. Do not treat an unexplained detail as established fact.

Common transaction codes
The SEC Office of Investor Education and Advocacy’s Investor Bulletin on insider transactions and Forms 3, 4, and 5 describes these common codes:
- P: Purchase on an exchange or from another person.
- S: Sale on an exchange or to another person.
- A: Grant, award, or other acquisition from the company.
- F: Use of securities to pay an exercise price or tax liability.
- M: Exercise or conversion of a derivative security.
- G: Gift.
- J: Another transaction accompanied by a footnote.
These are common examples, not the full code set. Consult the Form 4 general instructions for other codes and their definitions. A code alone may not explain the circumstances; use the filing’s footnotes and other reported fields.

Who files Form 4, and when?
Form 4 reports transactions and holdings for covered reporting persons, including directors, officers, and certain beneficial owners who own more than 10 percent. In most cases, a report must be filed within two business days following the transaction date. The Federal Reserve’s Form 4 description likewise states that the filing is due before the end of the second business day after a transaction changing beneficial ownership is executed. The deadline describes the reporting requirement; it does not make the filing date the transaction date.

What a Form 4 does—and does not—say about a sale
A reported sale establishes that a transaction was reported, not why the person made it or what they think will happen to the trust. The SEC’s Investor Bulletin cautions: “Of course, insiders may sell company securities for any number of reasons, including for liquidity and diversification purposes.” Purchases, grants, tax-related transactions, derivative exercises, and gifts also represent different events, so a headline description such as “insider bought” or “insider sold” can omit important context.
