A token marketed as a stock does not necessarily make you a shareholder. It might be the share itself issued on a blockchain, an indirect interest in shares held by a custodian, or a separate product that only tracks a stock’s price. Before investing, establish exactly what legal claim the token gives you, what rights come with that claim, and how you could get out of the investment.
The steps below use U.S. sources as a starting point. The legal treatment, protections, eligibility rules, and remedies depend on the product documents and the laws that apply where you live.

What does a tokenized stock represent?
“Tokenized stock” describes more than one structure. The SEC staff’s January 28, 2026 statement distinguishes issuer-sponsored, custodial, and synthetic tokenized securities. The label alone does not tell you whether you own shares or have a claim against another company.

|---|---|---|
| Issuer-sponsored | The issuer, or its agent, issues the security directly on a crypto network. | Confirm which security and share class the token represents, who maintains the official ownership record, and whether token transfers update that record. |
| Custodial | An indirect interest in an underlying security held in custody, commonly described as a security entitlement. | Identify who legally holds the shares, what interest you have through the intermediary, and what happens to your claim if an intermediary fails. |
| Synthetic | A security issued by a third party that tracks a referenced stock. | Determine whether your rights are only against the product issuer. You may have no rights against the referenced company itself. |
SEC Commissioner Hester M. Peirce put the point plainly in her July 9, 2025 statement, Enchanting, but Not Magical: A Statement on the Tokenization of Securities: “Tokenized securities are still securities.” A blockchain label does not change the nature of the underlying asset or establish that a particular product has regulatory approval.
How to evaluate a tokenized stock
-
Name the instrument and map your claim
Find out who issues the token and what contract or security it represents. Read the prospectus or offering document, token terms, account agreement, and custody and transfer documents. Marketing descriptions such as “stock-backed” or “tokenized equity” are not a substitute for the governing terms. Write down who owes you what: the public company, the token issuer, a custodian, or another intermediary.
-
Translate the rights into plain language
Check whether the token represents the same share class as traditional shares or a different class. Look for explicit terms on voting, dividends, and corporate actions such as stock splits, mergers, acquisitions, and spin-offs. Determine whether dividends are passed through to you or merely reflected under a contract, and what happens in bankruptcy.
The SEC Investor Advisory Committee’s recommendation, approved March 12, 2026, says investors should be able to understand whether they have the same rights as traditional equity holders, including voting and dividends, and whether their interests rank equally in corporate actions and bankruptcy. The committee called for “mandatory disclosures that provide investors with a clear understanding of their ownership rights.” Treat each of those rights as a question to answer from the product’s documents, not an assumption based on the token’s name.

Trace custody, records, and failure scenarios
Identify the legal owner of any underlying shares, the custodian, the transfer agent or other recordkeeper, and the record that legally controls ownership. Ask what changes when the token moves between wallets. In some structures, on-chain activity informs or triggers updates to an off-chain master securityholder or intermediary record; the blockchain may not itself be the controlling ownership record.
Then consider what claim you would have if the token issuer, custodian, or platform became insolvent. A third-party issuer can add its own bankruptcy exposure even when the product references shares held elsewhere. Trace the chain of entities between you and the underlying security, and identify the documents that define your rights at each link.

Verify the intermediaries and applicable rules
List every broker-dealer, exchange, alternative trading system, custodian, and other intermediary involved. Check the relevant official records for each entity in your jurisdiction, and confirm that its registration or authorization covers the activity it performs. A company’s branding, a token’s presence on a crypto network, or the use of a familiar stock ticker does not establish regulatory status.
In a July 9, 2025 statement, Commissioner Peirce said tokenized securities remain securities and that the same legal requirements apply to on-chain and off-chain versions. She also noted that a token without legal and beneficial ownership might instead be a security-based swap, for which restrictions relevant to retail trading may apply. Classification depends on the facts and governing documents. SEC staff statements and Investor.gov educational materials are informative, but they are not binding law or a product-specific approval.

Rules, eligibility, and remedies differ by country. Do not assume that U.S. treatment applies to an investor, issuer, or venue elsewhere; check the rules and official records for the relevant jurisdiction.
-
Work out how you can transfer or exit
Find the actual venue and exit route. Check which users and wallets are eligible, whether transfers are restricted, when trading is available, and whether redemption or transfer back to a conventional account is a contractual right or merely a feature the venue currently supports. If shares are held through an intermediary, ask how a sale or transfer is reflected in the relevant records.
Best Value
Compare current quotes, bid-ask spreads, available depth, settlement arrangements, and any trading, custody, transfer, or redemption fees with the alternative of buying conventional shares. These are product- and venue-specific conditions: tokenization by itself guarantees neither a liquid market nor a usable redemption right. The SEC sources cited here do not establish live liquidity, spreads, or fees for any named product, so rely on current product documents and venue information rather than general claims about tokenized stocks.
How to compare multiple products
Compare only terms you can verify in current documents. If a product does not state an answer, record it as unknown and ask the issuer or venue for the governing document; do not fill the gap with marketing language.

What the available market statistic does—and does not—show
The SEC Investor Advisory Committee’s March 12, 2026 recommendation says traditional centralized U.S. equity-market infrastructure facilitates over $1.9 trillion in daily trading volume, attributing the figure in a footnote to the SEC’s November 18, 2024 covered-clearing-agency rule. That is context about traditional market infrastructure, not a measure of tokenized-stock trading, product liquidity, or likely execution quality. It should not be used to infer that a particular token can be sold quickly or at a fair price.
