How to Evaluate a Public Company That Holds Bitcoin on Its Balance Sheet

A company's bitcoin balance is only part of the story. Examine what it controls, how purchases are funded, which claims rank ahead of common shares, and whether it can withstand a bitcoin decline.

To evaluate a public company that holds bitcoin on its balance sheet, assess three things separately: the operating business, the bitcoin the company can actually control and use, and the claims other investors have ahead of common shareholders. A large bitcoin balance does not by itself make a stock worth more: the value depends on liabilities, dilution, financing needs, operating performance, and what each common share ultimately represents.

Use the latest filings to answer the practical questions—how much bitcoin does the company hold, is any of it pledged or loaned, does bitcoin per share rise, how are purchases funded, and what happens if bitcoin falls? Treat the analysis as a filing-based way to understand exposure, not as a stock recommendation.

First identify what role bitcoin plays in the company

The same bitcoin price move can affect companies in very different ways. Classify the issuer before comparing its balance sheet or valuation. A company may fit more than one category, so check what it actually does rather than relying on a label.

Read the latest Form 10-K, Form 10-Q, relevant Form 8-Ks, earnings materials, and the issuer’s description of its treasury strategy. Compare management’s stated policy with actual purchases, sales, lending, collateral arrangements, and fundraising. For example, Strategy’s 2025 filing describes bitcoin purchases funded with capital-raising proceeds, while MARA Holdings’ 2025 filing describes holdings alongside lending and permissions to sell bitcoin. A stated intention to hold indefinitely does not eliminate the possibility that the company will need to sell or finance its bitcoin.

How much bitcoin does it hold—and who can use it?

Record the quantity and the date it was reported. Then reconcile changes over time: purchases, mining production, sales, transfers, lending, and collateral pledges can all affect what the headline number means. Check whether reported assets include bitcoin held for customers or another party, and identify the legal owner, custodian, wallet arrangements, and any restrictions on access or sale.

A blockchain address alone does not establish that the company has the right and ability to control or use the assets. In Block, Inc.’s 2025 Form 10-K, its independent auditor identified the evaluation of bitcoin’s existence and the company’s control of it as a critical audit matter. The described procedures included examining blockchain evidence, testing management’s reconciliation of records to the blockchain, and observing a bitcoin movement to test control of private keys. This is an example of audit work at one issuer, not proof that every company’s custody arrangements are equivalent.

Useful filing details include how custody is divided among providers, who can authorize transactions, how key access is protected, and what happens if a custodian or lending counterparty fails. Read the issuer’s disclosures about disputed ownership, delayed access, and contractual rights rather than assuming that a reported holding is immediately available to meet company expenses.

Is the bitcoin pledged or loaned?

Separate bitcoin the company owns from bitcoin it can readily access. Review disclosures for assets loaned to counterparties, pledged to lenders, subject to collateral arrangements, or otherwise encumbered. For each arrangement, look for the amount, counterparty, term, recall rights, collateral requirements, and the conditions that could require additional collateral or liquidation.

MARA Holdings’ 2025 Form 10-K reported 53,822 bitcoin at December 31, 2025, of which 15,315 bitcoin were loaned or pledged as collateral. The same filing described changes permitting sales of bitcoin produced from operations and, in 2026, bitcoin held on the balance sheet. These are company- and period-specific disclosures; a current assessment requires the latest filing, not an assumption that the year-end quantities remain unchanged.

Do not treat bitcoin as cash. A 2026 annual report described the issuer’s bitcoin holdings as less liquid than cash and warned that they may not provide liquidity to the same extent. If falling prices weaken collateral coverage, borrowing arrangements may also require more collateral or lead to liquidation. Read the actual contract terms and the company’s liquidity disclosures to understand how those risks apply.

Does bitcoin per share increase?

Total bitcoin held is not the same as the exposure represented by each common share. Calculate bitcoin per diluted common share using the bitcoin quantity and share count from the same reporting date, and use a consistent share-count definition when comparing periods. Include potential common shares from convertible debt, warrants, and other instruments when the terms make them relevant.

Then examine what sits ahead of common stock. Preferred shares and debt can carry dividend, interest, redemption, liquidation, or conversion rights that affect what common shareholders receive. Read the governing terms; a financing instrument’s marketing label does not tell you how its claims rank or whether it can dilute common holders.

Strategy Inc.’s 2025 annual report says its issuer-defined BTC per share rose from 158,826 satoshis per share at the beginning of 2025 to 194,986 at year-end, and reports 22.8% BTC Yield for that period. These are Strategy’s own measures, not an industry standard or a guarantee of shareholder return. Its report also describes multiple preferred securities and capital raising, making the terms of those claims important to any common-share analysis.

Track the measure over time alongside share issuance and senior claims. An increase in bitcoin per share is a useful exposure statistic, but it does not by itself establish that common equity gained the same percentage in value: market price, financing costs, liabilities, and the operating business also matter.

How does the company fund purchases and meet its obligations?

Build a dated schedule of cash sources and required outflows. Use reported cash and short-term investments, operating cash flow, and expected financing proceeds cautiously; distinguish recurring cash generation from one-off fundraising. Include debt principal and interest, preferred distributions, lease payments, capital expenditures, and other material commitments.

  • Check debt maturities, interest rates, covenants, and any collateral or borrowing-base requirements.
  • Review preferred-security distributions, redemption provisions, and liquidation priority.
  • Compare operating cash flow with corporate expenses and committed spending, excluding unrealized bitcoin gains from cash available to pay bills.
  • Identify whether purchases depend on issuing shares, debt, or preferred securities, or on selling bitcoin.
  • Assess whether bitcoin is accessible in time to meet obligations, including any contractual limits on pledged or loaned holdings.

This schedule helps distinguish a company that can fund its business and obligations from operations from one whose plan depends on continued access to capital markets. The distinction matters most when bitcoin prices fall, funding conditions tighten, or collateral terms change.

How should you read bitcoin gains and losses in reported earnings?

Check the accounting policy, reporting period, and applicable accounting rules before comparing companies or years. For covered bitcoin holdings under U.S. accounting, ASU 2023-08 requires fair-value measurement on the statement of financial position, with fair-value gains and losses recognized in net income each reporting period and related interim and annual disclosures. A cited 2026 annual report also warns that price changes can affect carrying values, earnings, and taxes.

In the filing, look for the accounting policy, fair-value hierarchy, changes in bitcoin quantity, realized and unrealized gains or losses, tax disclosures, and any explanation of a transition to new accounting treatment. Separate non-cash fair-value movements from cash generated by the operating business, but do not dismiss them as irrelevant: they can affect taxes, covenants, reported capital measures, and how investors perceive the company. Comparisons across different accounting treatments or reporting periods may not be meaningful without adjustment.

As an example of the scale these movements can reach, MARA Holdings’ 2025 Form 10-K reported a $422.2 million decrease from fair-value changes in bitcoin during 2025. That is an issuer-specific accounting result for that period, not a measure of cash spent or a forecast of future performance.

How do you value the common stock against the assets?

Equity market capitalization divided by the market value of bitcoin is only a starting ratio. It does not automatically account for cash, other investments, operating assets, liabilities, senior securities, or dilution. Nor does it establish what the operating business is worth.

  1. Date the inputs. Use a clearly stated bitcoin price and date, a holdings figure from a specified reporting date, and a share count that matches the valuation date as closely as possible. Explain any mismatch.
  2. Build the asset side. Value bitcoin using the chosen dated price, and include cash, other investments, and operating assets where their value can be supported.
  3. Subtract claims and commitments. Account for debt, preferred securities, leases, and other material liabilities. Review conversion, redemption, and liquidation terms rather than treating all securities as ordinary shares.
  4. Translate the result to common equity. Use a diluted share count and state assumptions about convertible instruments and other potential dilution.
  5. Value the operating business separately. Consider its cash generation, competitive position, capital needs, and whether it adds value or consumes cash without assuming bitcoin appreciation.
  6. Test scenarios. Recalculate for lower bitcoin prices, changes in share count, and weaker financing conditions. Show assumptions rather than presenting a single ratio as intrinsic value.

Check the formula behind any quoted net asset value (NAV) or market-to-NAV (mNAV) figure. BTCT’s investor-relations page says its indicative NAV/mNAV figures exclude cash, liabilities, and other corporate assets, and are neither audited financial statements nor official valuations. That disclosure illustrates why a published multiple cannot replace a full capital-structure bridge.

When comparing companies, use the same date and definitions where possible. Compare operating cash-flow durability and capital needs; bitcoin quantity, disclosed cost basis and fair value, and bitcoin per diluted share; debt, preferred claims, maturities, and dilution; custody and accessible liquidity; the valuation bridge; and resilience to a bitcoin decline. If the inputs are defined differently or come from different dates, label the mismatch instead of presenting the results as directly comparable.

What happens if bitcoin falls?

Stress-test whether the company could meet operating needs and financing obligations during a sharp decline without forced bitcoin sales, collateral calls, or costly capital raising. Revisit the cash-needs schedule, pledged or loaned holdings, debt and preferred terms, operating cash generation, and planned capital spending under that scenario. The useful question is not only how much the bitcoin balance would be worth at a lower price, but whether the company could continue operating and honor its claims without relying on favorable markets.

Use the issuer’s own risk factors to identify exposures specific to its business and financing structure. Common matters to check include price volatility, concentration, custody or counterparty failure, private-key access, lending and collateral risk, liquidity, leverage, reliance on capital markets, taxes, regulation, and exposure to other digital assets. MARA Holdings’ 2025 Form 10-K states, “Bitcoin is a highly volatile asset”; that is the issuer’s risk disclosure, not an independent forecast.

What to verify in filings before comparing companies

  • Strategy and operations: Identify the company’s bitcoin role and assess the core business apart from treasury gains or losses.
  • Holdings and control: Record the bitcoin quantity and reporting date, ownership, custody, access rights, and changes in holdings.
  • Encumbrances: Find loaned, pledged, or otherwise restricted holdings and the terms that could affect access.
  • Common-share exposure: Track bitcoin per diluted share alongside new share issuance and the rights of senior securities.
  • Funding and liquidity: Compare operating cash generation with upcoming obligations and reliance on securities issuance or asset sales.
  • Accounting and valuation: Confirm the reporting rules, fair-value effects, dates, share counts, and formula behind any NAV multiple.
  • Governance: Review board oversight, custody controls, delegated managers, related-party arrangements, treasury policy, and whether practice matches policy.

Figures in company filings describe specific issuers and historical reporting dates. Before applying this framework to a named stock, refresh holdings, diluted shares, market price, financing terms, and valuation inputs from the latest available filings and dated market data.
