Before comparing apps, find out what legal claim the token gives you. A tokenized U.S. stock might represent a security issued by a company or its agent, an entitlement to shares held by a custodian, or a separate instrument that tracks a stock’s price. Those structures can differ in shareholder rights, custody, failure risk, and regulatory treatment. A familiar ticker and close price tracking do not, by themselves, mean you own the company’s shares.
What does “tokenized stock” mean on this platform?
Ask the platform to identify the legal instrument, its issuer, and the documents that govern it. Read the offering documents and customer agreement—not just the product page. Investor.gov describes three broad structures, but a platform’s label alone does not establish which one applies.

This distinction matters more than the blockchain used. SEC Commissioner Hester M. Peirce made the same general point in a July 9, 2025 statement on tokenization: blockchain does not change the nature of the underlying asset.
What rights would you actually receive?
Look for the rights granted by the legal documents, not benefits implied by terms such as “share-backed” or “stock token.” Check whether you receive any direct or indirect rights to:

- Own or hold an interest in the referenced shares, and whether it is in the same share class.
- Vote, receive dividends or other corporate-action proceeds, and obtain company information.
- Transfer the token, or make a claim against the public company, a custodian, or only the token issuer.
For a synthetic product, determine whether the agreement promises only a value linked to the stock. SEC staff’s January 2026 statement discusses the possibility that synthetic instruments lack equity, voting, information, or other rights. That statement is staff analysis, not a binding Commission rule: the staff expressly said it is not a rule, regulation, guidance, or statement of the Commission, and that the Commission had neither approved nor disapproved its content.
Who holds the shares, and what happens if a company in the chain fails?
For a custodial structure, map the chain from you to the referenced shares. Identify the broker, custodian, token issuer, and any other intermediary; then read who owns or has a claim to the shares and how the records are maintained.
- Find out whether assets are segregated, how holdings are reconciled, and which party maintains the official records.
- Read the failure and recovery provisions for the platform, issuer, broker, and custodian separately.
- Check whether a tokenholder can claim the underlying shares, has a claim against an intermediary, or is entitled only to a contractual payment.
SEC staff and a July 2025 Commissioner statement identify third-party and bankruptcy exposure as concerns for some tokenized securities. The documents for a particular product—not the general category—determine what claim you have and how recovery would work.

Can you redeem or transfer the token?
Do not assume that a token can be exchanged for shares or cash, or moved to a wallet you control. Find the current product terms and check:
- Whether redemption or conversion is available, who is eligible, and whether minimum amounts apply.
- Fees, processing times, geographic restrictions, and conditions that allow redemption to be paused or refused.
- Whether transfers to self-hosted wallets or other platforms are permitted, or whether the token can move only within a permissioned system.
General descriptions of tokenization do not establish the redemption terms of an individual product. If the platform does not clearly explain those terms, treat redemption and transferability as unverified rather than as a feature.
What regulation and investor protection apply to this exact product?
Identify each legal entity and its role: issuer, broker-dealer, trading venue, custodian, transfer agent, and liquidity provider. Check regulator records for those entities and compare them with the names in the product documents. A platform’s branding, blockchain, or use of financial-industry terminology does not establish its regulatory status.

SEC staff says alternative trading system disclosures may address access requirements, securities traded, trading operations, settlement, service providers, terms, and trading by the operator or its affiliates. Look for those disclosures where applicable.
As of October 7, 2026, the SEC’s Crypto@SEC page lists a five-year conditional exemption for certain tokenized-securities venues using automated market makers or liquidity pools and certain liquidity providers. This is not blanket approval or relief for every platform. Confirm whether the particular venue and activity qualify and meet the conditions; do not infer that they do from a platform’s description.

Check protection at the account and asset level. Find the exact entity holding your account and whether it is a SIPC member, then ask whether the particular token and claim qualify for applicable protection. SEC staff FAQs say some investment contracts without a Securities Act registration statement are not protected under SIPA, and that SIPC generally does not protect claims for non-security crypto assets. Those statements do not determine the status of an unspecified tokenized-stock product, and membership alone does not make every asset or claim protected.

What will trading really cost, and when can you trade?
Compare the total cost of buying, holding, and exiting—not only the stated commission. Check the fee schedule and, where possible, actual quotes and trading records for:
- Commissions and the bid-ask spread.
- Deposit, withdrawal, blockchain or gas, currency-conversion, and funding charges.
- Redemption or conversion costs, if those options exist.
- Trading hours, order types, observed liquidity, and price deviation from the referenced share.
- Settlement timing and transfer finality.
Ask what happens when the underlying U.S. market is closed, trading is halted, or the platform or blockchain is unavailable. Extended trading hours can be convenient, but do not by themselves show that execution is better, the market is liquid, or the token will track the share closely. The SEC Investor Advisory Committee has discussed potential benefits and risks of tokenization; it does not establish current costs or execution quality for a specific platform.

Review the platform’s operational disclosures and security terms. Establish who controls the private keys or account credentials, how access is recovered, and what authority the provider has over the token or smart contract.

- Can the provider upgrade the smart contract, freeze tokens, or change transfer permissions? Who can exercise those powers?
- What recovery process applies after a lost credential, chain outage, or smart-contract exploit?
- How does the platform communicate an outage, and what happens to pending trades or transfers?
These are questions for the platform’s own documents: general official materials do not establish the security controls of any named provider.
How to compare two platforms
Fill in this comparison from current legal documents, disclosures, and fee schedules. Write “not stated” where a platform does not disclose a term; do not treat silence as confirmation.

Compare like with like: a token that offers price exposure but no claim to shares is not equivalent to a share entitlement simply because both reference the same company. Give a platform credit for a feature only when its current terms explain who receives it and under what limits.
