Evaluate an Ethereum treasury by comparing its stated purpose and risk controls with its operating cash needs, actual asset deployment, funding and financial-statement disclosures. An ETH balance alone tells you little: liquid ETH, staked ETH, liquid-staking tokens and DeFi positions can carry different liquidity, counterparty, custody and accounting risks.
Start with the company’s purpose and mandate
Determine whether the company treats ETH as an operating reserve, a long-term treasury investment, a source of yield, or a combination. Separate its operating needs from its investment thesis. A company may describe ETH as a primary reserve asset while also using staking or DeFi; those activities add exposures beyond simply holding ETH.
Then compare what management says it intends to do with what its latest filings say it has actually done. A target, plan or forecast is not evidence of implementation or success. For example, ETHZilla’s 2025 Form 10-Q says its board adopted an Ethereum-focused strategy in August 2025, subject to market conditions and anticipated business needs, and describes raising capital and using staking, restaking, liquid staking and DeFi activities. That is a company-specific disclosure, not a general model for corporate treasuries. Read the filing.
Check whether operating reserves can cover obligations
Ask how much cash or other immediately available assets the company keeps, what obligations those reserves must cover, and how management would fund expenses if ETH fell or became difficult to sell. Look for an explicit reserve horizon, the operating-expense assumptions behind it, and a stated process for selling ETH or replenishing cash. A strategy that relies on selling volatile or encumbered assets to meet near-term obligations should make that dependence clear.

The Ethereum Foundation’s treasury policy offers one documented method, not a universal benchmark. It defines A as annual operating expense as a percentage of current treasury and B as years of operating runway; A × B determines target fiat-denominated reserves and informs the size and cadence of ETH sales. In its policy published June 4, 2025, the Foundation set A at 15% and B at 2.5 years. Those are the Foundation’s then-current policy targets, not recommendations for other organizations. Identify what “holding ETH” means in practice
Separate the company’s direct ETH from assets or claims linked to ETH, and find out how much is deployed rather than readily available. A treasury can hold ETH directly, stake it natively, hold liquid-staking tokens, lend assets, or deploy them in DeFi. Each form can change the timing and certainty of access to funds, as well as exposure to validators, custodians, counterparties, smart contracts and token de-pegs.

- Direct, unencumbered ETH: Check where it is held, who controls the keys and whether the company can access or sell it when needed.
- Native staking: Look for validator operators, monitoring, slashing controls and the company’s disclosed assumptions about access to staked assets.
- Liquid-staking tokens: Determine what the token represents, how redemption works according to the filing, and what additional market or de-peg risks are disclosed.
- Lending and DeFi: Identify the protocols and counterparties, the amount deployed, exposure limits and the company’s stated process for reviewing or exiting positions.
The Ethereum Foundation says it uses solo staking and supplies wETH to established lending protocols, with regular reassessment of security, liquidity, de-peg risk and other factors. It also says it may reallocate funds between protocols or periodically sell ETH to restore its operating buffer. These disclosures illustrate why a headline ETH total does not by itself describe liquidity or risk. The policy describes its approach.
Assess controls, governance and downside scenarios
Look for specific controls rather than broad assurances that assets are managed conservatively. Relevant disclosures include custody arrangements and key controls, counterparty and smart-contract review, validator operations, monitoring, exposure limits, unencumbered liquidity, board oversight, and conditions for rebalancing or unwinding positions. Also check whether the company describes who is responsible for these controls and how often the policy is reassessed.

A SEC-filed annual report describing an ETH treasury framework says the company evaluates staking and related mechanisms based on security, liquidity, counterparty and regulatory profiles. It also describes conservative exposure sizing, custody and validator operations, client diversity, performance monitoring and unencumbered liquidity. These are the filer’s stated priorities and expectations, not independently verified outcomes. The report identifies ETH prices, staking economics, security and custody spending, and access to capital as drivers or uncertainties. Read the annual report.
Test the policy against difficult conditions: ETH prices fall while operating costs continue; staked assets cannot be accessed when needed; a staking or DeFi counterparty fails; or capital markets are unavailable. A separate company annual report says its ETH treasury strategy had not been tested over an extended period or under different market conditions. That is a warning about the limits of experience, not a probability estimate for any other company. See the risk disclosure.

The same 2026-filed report gives the filer’s historical Coinbase trading range for calendar year 2025 as below $1,472 to above $4,821 per ETH. This is a company-disclosed historical range, not a current quote or forecast. The report also discusses concentration in ETH and related staking tokens, financing dependence, slashing, possible loss of deployed principal and uncertainty around custodian insolvency. Find out whether purchases or related activities are funded from operating cash, equity issuance, equity-linked debt or other financing. Consider what that means for shareholders and creditors: equity funding may dilute existing shareholders, debt creates obligations, and either approach may leave the strategy dependent on continued access to capital markets. Compare funding needs and obligations with the liquidity the company says it maintains; do not assume asset-price gains will cover financing costs or operating needs.

Read the accounting policy, not just the treasury headline
Check how the company measures ETH, staking rewards, incentive tokens and liquid-staking tokens, and where gains or losses appear in the financial statements. Pay attention to valuation inputs and judgments as well as any explanation of how the policy differs among asset types.
In its 2025 Form 10-Q, ETHZilla says ETH and certain incentive tokens were recorded at fair value, with changes in fair value recognized in income. It describes a different accounting approach for its liquid-staking tokens and notes judgment and diversity in industry practice. This is a reason to read each company’s own accounting notes, not to assume all ETH-linked assets receive identical treatment. See ETHZilla’s filing.
Compare disclosed policy with actual implementation
When assessing one company—or comparing several—use the same questions for each. The comparison is a way to organize diligence, not a scoring system: the cited disclosures do not provide standardized cross-company performance data proving that one approach is superior.
- Purpose: Is ETH intended as an operating reserve, long-term exposure, yield-generating asset or a mix?
- Reserve adequacy: Are cash, immediate liquidity, liabilities, operating assumptions and the reserve horizon explained?
- Exposure and liquidity: What is held directly, staked, represented by tokens or deployed, and how much remains unencumbered?
- Risk governance: Are custody, counterparties, smart contracts, validators, slashing, concentration and board oversight addressed?
- Funding: What role do operating cash, equity, debt or other financing play, and what obligations or dilution follow?
- Accounting and disclosure: How are assets, rewards, gains, losses and valuation judgments reported?
- Implementation: Which actions are completed and disclosed, and which remain targets, plans or forward-looking statements?
Use current filings for company-specific facts. A disclosed control or policy shows what management says it does; it does not establish that the control worked under every market condition or that the strategy produced a particular result.
