That distinction can determine whether an inter-office activity qualifies as an export of services: the statutory definition requires, among other conditions, that supplier and recipient are not merely establishments of a distinct person. A foreign-currency remittance by itself does not establish export status or refund eligibility.
This guide assumes Indian GST. Use it to build a transaction file and reconcile it to returns and any refund application; it is not a universal attachment list or a substitute for advice on a specific structure. The Karnataka GST Audit Manual is useful audit guidance, but it is not a binding checklist for every Indian state or fact pattern.

Why the legal structure comes before the paperwork
Under the IGST Act, an establishment in India and another establishment outside India are treated as establishments of distinct persons. The Act also treats a branch or agency as an establishment in the territory where it is located. These rules make the legal and operational relationship between the Indian office and overseas office central to the GST analysis, rather than a detail to be inferred from the accounting entry. See the CBIC IGST Act text.

The export-of-services definition is cumulative. The supplier must be in India, the recipient outside India, the place of supply outside India, payment must meet the applicable receipt condition, and supplier and recipient must not merely be establishments of a distinct person. A transaction that fails one condition does not become an export simply because money was received from abroad. The definition is reproduced in the 52nd GST Council meeting agenda.

That threshold analysis affects the documents worth assembling. A same-entity branch allocation, a service supplied to an overseas subsidiary, and a third-party export may involve similar invoices or remittances but have different legal character. Start with an entity-and-establishment map, then document the activity, place of supply, valuation and payment facts that support the chosen treatment.
Build a transaction file that can be followed end to end
Keep a file for each transaction type or recurring allocation and maintain a period-level reconciliation. The records below form a practical audit framework, not a claim that every item must be attached to every return or refund application.
1. Map the parties and establishments
- Name the Indian GST-registered person and identify its GST registration or registrations relevant to the transaction.
- Identify the overseas office, branch or head office, its location, legal owner, and any registration or organisational identity relevant to the arrangement.
- Record whether the overseas party is an establishment of the same legal person or a separate legal entity. Retain incorporation, registration, organisational and intercompany documents that support that description.
- Show which location performed the activity, which location received it, and which business used the resulting output or benefit.
This map makes the distinct-establishment issue testable. Do not rely solely on labels such as “affiliate,” “branch,” “shared service” or “cost recharge”; the underlying ownership and operating facts matter.
Quick wins for a faster PC:
Scan for outdated or missing drivers - takes under a minuteDriver Scan →Clear out junk files and repair common Windows errorsFree Scan →2. Write a transaction narrative
For each transaction type, describe what happened in ordinary operational terms: the work performed, the people or office that performed it, the intended business purpose, the recipient or user, and where the work and output were located or used. Distinguish services supplied to an unrelated customer from internal support, head-office functions, branch operations and cost allocations.
Attach or cross-reference the contract, service description, work records, correspondence, deliverables or other contemporaneous evidence that fits the activity. An internal description should explain the actual arrangement, not merely repeat the GST label used in a ledger or return.
3. Preserve the accounting trail and allocation calculation
Keep branch ledger extracts, inter-office account entries, journal vouchers, cost-pool schedules and the allocation key used for each period. Show the source costs, the calculation, the entities or locations included, the basis for allocating amounts, and any adjustments. Reconcile opening balances, current-period entries, settlements and closing balances so an auditor can trace a total back to individual transactions.

Where a value is reported or an allocation is made, retain the calculation and explain why the method fits the transaction. CBIC Circular No. 199/11/2023-GST addresses offices in different Indian States treated as distinct persons and Rule 28 valuation. It can be useful context for valuation analysis, but it does not by itself resolve every overseas-branch fact pattern. Read the CBIC circular alongside the facts and applicable law.
An internal debit, credit or journal entry is evidence of accounting treatment; it does not alone prove that a taxable supply occurred or establish the correct value. Preserve the commercial and operational basis as well as the arithmetic.
4. Record the place-of-supply and tax-position analysis
Prepare a short memo identifying the supplier, recipient, activity and applicable place-of-supply rule, with the facts that support the conclusion. Address relevant sector-specific rules or intermediary treatment where the activity could fall within them. CBIC’s sectoral FAQs for banking and insurance illustrate why sector-specific treatment should be checked rather than assuming one general rule fits every service.
For an asserted export, separately map each statutory condition to a fact and supporting document. If the parties are establishments of one person, explain how that affects the distinct-establishment condition rather than treating a payment certificate or invoice as a substitute for that analysis.
5. Match invoices, internal records and payments
Retain tax invoices where issued, relevant debit or credit notes, internal allocation advice, service descriptions, and supporting valuation workpapers. For export treatment or a refund route that depends on realization, preserve bank advice, remittance records and invoice-level matching, including the applicable currency and rupee conversion basis used in the records.
If no foreign-currency payment occurred, document the accounting and operational movement accurately instead of creating a payment narrative that did not happen. The Karnataka GST Audit Manual notes that transactions between establishments can be notional and that relevant records may need to be checked beyond GST filings. It also cautions that foreign-currency payments do not always constitute an import of services. See section 48.2 of the Commercial Taxes Department, Government of Karnataka GST Audit Manual. This is state-level audit guidance, not a substitute for the statutory analysis or a universal rule.

- Ideal For Small Business or Personal Use: An accounting log journal can track your business or personal financial status. With a clear record of transactions, you can find unnecessary expenses or fraudulent charges
6. Reconcile the file to GST reporting
At the close of each relevant period, tie the transaction schedule to accounting records and the GST returns in which the activity, tax or credit is reported. Where relevant, reconcile the selected treatment to tax paid or an LUT/bond position, input tax credit calculations, amendments, credit notes and the refund application. Keep a clear bridge from transaction-level entries to return-level totals so differences can be explained without recreating the file during an audit.
The Karnataka manual recommends looking at GST filings and records under allied laws when reviewing overseas-establishment transactions. Its guidance is a reason to ensure the transaction story is consistent across records, not a statement that every allied-law record is a mandatory GST attachment.
7. Maintain an exceptions log
Record delayed or missing realization, mismatches between bank and invoice data, credit notes, reversals, amended returns, valuation changes and other departures from the normal process. For each item, note the period, amount, reason, corrective action, date and responsible reviewer. A dated record of how an inconsistency was investigated is more useful than an unexplained difference carried from one reconciliation to the next.

Test export treatment condition by condition
Use the export definition as a decision sequence. A positive answer on one element does not cure a failure on another, and the evidence file should make each conclusion visible.
- Supplier: Identify the supplier and establish that it is located in India for the transaction.
- Recipient: Identify the recipient and establish that it is located outside India. Confirm whether it is a separate entity or an establishment of the same person.
- Place of supply: Apply the relevant place-of-supply rule to the actual service and record the facts supporting the result. Check any relevant sector-specific or intermediary treatment.
- Payment: Determine whether the applicable receipt condition is met and match the qualifying receipt to the service and period. Preserve payment records and the currency/INR basis used.
- Distinct establishments: Test whether supplier and recipient are merely establishments of a distinct person. The overseas location or remittance does not erase this statutory condition.
In particular, where an Indian operation and overseas branch are establishments of the same legal person, the distinct-establishment condition can prevent the activity from qualifying as an export of services. That issue should be resolved from the legal structure and statutory rules before relying on export-related return or refund treatment.
Choose the refund route before assembling attachments
Rule 89 provides for electronic filing of FORM GST RFD-01 for applicable refund claims, with documentary evidence relevant to the claim category. The form and evidence should follow the actual refund route; a generic export folder is not a substitute for category-specific requirements. Consult the current CBIC CGST Rules, including Rule 89, and the CBIC GST Refund Rules page.

For a claim involving unutilized input tax credit on zero-rated supplies, Rule 89 includes a formula and category-specific inputs. The service-export turnover calculation is linked to payments received for export services during the relevant period, completed services paid in advance in an earlier period, and advances for services not completed in the relevant period. Build the calculation from transaction and payment records for the relevant period; do not assume that every invoice issued or every amount booked automatically belongs in the same part of the calculation.
Goods-export evidence follows a different route. The official refund rules describe timing linked to the export manifest or report for goods exports; that evidence should not be substituted for service-export support. For service exports without payment of integrated tax, CBIC’s FAQ notes the LUT/bond mechanism alongside section 16(3) of the IGST Act and Rule 96A. Verify the current portal requirements and the exact refund route before filing using the CBIC FAQ resource and current applicable rules.
Refund preparation sequence
- Classify the claim: Identify the relevant Rule 89 category and whether the claim concerns services, goods, unutilized input tax credit or another applicable route.
- Confirm export eligibility: Keep the condition-by-condition export analysis with the claim file. Do not treat receipt of foreign currency as conclusive proof.
- Reconcile the amount: Tie the relevant turnover, qualifying receipts, advances, completed services and credit calculations to the books, invoices, bank evidence and returns.
- Map each document: Create an index linking each document to the requirement or amount it supports. Separate service-export evidence from goods-export records.
- Review filing requirements: Check the current RFD-01 process, portal fields, documentary requirements, amendments and applicable rules at the time of filing. Procedures can change.
How the documentation differs by transaction pattern
| Pattern | What to establish | Records that matter most | Key caution |
|---|---|---|---|
| Activity between Indian office and its overseas branch | Whether the offices are establishments of the same legal person; what activity occurred; where it was performed and used; whether any payment or allocation was recorded. | Entity map, operational narrative, branch ledger, journal entries, allocation calculation, return reconciliation, and any payment evidence. | Do not infer export status from the overseas location or a remittance; test the distinct-establishment condition. |
| Service to a separate overseas legal entity | The recipient’s separate legal identity, service activity, recipient location, place of supply, payment condition and other export requirements. | Entity documents, contract or service description, work and delivery records, place-of-supply memo, invoice, bank matching and return/refund tie-out. | A separate entity may address the distinct-establishment issue, but all other export conditions still need support. |
| Internal cost allocation or shared-cost recharge | What costs were pooled, which offices benefited, the allocation key and the GST treatment of the underlying activity. | Source invoices, cost-pool schedule, allocation workings, inter-office postings, method rationale and period reconciliation. | A cost recharge or journal entry alone does not establish the legal nature, taxable value or export status of a supply. |
| Goods export | That the claim follows the goods-export route and applicable export reporting/timing requirements. | Goods-export evidence and refund documents applicable to that route. | Do not substitute goods-export manifest/report evidence for service-export documentation. |
Comparing the treatment paths
When deciding how to document a transaction, compare the possibilities on the same factual axes rather than starting from the desired refund result. First ask whether the parties are separate legal entities or establishments of one person. Then identify the activity and any sector-specific rule, determine place of supply, establish whether consideration or an internal allocation exists and how it was valued, test the payment requirement for export status, and select the refund route and evidence that correspond to the claim.
This comparison is particularly important where the accounting records use similar descriptions for unlike arrangements. A separate overseas company may have its own legal identity, but that alone does not establish the place of supply or payment conditions. Conversely, a same-entity branch may have ledger allocations and cross-border cash movements without becoming a separate customer. Keep the analysis anchored to the legal relationship and actual activity, not the fact that a charge was raised or settled.
For a recurring allocation, document the method consistently across periods and explain changes. If a cost pool includes several offices, preserve which costs were included, which locations were treated as beneficiaries, and how the allocation was calculated. Where the factual pattern changes—such as a different service, receiving location, or legal counterparty—review whether the previous tax-position memo still applies rather than carrying it forward by default.
Common documentation failures and how to prevent them
- Starting with the remittance: A bank credit is one piece of evidence, not the legal analysis. First establish the parties and service, then apply each export condition.
- Calling a branch an affiliate: Informal labels can blur whether the overseas operation is part of the same person or a separate company. Support the description with ownership and organisational records.
- Recording only a net monthly balance: A net inter-office figure can hide what activities and costs produced it. Preserve transaction or cost-pool detail and reconcile it to the net posting.
- Using an unexplained allocation key: Keep the chosen basis, inputs and calculation. If the basis changes, record when and why and reconcile the impact.
- Assuming an invoice proves export: An invoice does not establish the recipient’s legal status, place of supply, payment condition or distinct-establishment result. Make the supporting analysis part of the file.
- Reusing a goods checklist for services: The refund route and supporting evidence depend on claim category. Map documents to the service claim rather than attaching unrelated export records.
- Leaving differences unresolved: Do not let return, ledger, invoice and bank mismatches persist without an owner and explanation. Put them in the exceptions log and document corrective action.
Keep the position current
GST legislation, refund procedures, portal requirements, CBIC circulars and applicable RBI rules may change. Check the operative IGST Act, CGST Rules, circulars, forms and procedural instructions at filing, and retain the version or effective date relied on in the tax memo. There is no single retention period or exhaustive attachment list established here for every overseas-branch transaction, so apply the records-retention rules relevant to the taxpayer and claim.

The practical objective is for a reviewer to trace the chain from legal identity, through the real activity and calculation, to the return and any amount claimed.
Frequently Asked Questions
Does receiving payment from India change the GST export-of-services position?
The source of payment is only one part of the analysis. Export status requires all statutory conditions to be met, including the recipient and place-of-supply tests and the condition that supplier and recipient are not merely establishments of a distinct person. A payment from India does not, by itself, settle those questions.
Can a remittance to or from an overseas branch prove that the transaction is an export?
No. A foreign-currency receipt alone is insufficient. First establish the legal relationship between the offices, the activity performed, the place of supply, and whether the applicable receipt condition is met. The distinct-establishment condition can prevent a same-person branch transaction from qualifying as an export of services.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsWhat if there is no foreign-currency payment between the branch offices?
Do not assume that the absence of a cash remittance means there was no transaction. The Karnataka GST Audit Manual notes that branch transactions may be notional and advises checking GST filings and records under allied laws. Document the actual operational and accounting movements, then assess the statutory treatment.
Is an inter-office journal entry enough to support an allocation or its value?
No. Keep the source costs, cost pool, allocation key, calculation and period reconciliation, along with the operational or commercial basis for the method. A journal entry records accounting treatment but does not alone prove that a taxable supply occurred or establish its correct value.
Can I use the same export documents for a service refund and a goods refund?
Not automatically. Rule 89 evidence and calculations depend on the claim category. Goods-export timing and evidence linked to the export manifest or report should not be substituted for service-export records. Check the current RFD-01 requirements for the actual refund route.
What is the most important first step before filing an overseas-branch refund claim?
Confirm the legal identity and relationship of the Indian and overseas offices, then test each export-of-services condition against the facts. Only after that should you reconcile the transaction amounts and map documents to the applicable refund category.

The Bottom Line
Build the file around the transaction’s legal character: identify the parties, describe the real activity, document place of supply and valuation, preserve payment or notional-accounting evidence, and reconcile it to returns and the specific refund route. A remittance or journal entry is not a substitute for testing the export conditions. Confirm current India GST rules and the facts of the legal structure before filing.
