Build that record from the company’s governing documents, signed financing agreements, payment evidence, the capitalization table, board or shareholder approvals, and a controlled data room.
The workflow below is a practical recordkeeping framework, not a universal legal checklist. The securities guidance cited here is U.S.-specific, while the governance and data-room guidance from GOV.UK is UK material; companies should have counsel confirm the requirements for their jurisdiction, entity type, and offering exemption.

What a complete financing record must prove
An investor file is complete when an independent reviewer can follow the transaction from authority to cash receipt to ownership. Keep five connected answers together:
- Authority: Which board, shareholder body, manager, or authorized officer approved the transaction? On what date, under what quorum or written-consent process, and with which investor consents?
- Terms: What security or instrument was issued, at what price or valuation basis, with what rights, conditions, and conversion mechanics?
- Allocation: What legal entity invested, how much was committed, how much was actually received, and what shares, units, options, notes, or future rights correspond to it?
- Ownership: How did the closing affect the capitalization table, dilution, option pool, conversions, and each holder’s percentage or unit count?
- Use and access: What was the money intended to fund, how are variances explained, and which controlled folder contains the current documents and access history?
Do not rely on a round label such as “seed” or “Series A” as evidence of legality or ownership. The label is commercial shorthand; the signed instrument, approvals, cap table, and applicable securities rules control.

Confirm authority before promising an allocation
Before a founder tells an investor that a particular allocation is available, map the proposed transaction against the company’s constitutional and contractual documents. Check the charter or articles, bylaws or operating agreement, existing shareholder or investor agreements, board composition, delegated signing authority, and any reserved-matter schedule.
Build an approval map
| Proposed action | Questions to answer | Record to retain |
|---|---|---|
| Issue shares or membership interests | Does the board or manager have authority? Are shareholder, member, or investor consents required? | Board or manager minutes, written consents, signed subscription or purchase agreement |
| Change rights or create a new class | Do the charter, articles, operating agreement, or investor rights require a class vote or reserved-matter approval? | Approvals, amended constitutional documents, rights schedule, final instrument |
| Issue options or other rights to acquire equity | Is there an approved equity plan and sufficient pool? Who can grant the award? | Plan approval, grant approval, award agreement, updated option ledger |
| Borrow or issue a convertible instrument | Do debt limits, negative covenants, or existing investor agreements require consent? | Borrowing approval, note or SAFE, board materials, payment evidence |
| Sell material assets or alter the constitution | Are these listed as reserved matters or otherwise subject to investor approval? | Consent record, transaction documents, explanation of impact |
GOV.UK describes board minutes as official governance records and identifies matters such as issuing shares or changing share rights as decisions that may require investor approval under negotiated terms. Its term-sheet material is written for the space sector and is explicitly non-exhaustive, so treat those examples as a prompt to inspect your own agreements, not as a universal rule. See GOV.UK’s term-sheet guardrails.
Resolve authority gaps before signing
If the documents are unclear, pause the allocation rather than trying to cure it with an informal email. Ask counsel or the company secretary to identify the required approval, voting threshold, notice period, and signing authority. A later ratification may not fix a breach of pre-emption rights, class rights, debt covenants, or an investor-consent clause. Record the conclusion and the date on which authority was confirmed.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsRecord the financing decision in minutes or a written consent
The decision record should distinguish discussion from approval. A board that reviewed a term sheet has not necessarily approved an issuance. Use minutes or a written consent in the form permitted by local law and the company’s governing documents.
Include these elements
- Date, meeting type or written-consent method, notice or waiver details, and the quorum or consent threshold.
- Names and roles of participants, recusals or conflicts, and the people who voted or signed.
- The financing purpose and a concise rationale, including material alternatives considered when useful.
- The investor or investor group, instrument, class, principal amount, price or valuation terms, and key rights being approved.
- Conditions to closing, such as definitive documents, regulatory filings, funds received, or investor consents.
- The exact resolution: what is authorized, who may sign, and any limits on changes before closing.
- Attachments or precise references to the final term sheet, purchase agreement, note, SAFE, option plan, cap-table version, and use-of-funds plan.
- Approval status and execution date. Do not write that a proposal was approved if the meeting only discussed it or approved a future recommendation.
Keep the signed minutes or consent with the executed transaction documents. If terms change between approval and closing, document whether the change is within the original authority or requires a new approval. A short amendment memo that identifies the old and new terms is preferable to silently replacing a PDF.

Make every investor allocation auditable
Maintain a transaction schedule that reconciles the signed agreement, the approval record, the ownership ledger, and the bank statement. The field list below is a practical design, not a regulator-prescribed template. It is derived from the distinctions the SEC makes among startup securities and from diligence expectations in the GOV.UK checklist.
| Field | What to capture | Why it matters |
|---|---|---|
| Investor identity | Full legal name, entity type, registration details where relevant, address, and authorized signatory | Prevents ambiguity between a person, fund, nominee, or related entity |
| Commitment and receipt | Currency, amount committed, amount funded, funding date, bank reference, and any unpaid balance | Separates a promise to invest from cash actually received |
| Instrument | Common or preferred stock, LLC membership interest, option, restricted stock, convertible note, SAFE, or other debt/equity right | Determines ownership, priority, voting, conversion, and repayment mechanics |
| Class and rights | Class or series, votes, dividends, liquidation preference, information rights, transfer restrictions, and protective provisions | Captures differences that a single share count can hide |
| Price or valuation basis | Price per share or unit, valuation cap, discount, interest rate, maturity, or other pricing formula | Allows another person to reproduce the allocation or future conversion |
| Quantity or conversion terms | Shares or units issued, option quantity and exercise price, principal and accrued interest, or the trigger and formula for conversion | Links the agreement to the cap table and later events |
| Conditions | Closing conditions, milestones, regulatory or consent requirements, and side-letter obligations | Shows what must occur before the allocation is unconditional |
| Approvals and execution | Approval date and reference, signatories, agreement date, closing date, and amendment history | Creates the decision trail and version control |
Use a unique transaction or certificate ID in the schedule and in the cap-table ledger. Store the executed agreement and payment proof under that ID. If a nominee, special-purpose vehicle, or trustee appears, record both the legal holder and the beneficial-owner information required by your compliance process.

Match the record to the instrument
The SEC explains that common and preferred stock can have different rights; an LLC records membership interests rather than corporate shares; an option is a right to buy shares under specified terms; and a SAFE generally promises a future ownership interest after a triggering event. A convertible note adds debt terms before any conversion. Read the instrument-specific explanation at SEC, Common Startup Securities, whose page was dated June 12, 2024 and last reviewed or updated August 8, 2025.
| Instrument | Record at issuance | Ownership event to monitor |
|---|---|---|
| Common or preferred stock | Class, number of shares, price, rights, restrictions, and certificate or electronic-ledger reference | Issue, transfer, repurchase, split, conversion, or rights amendment |
| LLC membership interest | Units or percentage interest, class, economic and voting rights, and operating-agreement provisions | Admission, transfer, additional contributions, or allocation changes |
| Option or restricted equity | Plan authority, recipient, quantity, vesting, exercise price, tax status where relevant, and grant date | Vesting, exercise, cancellation, expiration, or repurchase |
| Convertible note | Principal, interest, maturity, discount or cap, qualified-financing trigger, and repayment rights | Interest accrual, maturity action, conversion, repayment, or amendment |
| SAFE | Purchase amount, valuation cap or discount if any, trigger events, pro-rata or other rights, and executed version | Equity financing, acquisition, dissolution, amendment, or conversion calculation |
A SAFE is not current share ownership merely because cash was received. Until a triggering event or other contractual outcome, show the instrument and its potential effect separately from issued shares, using the contract’s terminology. The same discipline applies to notes, options, and unexercised rights.
Reconcile the cap table, cash and dilution after closing
After each closing, perform a four-way reconciliation: signed documents, money received, the ownership ledger or cap table, and the accounting record. The cap table should show the ownership basis that applies to your entity—shares, units, or percentages—and identify what is issued, reserved, granted, converted, and merely promised.

- Freeze the closing set. Assign a closing date and version number. List every agreement, amendment, consent, certificate, wire confirmation, and fee included in that close.
- Verify cash. Match each investor’s funded amount to the bank statement and accounting entry. Flag shortfalls, overpayments, foreign-exchange differences, escrow, and funds received before all conditions were met.
- Recalculate ownership. Enter issued shares or units, option-pool changes, conversions, repurchases, and any new class rights. Show pre-money and post-money assumptions only when the agreements define them.
- Model contingent instruments separately. Calculate the possible effect of notes, SAFEs, options, warrants, and promised grants under the relevant scenarios. Do not present a scenario as issued ownership.
- Obtain a second review. Have a finance lead, company secretary, or counsel compare the schedule to the signed documents and approve the final version.
- Lock the version and log changes. Preserve the prior cap table, identify the editor and date, describe the change, and link to the supporting document.
GOV.UK’s diligence checklist treats a cap table and previous funding agreements as core records. The SEC likewise notes that an investor’s ownership is often shown as a percentage of stock or a number of shares or units on the capitalization table. See the GOV.UK data-room checklist.
Handle common reconciliation differences
- Commitment exceeds cash: keep the commitment as an obligation or condition, but record only the funded amount as received and explain the remaining balance.
- Cash exceeds the signed amount: place the excess in a clearly identified suspense or refundable category until the parties document its treatment; do not silently increase shares.
- Cap table and agreement disagree: stop further issuances that rely on the disputed number, identify the controlling document with counsel, and issue a dated correction or amendment.
- Conversion is uncertain: preserve the unconverted instrument and show a scenario calculation with its assumptions rather than choosing an unsupported share count.
Document what the funds are intended to accomplish
Keep a dated use-of-funds statement beside the financing approvals and cap-table version. Break the plan into operating categories or milestones—such as hiring, product development, regulatory work, inventory, or working capital—at a level that can be compared with management accounts.
Connect plan, reporting and variance
- State the total amount raised, the portion covered by each closing, and the period the plan is intended to fund.
- Assign an owner and measurable milestone to each major category.
- Report actual spending on the same categories and calendar basis used in the plan.
- Explain material timing, cost, scope, or exchange-rate variances in the next board pack.
- Update the forecast without deleting the original approved plan; retain both versions and the approval for any material reallocation.
GOV.UK specifically warns that mismatches among financial statements, board minutes, and forecasts can create diligence concerns. A reviewer should not have to infer why a hiring budget became acquisition spending or why the amount raised differs between the pitch deck and the accounts.
Prepare a controlled data room for diligence
Organize the file room by financing round and document type. A practical index includes:
- Pitch deck or investment memorandum used for the round
- Term sheet and all amendments
- Executed stock, unit, option, note, SAFE, or debt agreements
- Board, shareholder, member, or investor-consent records
- Current and historical cap tables, option ledger, and conversion schedules
- Bank confirmations and a reconciliation of committed versus received funds
- Use-of-funds statement, budgets, forecasts, management accounts, and variance notes
- Material investor side letters, information-rights reports, and previous funding agreements
Control access and versions
Use secure data-room software with version control and detailed access logs, as recommended by GOV.UK. Give access by investor or diligence tier, use read-only permissions where appropriate, and require a confidentiality agreement before exposing sensitive information. Maintain an index showing file owner, “current as of” date, version, and last review.

Remove access promptly when a diligence process ends or an investor no longer has a contractual right to view the material.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Keep the securities-compliance record with the allocation
For a U.S. financing that is not registered, the offering must fit an applicable exemption. The SEC’s early-stage investor guidance explains that a “seed” or “Series A” label does not determine the exemption or make an offering compliant. Review the current guidance at SEC, Early-Stage Investors.
Record the exemption and investor status
For each U.S. offering, retain the exemption analysis, filing or notice information where applicable, solicitation materials, investor questionnaires, and any required representations. The evidence should identify why the company believed the offering qualified and who approved that conclusion.
Rule 506(b) and Rule 506(c) have different accredited-investor requirements. The SEC states that Rule 506(b) uses a reasonable-belief standard, while Rule 506(c) requires reasonable steps to verify accredited status; merely checking a box is insufficient for the latter. Keep the verification method, date, provider or document reviewed, and access restriction with the investor file. See SEC, Assessing Accredited Investors under Regulation D, last updated April 24, 2026.
These U.S. concepts do not automatically apply to a UK company, a non-U.S. investor, or another jurisdiction. Obtain advice on local prospectus, private-placement, financial-promotion, beneficial-ownership, tax, and filing rules before marketing or closing a round.

Choose an administration setup that fits the round
The right system depends on instrument complexity, number of holders, jurisdiction, and diligence expectations. A spreadsheet can be a calculation layer, but it should not be the sole legal record.
| Situation | Minimum workable setup | When to add specialist support |
|---|---|---|
| Small round with one straightforward equity class | Signed agreement folder, approval minutes, payment reconciliation, controlled cap-table workbook, and change log | Multiple classes, side letters, or investors in several jurisdictions |
| Several SAFEs or convertible notes | Instrument register with trigger, cap, discount, maturity, and scenario calculations kept apart from issued ownership | Overlapping conversion terms, bridge rounds, or a near-term priced financing |
| Employee options plus investor equity | Cap table linked to an option ledger, plan approvals, grant agreements, vesting and exercise records | Cross-border grants, tax-sensitive awards, or a large employee pool |
| Institutional diligence or repeated closings | Versioned data room, access logs, standardized transaction IDs, and scheduled reconciliations | Dedicated cap-table or equity-management software and a finance/legal owner |
Cap-table software can reduce calculation and versioning errors, while a virtual data room can improve permissions and audit logs. Neither replaces board authority, a signed financing agreement, payment evidence, or jurisdiction-specific legal review.
Maintain the record after the round
Set recurring controls
- Review the cap table after every issuance, transfer, exercise, repurchase, conversion, or cancellation.
- Reconcile the investor register to the general ledger and bank records at each close and at a regular month-end or quarter-end cadence.
- Confirm that board and investor information rights are being met on the agreed schedule.
- Update the data-room index when a forecast, board pack, financial statement, or material agreement changes.
- Test access permissions and remove former advisers, employees, and investors who no longer need access.
- Back up executed documents and preserve an immutable or otherwise protected copy of the approval and closing set.
Assign ownership
Name one accountable owner for the cap table, one for governance records, and one for cash and use-of-funds reporting, even if one person fills all three roles in a small company. Define who may edit, who reviews, and who approves. A file with no owner becomes unreliable when a founder leaves or a financing accelerates.
Failure modes and practical fixes
| Failure | Why it causes trouble | Fix |
|---|---|---|
| Using an unsigned term sheet as proof of ownership | It may not create the promised security or contain final rights | Store it as negotiation history and rely on the executed instrument and closing evidence |
| Recording only percentages | Percentages can hide classes, option pools, conversions, and rounding | Show shares or units, class, calculation basis, and contingent instruments separately |
| Counting a SAFE or note as issued equity | Conversion depends on contractual triggers and formulas | Keep it in an instrument register and model scenarios without labeling them as issued ownership |
| Approving a different deal from the one that closed | The decision trail no longer supports the executed terms | Obtain a new approval or a documented amendment before closing |
| Ignoring unpaid commitments | Cash forecasts and ownership records diverge | Track committed, due, received, refunded, and outstanding amounts separately |
| Overwriting old cap tables | No one can reconstruct ownership at a past date | Use dated versions, a change log, and links to each supporting transaction |
| Sharing a public link to sensitive files | Access cannot be limited or audited | Use tiered permissions, NDAs, expiration dates, and access logs |
| Assuming a round name proves an exemption | Offering rules depend on facts and the applicable legal framework | Document the exemption analysis and investor verification under the relevant jurisdiction |
A closing checklist for founders and finance leads
- Read the governing documents and investor agreements; list every required approval and consent.
- Prepare a decision memo with the proposed investors, instrument, amount, rights, conditions, and use of funds.
- Obtain board, shareholder, member, manager, or investor approval through the permitted process.
- Execute the definitive financing documents and assign transaction IDs.
- Reconcile each commitment to funds received and retain bank evidence.
- Update the ownership ledger, cap table, option ledger, and conversion schedule.
- Record the exemption, investor-status evidence, filings, and jurisdiction-specific compliance documents where applicable.
- Publish a dated use-of-funds plan and connect it to management reporting.
- Assemble the round folder and data-room index; apply version controls and access tiers.
- Schedule the next review for outstanding conditions, conversions, reporting rights, and material spending variances.
If these steps are followed, a future investor, auditor, board member, or buyer can trace not only who received what, but also why the company had authority to issue it, whether the cash arrived, how ownership was calculated, and how the financing is being used.
