To compare an e-commerce company with listed competitors, first find businesses with similar economics, then calculate their enterprise values and valuation multiples on the same basis. Compare the results with growth, margins, cash generation, scale and risk—not just a sector median. A peer median is a reference point, not a stand-alone answer to what a company is worth.
1. Define the valuation question
Before choosing competitors, specify what company and value you are assessing. Is it a marketplace, a retailer that owns inventory, a hybrid, or a commerce software or services provider? Set the valuation date, currency, consolidated business scope and whether you need enterprise value or equity value. These choices affect which peers and multiples are relevant.
Use one consistent financial period across the comparison: for example, last-twelve-month (LTM) results, next-twelve-month (NTM) estimates or the same fiscal year. Label the period clearly. Public-company values and forecasts change, so date the analysis and identify the source of market data and estimates.
2. Choose competitors for economic similarity
“E-commerce” covers companies that earn money in different ways. A marketplace may earn commissions, advertising or seller-service fees, while a first-party retailer records sales of goods it buys and resells. A company that provides subscriptions or software to online sellers has different revenue drivers again. A broad industry label is not enough to make two companies comparable.

Start with listed businesses that overlap in products, customers, channels and geography, then screen for similarities in how they operate and earn revenue. Record the criteria and explain why they fit the target; do not treat another company’s screen as a universal rule. For example, a valuation report in an HKEX-listed filing used filters including Asia business location, market capitalization of US$100 million to US$1 billion, more than 90% of revenue in the target industry and inventory turnover below eight. Those were case-specific choices, not standard thresholds for every valuation. For each candidate, document the dimensions that could explain a valuation difference:
- Business model and revenue mix: marketplace fees, product sales, advertising, seller services, subscriptions or a hybrid.
- Geography and concentration: customer and revenue mix by region, dependence on major customers, suppliers, platforms or product categories, and exposure to currency or regulation.
- Scale and operations: revenue, enterprise value, customer base, transaction volume, fulfillment footprint and inventory exposure.
- Growth and durability: historical and forecast growth, repeat purchases, active-customer trends, retention and reliance on particular sales channels.
- Profitability and cash: gross and operating margins, EBITDA, free cash flow, working capital and capital expenditure.
Exclude or separately flag diversified businesses if their filings do not disclose enough segment detail to isolate the relevant e-commerce operation. A mixed company’s consolidated multiple may reflect businesses with very different growth and margins.

3. Read filings before comparing the numbers
Use the latest annual and interim reports to understand what each company counts as revenue, how it defines segments, when its fiscal year ends and whether reported operating measures include adjustments. Note one-off items and the definition of any non-GAAP measure, such as adjusted EBITDA. An apparently similar figure may not be calculated the same way by two issuers.

Marketplace activity measures need particular care. Gross merchandise volume (GMV) or gross merchandise sales (GMS) can describe transactions facilitated through a platform; they are not automatically company revenue. Amaze Holdings’ FY2025 filing reported $9.429 million of GMV and $1.967 million of revenue for that company and stated, “GMV does not represent revenue earned by us.” The filing’s definition and figures are company-specific, not a conversion rule for other platforms. Revenue definitions also differ among businesses that all call themselves marketplaces. Etsy, for example, describes marketplace revenue separately from optional seller-services revenue in its FY2025 filing. Its reported $10.5 billion of marketplace GMS in 2025, down 4%, and 86.5 million active marketplace buyers, down 3.4% year over year, are Etsy-specific operating indicators—not sector-wide valuation rules. 4. Calculate enterprise value consistently
Enterprise value (EV) represents the value of the operating business available to all capital providers, rather than only the value of common shareholders’ equity. A practical starting definition is ordinary equity value plus preferred equity and debt, less cash and cash equivalents. The HKEX valuation report uses this definition. For the target and every peer, use the same valuation date and consistent treatment of leases, minority interests, preferred claims and material non-operating assets. Disclose any adjustments rather than silently mixing methods.
Match market capitalization and balance-sheet items to the selected valuation date. A peer’s share price may be current while its debt, cash or operating results come from an earlier reporting date; state the convention used. Use the same currency or convert consistently, and avoid combining figures from different periods without clear labels.
5. Select multiples that fit the business
Calculate more than one multiple when it adds useful information, but use the same denominator period and definition for each company. A multiple is only as comparable as the financial measure beneath it.

Do not treat EV/GMV as interchangeable with EV/revenue. GMV is an activity measure, not necessarily revenue recognized by the company, and issuers may define it differently. If an analysis includes a GMV-based measure, identify the issuer’s definition and keep it separate from revenue multiples.
Avoid mixing a target’s LTM multiple with peers’ NTM multiples as if they were the same measure. If forward and historical multiples are both shown, label each clearly and explain the reason for using them. Reconcile adjusted EBITDA to reported figures, identify exceptional items and treat negative or near-zero denominators as not meaningful rather than publishing a distorted multiple.

Present the peer count, median and range for each relevant multiple. Review outliers and exclude them only for a stated reason; otherwise, show how they affect the range. A median is usually less vulnerable than a mean to extreme values, but it does not correct for a poor peer set or inconsistent accounting.

Interpret the spread using operating evidence. A company may deserve a higher multiple if its growth, margins, cash generation or customer retention are stronger, or a lower one if it faces greater concentration, inventory needs, competitive pressure or geographic risk. Explain which factors matter for the target and why they support a premium or discount; do not infer the answer from the multiple alone.
Market benchmarks can provide context, but they are not directly interchangeable. The Multiples Online Shopping Index reported a median EV/NTM revenue multiple of 1.9x and median NTM/LTM revenue growth of 11% for 100 tracked companies, with data as of October 5, 2026. Separately, Windsor Drake Research reported a 2.12x median EV/revenue multiple and a 0.27x–13.81x range for 21 listed constituents in its Q3 2026 report, using company data retrieved August 19–21, 2026. The report describes these as its computations from S&P Global Market Intelligence data. The sample, timing and method differ from the index above, so the figures are contextual snapshots, not competing estimates of one universal sector multiple. 7. Translate a peer range into an indicated value
Once the peer set and multiple are defensible, apply a justified range to the target’s matching financial denominator. For example, an EV/revenue range must use the target’s revenue for the same LTM, NTM or fiscal-year convention used for the peers. Do not apply a revenue multiple to GMV.
If the result is enterprise value, convert it to equity value using the target’s own debt, cash, preferred equity and other relevant claims on the same basis used in the peer calculations. Then compare the result with a suitable standalone cash-flow or other valuation method when the assignment permits. Differences between methods are a reason to examine assumptions, not to select whichever answer is most appealing.
No specific target company, geography, revenue model, reporting period or valuation date is defined here, so a responsible implied valuation range cannot be calculated from the topic alone. For an actual company, refresh the market data and estimates to the chosen date and disclose the peer criteria, source, currency, period and adjustments behind every benchmark.
