You generally cannot change or cancel an Employer Identification Number (EIN): the IRS assigns it permanently to the business entity. If your business details change, update the information associated with the EIN; if the business no longer needs it, request that the IRS deactivate it. Some ownership or legal-structure changes may require a new EIN, so check the rule for your entity and transaction.
First, identify what changed
The right IRS procedure depends on whether you changed the business name, its address, the person responsible for it, its ownership or structure, or whether it has stopped operating. A name or address change alone generally does not require a new EIN. Changes in ownership or structure can, depending on the entity type and the specific transaction.

These are federal procedures. State business-registration and tax obligations are separate.
How to update a business name
The procedure depends on the entity type and whether you have already filed the current-year return. A name change updates the IRS account; it does not ordinarily change the EIN.

- Sole proprietorship: Write to the IRS address where you file your return.
- Corporation or partnership: Report the change on the applicable current-year return when available. If you already filed that return, write to the IRS instead.
The notice must be signed by the person authorized to sign for the entity. If you need confirmation, ask the IRS to send an acknowledgment. Review the IRS name-change instructions for the applicable return and mailing details. Some circumstances involving an entity change may require a new EIN or a final return, so do not assume every legal name change has the same tax treatment.
How to change a business address or responsible party
Use Form 8822-B to report a business address change or a change in the responsible party. Follow the current form’s instructions for where to mail it.

The responsible party is generally the person who owns or controls the entity, exercises effective control over it, and manages its funds or assets. In general, the responsible party must be an individual, not another entity. The IRS requires a responsible-party change to be reported within 60 days.
When a change may require a new EIN
A new EIN is generally associated with a change in ownership or legal structure, not simply a change of business name or address. The answer depends on the entity type and exactly what happened. Check the IRS’s new-EIN guidance against your transaction; examples and exceptions differ among entities. A business name change is not automatically a reorganization, and a reorganization should not be treated as a routine name update.

How to deactivate an EIN you no longer need
The IRS puts it plainly: “If you no longer need your EIN, we can’t cancel it, but we can deactivate it.” Deactivation does not erase the EIN or make it available for reuse as a different entity’s number.
- Resolve outstanding federal filings and taxes. File all required returns and pay business taxes owed before requesting deactivation. The IRS will not close the business account while required returns or taxes remain outstanding.
- Write a deactivation request. Include the business’s legal name, EIN, address, and the reason you no longer need the EIN. Include the EIN assignment notice if you still have it.
- Use the current IRS mailing instructions. Mail the request to the address listed in the IRS’s business-account closure guidance. The IRS lists different destinations for general entities and separate requirements for exempt organizations; confirm the current address for your entity before mailing.
If the business is closing
Deactivating an EIN is not the same as completing every obligation involved in closing a business. The IRS’s business closure checklist covers federal steps. Depending on your circumstances, these include filing the required final return, completing employee and contractor reporting, and keeping business records. Check state requirements separately, since state closure filings and taxes are not resolved by an IRS EIN request.

Before you file or mail anything
- Confirm the entity type and the exact change or transaction.
- For a name change, check whether the current-year return has already been filed.
- For an address or responsible-party change, use the current Form 8822-B and its mailing directions; note the 60-day responsible-party deadline.
- For a possible ownership or structure change, compare the facts with the IRS new-EIN rules rather than assuming the existing number still applies.
- For deactivation, verify that all required returns are filed and taxes owed are paid, and use the IRS’s current mailing instructions.
