Start with two separate tests. First, calculate how the new issue changes every holder’s ownership, voting power and economic rights. Second, determine whether the investor’s percentage, relationships or negotiated rights could amount to regulatory control or trigger a filing, approval or capital-treatment review. A lower percentage is not automatically an economic loss, and a minority percentage is not automatically free of control risk.
The answer depends on the bank’s jurisdiction, charter and holding-company structure, existing share classes, proposed instrument, investor group and transaction documents. The guideposts below cover selected United States, United Kingdom and European Union regimes; they are not a transaction-specific legal opinion.

What dilution risk means for a bank investment
Dilution occurs when a bank issues new shares or instruments that increase the number of interests outstanding. If an existing holder does not receive enough of the new issue to maintain its position, its percentage of the relevant class falls. That can reduce relative voting weight and participation in future value.
Percentage dilution and financial loss are different questions. The economic result depends on the issue price, the value of the bank before and after the raise, the instrument’s dividend or conversion terms, liquidation preferences, and what the new capital enables. Official U.S., UK and EU regulatory materials do not establish an empirical “typical” dilution loss, so no average loss percentage should be assumed.

Why banks require an additional control analysis
A bank investor can create regulatory issues through more than share ownership. Board appointment rights, vetoes, management agreements, conversion rights, coordinated action with other investors and restrictions on other shareholders can create influence even where the headline stake is well below a formal control percentage. Regulators may also review the investor’s reputation, financial resources, the institution’s prospects, effective supervision and anti-money-laundering risks.
Calculate the ownership change before discussing thresholds
The basic post-issue formula
For each existing holder, calculate:
Post-issue percentage = holder’s post-transaction shares ÷ total post-transaction shares of the relevant class
Use the relevant class, not an undifferentiated total, when classes have different rights. Calculate voting power separately if votes per share differ from economic participation.

Suppose an existing holder owns 40 of 100 equal-vote shares. The bank issues 20 new equal-vote shares to another investor, and the existing holder buys none. The holder now owns 40 of 120 shares, or 33⅓%, down from 40%. The 6⅔-percentage-point reduction is the arithmetic dilution; it does not by itself measure a loss in dollars or prove that the new investor controls the bank.
| Measure | Before issue | After issue | Change |
|---|---|---|---|
| Total equal-vote shares | 100 | 120 | +20% |
| Existing holder’s shares | 40 | 40 | No new shares purchased |
| Existing holder’s percentage | 40% | 33⅓% | −6⅔ percentage points |
| New investor’s percentage | 0% | 16⅔% | New position |
Model economic and voting ownership independently
One share count can conceal materially different outcomes. A non-voting preferred share may add economic claims without adding votes. A dual-class common share may carry multiple votes. A convertible security may have no current votes but create a large position on conversion. Prepare separate columns for:
- issued shares by class;
- fully diluted shares, where conversion, warrants or options are relevant and supported by the documents;
- votes per share and total voting power;
- dividends, liquidation preferences and other economic rights; and
- the holder’s direct, indirect and deemed interests.
Do not include a contingent interest merely because it is possible in theory. Include conversion or other rights when the subscription documents, charter or applicable rule require that treatment.

Build a before-and-after capitalization table
A defensible assessment starts with a capitalization table by class. At minimum, show the following for every holder and the bank as a whole:
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errors- Current shares outstanding by class.
- Current voting rights and economic rights for each class.
- Shares reserved, issuable or convertible under existing securities when a fully diluted view is relevant.
- The proposed issue size, price, class and settlement assumptions.
- Allocation to the new investor and to any participating existing holders.
- Post-issue shares, votes and economic interests.
- Direct and indirect ownership, including entities that may be treated as a group or concert party.
Run at least two cases when the allocation is uncertain: the base transaction and the maximum conversion or exercise case supported by the documents. Identify which percentages are immediate and which are contingent.
Questions the table should answer
- How much will my ownership percentage fall if a bank issues new shares?
- Does an existing holder retain a board seat or veto after the issue?
- Does the new investor cross a voting or qualifying-holding level on closing, on conversion, or when combined with affiliates?
- Will a class with a small economic stake hold a disproportionate number of votes?
- Are any investors acquiring interests at the same time and potentially acting together?
Read the documents that can turn a minority stake into influence
A percentage alone does not describe control. Review the bank’s charter, bylaws, shareholder agreements, subscription agreement, investor-rights agreement, side letters and any management or services contract.
Governance terms to isolate
- Rights to appoint, nominate or remove directors.
- Board-observer rights, committee seats and information rights that provide practical influence.
- Consent or veto rights over budgets, business plans, capital raises, mergers, acquisitions, dividends, senior management or changes to the charter.
- Restrictions on how other shareholders may vote or transfer shares.
- Management, advisory or service arrangements with the investor or its affiliates.
- Standstill, voting-support, lock-up and proxy arrangements.
- Options, warrants, conversion features and rights to acquire additional securities.
Federal Reserve policy materials specifically identify management contracts, restrictions on voting shares, convertible securities and contemporaneous investments by multiple investors as considerations in a controlling-influence analysis. Therefore, a stake that appears “minority” in the cap table may still require regulatory attention.
United States: keep the possible filing routes separate
U.S. thresholds differ by rule and transaction route. They should not be collapsed into one universal bank-investor percentage.
Regulation O control concepts
For its purposes, Federal Reserve Regulation O defines control to include owning, controlling or having power to vote 25% or more of a class of voting securities; controlling the election of a majority of directors; or exercising a controlling influence over management or policies. The rule also contains rebuttable presumptions in certain circumstances involving ownership above 10%.

These are definitions under a particular rule. They are not a single answer to every U.S. bank ownership question, and the presumption can depend on facts such as other ownership and relationships.
Regulation Y acquisitions
Under Regulation Y, certain bank holding company acquisitions require prior Federal Reserve Board approval. One listed category is an acquisition of voting securities that results in control of more than 5% of a class of a bank’s or bank holding company’s voting securities, subject to exceptions and other provisions. This approval route is distinct from Change in Bank Control notice procedures.
Change in Bank Control
The Federal Reserve’s Regulation Y summary says that a person or persons acting in concert acquiring power to vote 25% or more of a class of voting securities of a state member bank or bank holding company generally must provide prior notice under Change in Bank Control procedures, unless an exemption applies. The summary also describes a controlling-influence analysis.

“Acting in concert” matters. An investor’s direct subscription may be below a threshold while affiliated entities, coordinated funds or contractual voting arrangements produce a larger combined position.
What a U.S. application may examine
The Federal Reserve says acquisition applications may be assessed for effects on competition, convenience and needs of communities, financial and managerial resources and future prospects, and the effectiveness of anti-money-laundering policies. The applicable entity, exemption, regulator and facts determine which route applies.
| U.S. guidepost | What it addresses | Important qualification |
|---|---|---|
| 25% of a class of voting securities | One Regulation O control marker; also relevant to Change in Bank Control procedures for covered institutions | Rule-specific; acting-in-concert and exemptions can change the analysis |
| Above 10% | Rebuttable presumptions in certain Regulation O circumstances | Not an automatic universal control finding |
| More than 5% | A listed Regulation Y prior-approval category for specified acquisitions | Applies to the described route and is distinct from Change in Bank Control notice rules |
The Federal Reserve’s application overview states: “Banking organizations are generally required to seek prior Federal Reserve approval to become a bank holding company, to acquire ownership in a bank holding company, or to engage in new activities.” Whether that statement applies to a proposed investment depends on the transaction and the statutory exceptions.

Why “under 25%” is not a safe harbor
The Federal Reserve’s policy statement explains that the BHC Act control test also covers board-election control and controlling influence. Its official wording is:
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.“The BHC Act provides that a company has control over a banking organization if (i) the company directly or indirectly or acting through one or more other persons owns, controls, or has power to vote 25 percent or more of any class of voting securities of the banking organization; (ii) the company controls in any manner the election of a majority of the directors or trustees of the banking organization; or (iii) the Board determines, after notice and opportunity for hearing, that the company directly or indirectly exercises a controlling influence over the management or policies of the banking organization.”
United Kingdom and European Union: qualifying-holding regimes
United Kingdom
Bank of England regulatory expectations describe a UK controller as including a person with a direct or indirect holding of 10% or more of shares or voting rights, or a holding that makes significant influence possible. Controller assessment can therefore arise from influence as well as a simple percentage.
The Bank of England also expects review of the terms and supporting material for proposed Common Equity Tier 1 instruments, including side agreements, compliance material and a legal opinion where applicable. Capital eligibility is a separate question from ownership dilution.
European Union
The European Banking Authority describes an EU qualifying holding as a direct or indirect holding representing 10% or more of capital or voting rights, or one that enables significant influence over management.
The EBA’s published description of the EU framework identifies further notification thresholds at 20%, 30% or 50%, or when the credit institution would become the acquirer’s subsidiary. Assessment matters include the acquirer’s reputation and financial soundness, the reputation and experience of new managers, the impact on the target and effective supervision, and money-laundering or terrorist-financing risk.

| Jurisdiction or framework | Guidepost in the cited materials | What must still be checked |
|---|---|---|
| United States | 25% control marker; certain rebuttable presumptions above 10%; a distinct Regulation Y approval category for more than 5% in specified acquisitions | Bank type, holding-company status, route, exemptions, indirect ownership and concerted action |
| United Kingdom | 10% of shares or voting rights, or significant influence, can indicate a controller | Direct and indirect interests, influence rights, current Bank of England expectations and instrument terms |
| European Union | 10% or significant influence is a qualifying holding; further levels at 20%, 30% and 50%, or subsidiary status, are described in the EBA framework | Member-state implementation, competent authority, group attribution and current law |
Separate ownership dilution from regulatory capital treatment
A proposed capital instrument can affect the bank’s capital ratios without giving the investor ordinary voting shares immediately. Conversely, an instrument that appears equity-like may fail to qualify for the intended regulatory capital category if its terms do not meet the applicable requirements.
For a proposed CET1 instrument, review the instrument terms, side agreements, compliance materials and legal opinion against the relevant jurisdiction’s rules and supervisory expectations. Analyze conversion, dividend discretion, loss absorption, redemption, ranking and investor protections. Do not assume that calling an instrument “equity” makes it CET1, or that a qualifying capital instrument has no ownership or control consequences.

A practical assessment workflow
- Identify the legal perimeter. Record the bank’s chartering authority, holding-company structure, regulator, country, state or member-state, and whether the investor is a company, fund, individual or group.
- Inventory every security. List common, preferred, non-voting, convertible and derivative interests, with current and fully diluted amounts where relevant.
- Build the cap table. Show pre-issue and post-issue shares, votes and economic rights by class and holder.
- Model allocation cases. Calculate each existing holder’s residual percentage and the new investor’s direct, indirect and contingent position under the actual subscription assumptions.
- Map governance rights. Extract director, veto, consent, information, management, voting and transfer provisions from every agreement.
- Test attribution. Determine whether affiliates, funds, family members or contractual partners may be treated as acting in concert or otherwise aggregated.
- Choose the regulatory route. Compare the facts with the applicable acquisition-approval, Change in Bank Control, controller or qualifying-holding rules; do not apply a threshold from another jurisdiction.
- Review investor and bank suitability. Prepare information on reputation, financial soundness, managerial resources, the bank’s future prospects, competition, community needs, supervision and AML controls as the relevant regime requires.
- Check capital eligibility. For a capital instrument, obtain the required term analysis, compliance materials and legal review before treating proceeds as regulatory capital.
- Set a closing condition and timetable. Identify notices, approvals, information requests, long-stop dates and the consequences if approval is delayed or denied.
Do preemptive rights prevent dilution?
Preemptive rights can let existing shareholders subscribe for enough of a new issue to preserve a percentage, but they do not automatically apply to every bank capital raise. Check the charter, bylaws, shareholder agreement, class rights and applicable corporate law for exclusions, waivers, notice periods and oversubscription rules.
Even when a right exists, an investor may choose not to fund its pro rata amount. The result is then economic and voting dilution despite the legal opportunity to participate. A right may also preserve percentage ownership while failing to preserve board influence if the new security has different voting or governance terms.
Common mistakes and how to correct them
- Using the pre-issue denominator. Divide by post-issue shares of the relevant class, not the old total.
- Equating shares with votes. Calculate voting power separately where classes have unequal votes or no votes.
- Calling every decline a loss. Assess price, valuation, preferences and the use of capital before describing economic harm.
- Treating 25% as the only U.S. trigger. More-than-5% Regulation Y approval provisions, above-10% presumptions in certain contexts and influence analysis can matter.
- Ignoring indirect ownership. Trace parent companies, controlled entities, funds and coordinated investors.
- Reading only the term sheet headline. Side letters, conversion rights, management contracts and vetoes can change the control analysis.
- Mixing jurisdictions. U.S. control and acquisition routes are not interchangeable with UK controller or EU qualifying-holding rules.
- Assuming capital treatment. Have the proposed instrument assessed under the current rules before counting it as CET1 or another regulatory category.
- Relying on stale law. The cited Regulation Y compilation was amended effective October 1, 2025; verify the rule and supervisory guidance in force on the transaction date.
Decision checklist for the bank and existing shareholders
- Is the post-issue percentage calculated for every class and every material holder?
- Are economic ownership, votes and fully diluted interests shown in separate columns?
- Are conversion, option and warrant assumptions tied to actual documents?
- Could governance rights create significant influence or controlling influence below a numerical threshold?
- Could affiliated or coordinated investors be aggregated?
- Which regulator and filing route apply to this bank and investor?
- Are approvals or notices required before closing?
- Has the investor’s reputation, financial soundness and managerial capability been documented?
- Has the bank assessed competition, community needs, future prospects, supervision and AML considerations where relevant?
- Does the instrument satisfy the intended regulatory capital treatment?
- Do preemptive or anti-dilution rights apply, and were they waived correctly?
- Are all assumptions and regulatory conclusions confirmed under current local law?
What a sound conclusion should say
A sound dilution assessment reports the numerical change, the separate voting and economic effects, the investor’s direct and attributed interests, and the governance rights that could create influence. It then identifies the applicable jurisdiction-specific filing or approval path and treats capital eligibility as a separate workstream. Without the bank’s governing documents, transaction terms, investor structure and jurisdiction, no responsible analysis can conclude that a particular stake is safe or that a specific filing is unnecessary.
