How Spot Bitcoin ETFs Work: Shares, Holdings, Fees, and Tracking

Spot Bitcoin products let investors trade exchange-listed shares backed by Bitcoin, but fees, valuation methods, trading costs and premiums or discounts can affect returns.

A spot Bitcoin ETF gives you exposure to Bitcoin’s price by letting you buy and sell shares through a securities account; it does not put Bitcoin in your wallet or give you control of its private keys. The trust or fund holds Bitcoin, charges expenses, and values its holdings under product-specific rules. Its share price can differ from the value of the Bitcoin attributable to each share.

What does “spot Bitcoin ETF” mean?

“Spot Bitcoin ETF” is the familiar name for a U.S.-listed product whose shares are designed to provide exposure to Bitcoin’s spot price. SEC and issuer materials may instead call these products exchange-traded products (ETPs) or trusts: they are not registered investment companies under the Investment Company Act of 1940, as conventional mutual funds and many ETFs are.

The SEC approved exchange listing and trading for spot Bitcoin ETP shares on January 10, 2024. That decision authorized the listings; it was not an endorsement of Bitcoin’s merits or a determination that the products suit any particular investor.

How do spot Bitcoin ETFs work?

Investors trade shares; the product holds Bitcoin

You place an order for shares through a securities account, and those shares trade on an exchange. The product holds Bitcoin on behalf of shareholders, rather than assigning each shareholder particular coins or private keys. This is operationally different from buying Bitcoin directly and taking responsibility for wallet security and key management.

Each issuer sets out the product’s objective, valuation method, custody arrangements, expenses, and other terms in its current prospectus and disclosures. To see what a particular product currently holds, consult its issuer’s holdings page as well. Holdings and Bitcoin attributable to each share can change as share counts and expenses change.

Authorized participants create and redeem large blocks

Authorized participants (APs) can transact large blocks of shares with the product under its governing documents. Their transactions, along with related market activity, help adjust the supply of shares when demand pushes the exchange price away from the product’s net asset value (NAV)—the value of its assets less liabilities, allocated across shares.

If shares trade above NAV, the creation process can help increase share supply; if they trade below NAV, redemptions can help reduce it. This mechanism can encourage arbitrage that brings the market price closer to NAV, but it does not guarantee that they will match. SEC-filed risk disclosures warn that disruptions to the process can weaken arbitrage and allow premiums or discounts to widen.

In-kind transactions became permitted in 2025

On July 29, 2025, the SEC permitted APs to create and redeem shares of crypto ETPs in kind. The SEC said recently approved spot Bitcoin and ether ETPs had previously been limited to cash creations and redemptions. The change does not mean every product uses the same process: check the current prospectus for the terms and implementation of a specific product.

What does a spot Bitcoin ETF actually hold?

A spot product holds Bitcoin, but the quantity, valuation and operational arrangements are product-specific. Its prospectus and issuer holdings page are the places to check for the current Bitcoin holdings, the amount attributable to a share or creation basket, the benchmark used to value Bitcoin, and the custody and other operating arrangements.

For example, BlackRock’s iShares Bitcoin Trust (IBIT) identifies the CME CF Bitcoin Reference Rate – New York Variant as its benchmark and publishes Bitcoin holdings and basket information. Those are IBIT-specific details, not terms that should be assumed for another product. A benchmark is a defined reference for valuation; it need not match every Bitcoin transaction price around the world at every moment.

How much does a Bitcoin ETF charge?

There is no single fee for all spot Bitcoin products. As an issuer-specific example, BlackRock iShares displayed a 0.25% sponsor fee for IBIT on its issuer page with NAV data dated October 2, 2026. That figure is not an industry average, and product terms can change; use the current prospectus to confirm the fee and whether any waiver applies.

A sponsor fee is an ongoing product expense that reduces returns over time. It is separate from the costs of buying or selling shares, which can include brokerage commissions, the bid-ask spread (the difference between the price available to buy and the price available to sell), and any premium or discount to NAV. Those trading costs depend on the account and the trade, and are not captured by the sponsor-fee figure alone.

Why doesn’t a Bitcoin ETF track Bitcoin exactly?

A spot Bitcoin product seeks to reflect Bitcoin’s price, but the product’s return and Bitcoin’s return are not necessarily identical. A useful tracking comparison must specify the exact period, the benchmark being used, and whether it compares Bitcoin with the product’s NAV or its exchange-traded market price. Without those details, a simple claim that a product “tracks” or “underperforms” Bitcoin can be misleading.

  • Fees and expenses: Ongoing expenses reduce the value of a shareholder’s investment relative to the gross return on Bitcoin.
  • Benchmark and valuation time: An index’s construction and pricing time affect the value used for NAV. SEC-filed disclosures warn that benchmark pricing may fail to track global Bitcoin prices.
  • Trading hours and market price: Shares trade on securities exchanges, while Bitcoin markets operate on a different schedule. The share price can move to a premium or discount to NAV, especially when share-market trading and the product’s valuation do not reflect the same moment.
  • Arbitrage interruptions: If creation, redemption or related arbitrage is disrupted, the market price may stray further from NAV.

These factors mean that tracking is not simply a question of whether a fund owns Bitcoin. Check a product’s stated benchmark, valuation method, NAV and market-price history, and the time period used in any performance comparison.

What risks and protections should investors understand?

Bitcoin price risk

Bitcoin’s price can be highly volatile, so a share price can fall sharply as well as rise. In a January 10, 2024 statement, then-SEC Chair Gary Gensler described Bitcoin as “primarily a speculative, volatile asset” and noted its use in illicit activity. That was Gensler’s characterization in his statement, not an investment-suitability assessment for an individual.

Product, custody and market-structure risk

SEC-filed disclosures identify risks that can include Bitcoin volatility, benchmark construction and pricing, custody arrangements, operational interruptions, and premiums or discounts widening. A product’s prospectus explains the risks and arrangements specific to that trust or fund; do not assume that all issuers use identical providers, procedures or safeguards.

How to compare spot Bitcoin products

Compare products using terms measured on a consistent, current basis rather than selecting one from a single headline fee or past return. Useful items to check include:

  • Sponsor fee and any waiver, including when a waiver expires.
  • Benchmark, valuation method and valuation time.
  • Bitcoin holdings and Bitcoin attributable per share or creation basket.
  • Custody and operating arrangements.
  • Creation and redemption terms in the current prospectus.
  • Average bid-ask spread, liquidity and history of premiums or discounts to NAV.

Market price and NAV are different measures, and product fees, valuation methods and trading conditions can change. Date-match figures and compare the same measurement periods before drawing conclusions about cost or tracking.
