TechCrunch reported that his voting power dropped from 7.6% to around 4%; Rivian later reported approximately 3.8% for Scaringe and affiliates as of December 31, 2025. The transfer changed his voting stake, not his CEO role: Rivian told TechCrunch the transaction had no impact on the company’s business or operations.
What Scaringe transferred
A Form 4 filed with the U.S. Securities and Exchange Commission on July 11, 2025, reports transactions dated July 9. It states that the securities were transferred to Scaringe’s former spouse pursuant to a divorce settlement. The filing is the primary record of the securities transfer, not the divorce judgment or a disclosure of the settlement’s other terms.

The Form 4 says the former spouse’s securities were no longer beneficially owned by Scaringe after the transfer. It does not establish other settlement terms, the parties’ motives, or private financial arrangements. Read Scaringe’s SEC Form 4.
Why the share classes affected voting power
Rivian’s dual-class structure gave each Class B share ten votes and each Class A share one vote. Because the 3,912,500 transferred Class B shares converted to Class A on transfer, they no longer carried the Class B voting weight. That helps explain why a transfer of securities could reduce Scaringe’s voting power by more than the change in share count alone might suggest. Voting power is not the same measure as economic ownership.

How to read the reported percentages
The available figures refer to different reporting dates and descriptions, so they should not be treated as points in one precisely comparable official series.

The last row is especially useful context: 3.8% measures voting power, while 1.1% measures shares outstanding. Rivian’s proxy describes Scaringe and affiliates, unlike the earlier figures described as Scaringe’s voting-power share. The dates and ownership bases matter when comparing them. What the change does—and does not—mean
The reported decline was a reduction in Scaringe’s share of Rivian’s voting power; the pre-settlement figure of 7.6% was not a majority stake. The figures do not, by themselves, establish a change to his position as CEO or a change in Rivian’s operations. Rivian told TechCrunch the transfer had no impact on company business or operations. TechCrunch also reported the company spokesperson’s statement: “RJ and Meagan finalized their divorce. They will continue to prioritize co-parenting their children.” Read TechCrunch’s report.

Rivian’s 2026 proxy said all outstanding Class B shares were scheduled to convert automatically to Class A in November 2026, on the fifth anniversary of the company’s IPO closing. That statement describes a scheduled event; it does not establish here whether the conversion has since occurred or what Scaringe’s voting power is after that date.
