Using NVIDIA’s rounded, SEC-reported count of 24.3 billion shares from February 20, 2026, a $6 trillion market cap would imply about $246.91 per share—but that is only an illustration because the share count and price observations are from different dates.
How market capitalization is calculated
The formula is:
Market capitalization = share price × shares outstanding
It multiplies the market price of one share by the company’s outstanding shares to estimate the market value of its equity at that moment. StockAnalysis says its market-cap data comes from Nasdaq Data Link and notes that current market capitalization updates during the trading day, while historical figures are updated after the close. Its NVIDIA market-cap page reported $5.78 trillion and $239.24 per share on October 6, 2026.
What share price would correspond to $6 trillion?
NVIDIA’s fiscal 2026 Form 10-K reports 24.3 billion common shares outstanding as of February 20, 2026. Holding that rounded count constant gives this illustrative calculation:

$6 trillion ÷ 24.3 billion shares ≈ $246.91 per share
That is about 3.2% above the October 6 price of $239.24. It is not a precise current threshold: the share count is dated February 20 and the price is dated October 6. A precise calculation would use a share count and share price from the same date, with a consistent choice of basic or diluted shares for the valuation assumption. NVIDIA’s share count may also change through repurchases and other share issuance or withholding. The SEC’s fiscal 2026 Form 10-K gives the dated share count.

What a $6 trillion market cap does—and does not—mean
A $6 trillion figure means the relevant share price multiplied by the relevant outstanding-share count equals $6 trillion. It is a point-in-time market value assigned to the company’s equity—not a cash balance, annual sales figure, enterprise value, company purchase price, or guaranteed amount shareholders could receive by selling all their shares at that quoted price.
These figures measure different things, and NVIDIA’s reported numbers come from different dates or periods:

The market-cap and enterprise-value observations are from StockAnalysis; the fiscal-year results are from NVIDIA’s SEC annual report materials. Fiscal 2026 results describe a completed period; they do not guarantee future results or, by themselves, establish whether a particular market capitalization is justified. That judgment depends on assumptions about future growth, margins, risks, competition, capital needs, and the price investors are willing to pay.
Why the figure changes
Market capitalization moves when the share price changes. It can also change when the number of shares outstanding changes, so a market-cap figure should always be tied to a date. Any implied share-price threshold should identify the date of its share-count input too.

Repurchases illustrate why the share count needs context. NVIDIA’s Form 10-Q for the quarter ended July 26, 2026, says it repurchased 94 million shares for $19.7 billion during the quarter and 203 million shares for $39.8 billion in the first half. As of July 26, it was authorized, subject to specifications, to repurchase up to $99.3 billion of stock. On September 28, 2026, NVIDIA announced an additional $150 billion authorization, bringing the remaining authorized amount to $235 billion, with expected execution through fiscal 2028. An authorization is permission to buy shares, not evidence that the full amount has been spent; actual share-count effects depend on completed purchases as well as other share issuance or withholding. NVIDIA’s fiscal 2026 Form 10-K also disclosed approximately $4.0 trillion in aggregate market value of voting stock held by non-affiliates as of July 25, 2025, based on that date’s Nasdaq closing price. The company said the calculation excluded 1.0 billion shares held by directors and executive officers. That filing figure concerns non-affiliate holdings; it is not total market capitalization and is not a current market-cap quote.
