How Much Did Amazon CEO Andy Jassy Make in 2023?

Amazon’s 2024 proxy reported Andy Jassy’s 2023 total compensation as $1,357,764, while separate measures valued vested stock and changing equity awards differently.

Amazon reported Andy Jassy’s 2023 annual total compensation as $1,357,764 in its 2024 proxy statement. That SEC-reported figure is not the same as his cash salary, the value of stock he realized by vesting, or the proxy’s separate pay-versus-performance measure.

What Amazon reported for Jassy’s 2023 compensation

Amazon.com, Inc.’s 2024 Proxy Statement, filed with the SEC on April 11, 2024, lists Jassy’s 2023 annual total compensation as $1,357,764 in the Summary Compensation Table. The figure follows SEC reporting rules; it should not be read as the amount he received in cash during the year.

Amazon said its Leadership Development and Compensation Committee made no restricted stock unit awards to named executive officers in 2023. Jassy also received no such awards in 2022. The company explained that the award granted in 2021, when he was promoted to CEO, was intended to represent most of his compensation in the coming years. Amazon’s 2024 Proxy Statement.

Why the proxy gives different compensation figures

The amounts in Amazon’s proxy describe different things. The Summary Compensation Table includes the grant-date fair value of stock awards granted in a year, regardless of their multi-year vesting schedule. Other measures account for stock as it vests or revalue awards over time, so they can differ substantially.

Realized compensation tracks vesting

Amazon said Jassy’s realized compensation fell compared with 2022 because of stock-price performance and fewer restricted stock units vesting. The proxy reports that 9% fewer units vested in 2023 than in 2022. This measure includes the value of stock when it vested, rather than relying only on the grant-date value used in the Summary Compensation Table.

Compensation Actually Paid reflects changing award values

The approximately $110 million reported as Compensation Actually Paid is a disclosure calculation, not a claim that Jassy received that sum in cash. It revalues equity awards, including unvested awards from earlier years. Amazon noted that its stock-price total shareholder return rose approximately 80% in 2023, affecting the value reflected in that calculation.

These figures are not competing estimates of one payment: each uses a different valuation approach and treatment of stock awards. Amazon cautions that Summary Compensation Table totals can be higher in years with a new stock grant and may not be comparable across companies whose award schedules differ.

How Jassy’s compensation compares with Amazon employees’ pay

For its 2023 pay-ratio disclosure, Amazon reported worldwide median annual total compensation of $36,274 for its median compensated employee and a CEO-to-median ratio of 1-to-37, using Jassy’s $1,357,764 Summary Compensation Table total. The filing says Amazon identified that median employee from its worldwide permanent and temporary, full-time and part-time workforce, excluding the CEO.

Amazon also reported median annual total compensation of $45,613 for its U.S. full-time employees. That figure covers a different population and is not the denominator for the worldwide 1-to-37 ratio.
