The critical question is which entity now owns the mortgage, which entity services it and accepts payments, which broker is handling a pending application, and whether the event is a corporate transaction, a sale of your individual loan, a servicing transfer or a failed deal.
Those distinctions determine your practical next step. In the United States, a new mortgage owner generally must notify you within 30 days of an effective ownership transfer, while the loan’s contractual terms remain unchanged. A servicing transfer is a separate event. In the United Kingdom, firm-specific insolvency notices show that existing agreements can remain in force while new lending stops, but those examples do not create a universal mortgage-insolvency rule.

Start by identifying what actually changed
“My lender was acquired” can describe several different events. Treating them as interchangeable can lead to a missed payment, a payment sent to the wrong company, or confusion about a mortgage application that has not yet closed.

| Corporate merger or acquisition | The legal entity, brand, staff, systems, policies or regulator-facing responsibilities | Your closed loan terms may remain unchanged; ownership and servicing may or may not move | Which entity owns and services my loan now? |
| Sale of a closed mortgage | The owner of the loan and possibly the payment address or account portal | The interest rate, payment schedule and other contract terms do not change merely because the loan was sold | Who is the new owner, and who accepts payments? |
| Transfer of servicing rights | The company that sends statements, answers payment questions and processes payments | The loan owner and contractual terms may remain the same | Did servicing transfer separately from ownership? |
| Deal fails before closing | A proposed buyer, merger, funding arrangement or application pathway may disappear | No universal result exists; rights depend on contracts, stage and jurisdiction | Is my application, offer or commitment still active, and with which entity? |
| Insolvency or administration | New lending may stop and an administrator or regulator may become the main contact | Existing agreements may continue, subject to the applicable law and firm-specific instructions | Who is administering the account and where should payments go? |
A company-level acquisition does not by itself prove that every mortgage was sold, that servicing changed, or that a pending application will be honored by the buyer. Obtain the names of the legal entities, not just a trading name or logo.

If your closed mortgage is sold
The Consumer Financial Protection Bureau (CFPB) explains that mortgage owners commonly sell loans to other financial institutions in the secondary market. Its consumer guidance, last modified January 21, 2025, separates ownership from servicing: “Just because your loan is sold does not mean that your servicer will change.”
Ownership-transfer notice in the United States
For a U.S. ownership transfer, the new owner must notify the borrower within 30 days after the effective transfer date. The notice should identify the transfer date, the new owner’s contact information and, when different, the company that handles payment questions. This 30-day requirement is the CFPB’s stated rule for the circumstances described on that page; it is not a worldwide deadline.
Your contract does not reset
A sale does not, by itself, authorize a new interest rate, payment amount, maturity date or other contractual term. Read the transfer notice against your existing closing documents. A change in the company receiving payments is not a reason to sign a replacement loan agreement unless you independently decide to refinance or otherwise change the loan.
Verify where the next payment goes
Use the contact details in a verified transfer notice, and compare them with information you already have on file. Do not rely on an unsolicited email link or a caller’s verbal instructions alone. Save the notice, your confirmation call details and proof of each payment. If ownership and servicing are held by different companies, record both names and the role of each.
When servicing changes but ownership does not
Servicing is the operational side of a mortgage: statements, payment processing, escrow administration and routine account questions. The CFPB states that servicing rights can be sold separately from the loan. A servicing transfer should generate its own notice, even where the owner stays the same.

Check the notice against your records
- Effective date of the servicing change.
- Name and contact details of the new servicer.
- Payment address, online-account instructions and the date the new servicer begins accepting payments.
- Instructions for questions about escrow, payoff figures or account history.
Keep evidence of payments around the transition. If a payment is rejected or credited incorrectly, contact the identified servicer promptly and provide the transaction confirmation. Do not stop paying simply because the company name has changed; resolve uncertainty through independently verified contacts.
What a merger or acquisition means for a mortgage broker or lender
For an operating business, the borrower-facing task is only one part of integration. The surviving or acquiring institution must establish who has authority over loan files, disclosures, escrow records, complaints, servicing and data. A brand change can occur without an immediate change to the legal creditor, while a legal merger can alter responsibilities even when the customer-facing name barely changes.
Regulation C and HMDA reporting after a merger
CFPB Regulation C commentary explains that, after a merger or acquisition, a surviving or newly formed institution evaluates certain partial-exemption thresholds using the combined lending activity of the institutions or branches involved. One rule-specific illustration is fewer than 500 covered closed-end mortgage loans in each of the two preceding calendar years, subject to exceptions and other eligibility conditions.
That figure is not a general limit on mergers or lending. It is a condition used in a particular HMDA partial-exemption analysis. The institution must check the regulation in force for the relevant reporting year and document how the combined activity was counted.
Operational controls that need an owner
Integration planning should assign responsibility for each of these areas:

An FDIC Supervisory Insights article, “Mergers and Acquisitions: A Compliance Perspective” (Summer 2013), identifies mortgage-related integration checks including escrow treatment and mortgage loan originators. Because the article is older, firms should validate the checklist against current agency rules rather than treat it as a complete present-day legal standard.

Referral fees and broker arrangements after a deal
A merger can change who pays a broker, who owns a referral channel or which services are performed by an affiliate. In the United States, RESPA Section 8(a) prohibits kickbacks for referrals involving covered federally related mortgage loans, while Section 8(b) addresses unearned fee splitting. The CFPB also describes exceptions and permitted arrangements.
Therefore, “the same companies are now under one parent” is not a compliance conclusion. Document the service actually performed, the party performing it, the compensation, and the transaction’s coverage. A transaction-specific legal review is appropriate where a fee, marketing-service arrangement or referral relationship changes.
What happens when a transaction fails before closing?
There is no single cross-jurisdiction rule for a failed acquisition, merger, funding deal or mortgage application. The outcome depends on the governing law, the contract, whether an application or offer exists, whether a loan has closed, and which entity remains solvent and authorized to act.
If you have only submitted an application
Ask the broker or lender, in writing, whether the file remains open, has been transferred, or has been withdrawn. Request the legal entity responsible for underwriting, the status of any authorization or consent, and the deadline for supplying documents. Keep copies of disclosures, valuation reports, income documents and correspondence so that you can establish what was submitted and when.

If you have an offer or commitment
Read the offer’s expiration, conditions and named lender carefully. A proposed buyer may not be bound to honor an offer issued by another entity unless the contract and applicable law say so. Ask whether the offer has been assigned, reissued or terminated, and obtain the answer from an authorized representative rather than assuming a familiar brand means the same legal counterparty.
If the deal involved a broker and a separate lender
Identify the broker, the lender that would fund the mortgage and the servicer that would administer it. A broker may introduce a customer without owning or issuing the loan. Confusing those roles can send a borrower to the wrong firm when an application stalls or a complaint arises.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. If a lender or broker enters insolvency or administration
Insolvency changes the firm’s ability to originate new business, but it does not automatically answer what happens to every existing agreement. The administrator, regulator and contract terms control the practical process in the relevant jurisdiction.
United Kingdom examples and their limits
In a July 2026 notice about Logbook Lending Limited, the Financial Conduct Authority (FCA) said the firm had stopped issuing new loans while existing agreements remained in force and customers should continue making payments. The notice concerned vehicle-secured lending and pawnbroking, not residential mortgages. It directed complaints to the joint administrators and gave a separate route for existing Financial Ombudsman Service cases.
In a June 2026 notice about Amplifi Capital, the FCA distinguished a credit broker that introduced customers to credit unions from the separate institutions that issued loans and savings products. Existing agreements remained in place and customers were told to continue repayments. This is another consumer-credit example, not mortgage-specific advice, but it demonstrates why the actual lender and account servicer matter more than a trading name.

What borrowers should do when a firm fails
- Find the regulator or administrator notice and confirm that it applies to your legal entity and account.
- Continue payments using the last verified instructions unless the administrator, servicer or regulator provides different verified instructions.
- Ask who now handles statements, payoff requests, complaints and data-access questions.
- Keep payment confirmations and all notices in one file.
- Use the stated ombudsman or complaint route, recognizing that compensation rules and eligibility vary by jurisdiction.
Do not assume that an administrator can change your interest rate, waive a payment or transfer your mortgage to a particular buyer. Those outcomes require authority under the applicable law and documents.
A borrower checklist for any merger, sale or failed deal
- Name the event. Write down whether you were told about a company acquisition, a loan-ownership sale, a servicing transfer, a failed pending transaction or insolvency.
- Identify four roles. Confirm the current loan owner, payment servicer, broker or adviser and, for a pending file, the entity making the credit decision.
- Verify contacts independently. Use a statement, a regulator notice or a previously verified telephone number rather than an unexpected link or caller.
- Read effective dates. Record the date ownership or servicing changes and the first payment date affected.
- Preserve documents. Save the notice, contract, application, offer, statements, correspondence and payment evidence.
- Ask for written status on unfinished business. For an application or offer, request confirmation of whether it continues, transfers, expires or must be restarted.
- Escalate correctly. Contact the named administrator, regulator, ombudsman or complaint team when the original firm cannot answer.
Questions operators should answer before announcing a deal
Mortgage brokers and lenders should prepare a customer-facing explanation that names the legal entities and separates ownership, servicing and advice. Internally, they should reconcile loan and escrow data, assign mortgage-loan-originator supervision, preserve complaint files and test payment instructions before the effective date.
They should also review every referral and fee arrangement under the applicable rules. A parent-company relationship does not eliminate the need to show that a paid service was actually performed or that an exception applies. For HMDA, the surviving institution should document its combined activity and current partial-exemption analysis rather than reuse the acquired firm’s prior conclusion.

How to judge whether your mortgage is safe
“Safe” has two separate meanings. Your contractual obligation may continue even when the company servicing the account changes; at the same time, a payment can be misdirected if you do not verify the transfer instructions. The safest approach is therefore procedural: establish the current owner and servicer, follow authenticated payment instructions, preserve records and obtain written answers about any unfinished application or offer.
U.S. ownership-transfer timing and notice requirements come from CFPB guidance and apply within that legal context. FCA administration notices show how particular UK firms handled existing consumer-credit agreements, but they do not establish a universal rule for residential-mortgage insolvency. Where the facts involve a disputed contract, a failed completion or a firm in administration, obtain jurisdiction-specific professional advice.
