Entrepreneurs can invest in Bitcoin by buying it directly or by purchasing shares of a spot Bitcoin exchange-traded product (ETP), where available. Those routes create different custody, product, and tax responsibilities. Whether a business should invest is a separate decision: it depends on liquidity needs, risk capacity, custody capability, transaction purpose, entity, and jurisdiction—not on a universal allocation rule.
Separate investing from accepting Bitcoin or running a Bitcoin business
“How can entrepreneurs invest in Bitcoin?” is an investment question: it concerns gaining price exposure, personally or through a business. Accepting Bitcoin from customers is a payment decision, while mining, exchange services, or other Bitcoin-related operations are business activities with their own operational and legal considerations. They are not interchangeable choices.
This guide focuses on investment exposure and U.S. federal tax context. It does not establish that a business treasury should hold Bitcoin or that any particular allocation is suitable.
Compare direct Bitcoin ownership and spot Bitcoin ETP shares
Direct ownership and an ETP are different exposures. With direct ownership, the holder owns Bitcoin and must decide how it is held, including responsibility for private keys. With an ETP, the investor owns shares of a security that trades on an exchange, not Bitcoin in a personal wallet. SEC Chair Gary Gensler described Bitcoin in his January 10, 2024 statement as “a speculative, volatile asset.” That is his characterization in the context of the SEC’s ETP decision, not a claim that every Bitcoin use is illicit. The statement also noted that Bitcoin is used for illicit activity; it should not be read as saying that all Bitcoin activity has that purpose. Gensler’s statement
Decide whether the investment belongs personally or in the business
Before choosing an investment route, separate personal risk from company risk. A personal holding and a company treasury position can have different ownership, accounting, governance, and tax implications. The right questions are about the specific business and its obligations, not a general claim that entrepreneurs should invest.

- Liquidity: Could the business meet payroll, taxes, debt payments, and operating expenses without relying on selling Bitcoin at a favorable time?
- Risk capacity: Could the business absorb a substantial decline in value without impairing operations or breaching obligations?
- Custody capability: Who would control access, approve transactions, maintain backups, and handle recovery? Is there a documented process with suitable separation of duties?
- Purpose and governance: Is the position an investment, or is it connected to a customer-payment or operating need? Who has authority to approve it, and how will it be recorded and monitored?
- Entity and jurisdiction: What rules apply to the actual owner and entity in the relevant federal, state, local, or non-U.S. jurisdictions?
If the business cannot explain how it would safeguard the asset, account for transactions, and preserve cash for obligations, those are unresolved decision risks—not reasons to assume that an ETP or a wallet removes them.
If you choose direct ownership, plan custody and recovery
Direct Bitcoin ownership makes private-key custody part of the investment decision. A Bitcoin hardware wallet is one possible custody tool, but it does not eliminate the responsibility to protect access and recovery information. The SEC-filed disclosures identify loss or hacking of private keys as a risk of direct holdings; they do not establish that any hardware wallet prevents those risks. - Decide who controls the wallet and who is authorized to initiate or approve transfers.
- Protect recovery information separately and make sure the business can recover access if a responsible person is unavailable.
- Document how access, backups, and transaction approvals are handled; test recovery procedures carefully before relying on them.
- Understand that lost recovery information or compromised keys can result in loss of access or assets.
For a business, a wallet choice is only one part of custody governance. Evaluate the people, approvals, records, and recovery process alongside any device.

IRS FAQs describe the fair market value of virtual currency received for services as income and say that independent-contractor receipts are self-employment income. Notice 2023-34 revised background wording in Notice 2014-21 but stated that the change did not affect the notice’s FAQ answers. IRS Notice 2023-34 IRS FAQs on virtual currency transactions
The IRS FAQ page says the FAQs generally apply to transactions completed before January 1, 2025. They should not be treated as a complete statement of requirements for transactions in 2026. Check current IRS materials and consult a tax professional familiar with digital assets and your entity’s facts before transacting. State, local, non-U.S., and entity-specific treatment is not established here.

Use a decision sequence before committing funds
- Define the purpose. State whether the proposed exposure is a personal investment, a business treasury investment, or a payment-related operational decision.
- Set a liquidity boundary. Identify cash the business must retain for foreseeable expenses and obligations before considering any investment.
- Choose the exposure type. Compare direct Bitcoin custody with the terms and disclosures of a particular spot Bitcoin ETP; do not treat one as a substitute for understanding the other.
- Assign responsibility. Establish who can approve, execute, record, and review transactions, and how custody or brokerage access can be recovered.
- Check current tax and legal requirements. Review guidance applicable to the transaction date and the relevant entity and jurisdictions with qualified advisers.
- Document the decision and review conditions. Record the rationale, risks accepted, and circumstances that would trigger reassessment; do not rely on a price forecast as a business plan.
