Those effects reach founders, employees, early investors, and new IPO buyers differently. The central distinction is cash flow: money from newly issued shares goes to the company, while money from shares sold by existing holders goes to those sellers. An IPO also does not make every equity holder liquid immediately; lock-ups, vesting, exercise rules, registration status, and the final prospectus control when a sale is possible.
“Early” has no universal legal cutoff. It generally means a company lists while it is younger or less mature than the typical public-company candidate. Judge any specific deal from its latest registration statement and final prospectus, not from the label alone.

What an IPO changes first: two separate money flows
An IPO combines a financing transaction with a possible liquidity event, but they are not the same transaction.
New shares raise money for the company
When the issuer sells newly created common shares, the company receives the offering proceeds, net of underwriting discounts and expenses. Management may use that capital for working capital, research, acquisitions, debt repayment, expansion, or other purposes described in the prospectus. New shares increase the number of shares outstanding, so existing holders own a smaller percentage unless they buy additional shares.

Existing-holder sales pay the seller
Founders, venture funds, employees or other shareholders may be named as selling shareholders. Proceeds from those shares go to the selling holders, not to the company. A prospectus should identify how many shares are primary (newly issued) and how many are secondary (sold by existing holders), along with shares retained by insiders. A headline offering size can therefore overstate how much operating capital the startup actually receives.
How to identify the split
Read the latest registration statement and final prospectus for:
- the number of primary and secondary shares;
- the estimated net proceeds to the issuer and the intended use of proceeds;
- the names and amounts of selling shareholders; and
- the post-offering share count, including shares issuable on option exercise or conversion.
The U.S. Securities and Exchange Commission (SEC) explains this distinction in its 2022 IPO Investor Bulletin and its 2024 guidance on exit strategies and liquidity. Those are general U.S. educational materials; the issuer’s filings govern the actual deal.
Why an IPO does not create instant liquidity
Lock-ups are common, but issuer-specific
Underwriters commonly require directors, officers, founders, employees and major shareholders to sign lock-up agreements. The SEC’s October 14, 2022 Investor Bulletin says IPO lock-ups are typically 180 days. “Typically” is not a promise: an agreement may use a different period, cover different securities, or permit an early release for specified holders or events. The final prospectus normally describes the duration, parties, exceptions and any waivers.
Restricted securities and registration limits
A listed share may still be restricted under securities law or the holder’s agreement. Shares issued in private transactions, equity awards that have not settled, and shares subject to resale-registration obligations can require additional steps even after a contractual lock-up expires. A holder must check the award plan, shareholder agreement, registration rights and applicable resale rules rather than assuming that a ticker symbol makes every share freely tradable.
Vesting and exercise can be the real bottleneck
Employees generally cannot sell an award that has not vested. An option is a right to buy shares at a specified strike price after vesting; the holder must exercise it and pay the strike price before owning the shares. An RSU generally does not represent the underlying shares until it vests and settles. Restricted stock (often called an RSA) is issued as stock at grant but remains subject to vesting and possible repurchase conditions. The plan and individual grant agreement determine the details.

Tax withholding, expiration dates, blackout windows and company trading policies can affect the amount and timing of cash an employee can realize. Those consequences vary by jurisdiction and individual circumstances, so an employee should obtain advice specific to the award and tax residence.
What the post-IPO share supply can do to price
Immediately after listing, only a portion of the company’s shares may be in the public float. The SEC states: “The trading price of a new issue may be affected by a limited supply of shares in the market immediately following an IPO.” A thin float can contribute to sharp moves because relatively few shares are available to trade, but it does not establish a direction or guarantee a premium.
When lock-ups expire or other restricted shares become saleable, the potential supply increases. The SEC warns that a large release can put downward pressure on the trading price. That is a risk, not a prediction for a particular issuer: demand, results, valuation, market conditions and the actual number of shares sold determine what happens.
Questions to ask about supply
- How many shares are in the initial public float compared with total shares outstanding?
- On what dates do employee, founder and investor lock-ups end?
- Are there staggered releases, early-release clauses or shares eligible for resale under registration rights?
- How many options, warrants, convertible securities and RSUs could add shares?
Effects on startup founders
Potential benefits
A founder can benefit in three distinct ways. First, primary proceeds can fund the company’s next stage without another private round. Second, a founder listed as a selling shareholder may receive liquidity in the offering. Third, once restrictions and resale requirements are satisfied, a public market can provide a route for gradual sales rather than a single private exit.
None of these is automatic. The prospectus shows whether founders are selling, how many shares they retain and what restrictions apply. A founder who receives no secondary allocation, remains locked up, or holds shares subject to resale limits may have no immediate cash despite the listing.

An early listing brings recurring reporting, audit, governance and investor-relations obligations. The company must disclose material information and accept continuous market scrutiny. Quarterly results, guidance, litigation, executive changes and strategic decisions can affect the share price, sometimes before a young business has predictable results. Public currency can help fund acquisitions or employee compensation, but volatile valuation may make planning harder.

Issuing shares dilutes existing owners. Founders should compare their post-offering percentage, voting power and economic value with their pre-IPO position, rather than focusing only on the IPO price. The prospectus also explains underwriter discounts, expenses, uses of proceeds and risks that reduce the amount of capital available for operations.
Founder control and dual-class stock
One-share-one-vote structures give each common share the same voting power. A dual-class structure creates classes with different votes; a founder or family may hold super-voting shares and control elections or major corporate actions with a smaller economic stake. The SEC’s 2022 bulletin highlights this separation between voting control and economic ownership.
For a particular IPO, inspect:
- the votes per share for each class;
- who owns the high-vote class;
- conversion triggers, transfer rules and sunset provisions;
- whether a sale or transfer converts high-vote shares to ordinary votes; and
- the expected voting percentage immediately after the offering.
High-vote stock can let founders pursue a long-term strategy despite owning less of the economics. It can also reduce outside shareholders’ influence over directors, mergers or other matters. The effect depends on the charter and the holder’s continuing ownership.

Effects on employees with startup equity
Options
An option grants a right, not an obligation, to purchase shares at a strike price after vesting. An employee must compare the public market price with the strike price, fund the exercise, and account for the award’s expiration and tax treatment. If the market price is below the strike price, the option may have no economic value at that time.
RSUs
A restricted stock unit is a promise to deliver shares or cash after vesting, subject to the plan’s conditions. Employees generally do not own the underlying shares on the grant date. Settlement, withholding and any lock-up or trading-window restrictions determine when shares can be sold.
Restricted stock awards
An RSA is actual stock issued at grant, commonly subject to vesting and the company’s right to repurchase unvested shares. Because the employee may own shares earlier than an RSU holder, the tax and forfeiture profile can differ substantially.

The employee’s practical checklist
- Read the grant agreement and equity plan for vesting dates, acceleration, exercise rules, expiration and forfeiture.
- Identify the security: option, RSU, RSA or another instrument.
- Check whether shares are covered by the IPO lock-up, a trading policy or a registration-rights arrangement.
- Estimate exercise costs and withholding before deciding whether to exercise or sell.
- Confirm the permitted sale process with the company’s equity administrator and broker after shares become eligible.
An IPO can increase the visible value of an award, but it can also expose employees to concentration in one employer, a volatile price and tax bills that arrive before a convenient sale. There is no universal “cash-out” date.
Can an IPO change where employees work next?
Research using matched U.S. Census employee-employer data by Babina, Ouimet and Zarutskie reports that successful IPOs are followed by increased employee departures to startups. Their proposed mechanism is that stock-grant wealth gives some workers the resources to bear startup risk or finance a new venture. A related Federal Reserve FEDS paper reports the same broad direction.
These studies address U.S. data and selection into going public; they do not show that every IPO causes departures, that every employee receives meaningful wealth, or that a particular company will lose staff. The accessible abstracts do not provide a single effect size that can be applied to an individual issuer. For workforce planning, examine actual vesting schedules, retention grants, post-IPO performance and local labor-market conditions.

Liquidity path
Venture funds and angel investors may sell registered shares in the IPO if the offering includes them as selling shareholders. Others remain subject to lock-up agreements and wait for an orderly sale after restrictions end. A public listing can improve price discovery and create a future exit route, but it does not guarantee that an investor can sell at the offering price or at a profit.
Ownership and dilution
Early investors should calculate their percentage ownership after the offering, including employee options, warrants, preferred-stock conversions and any over-allotment shares. The IPO price is not the same as an investor’s cost basis or the company’s book value. A high quoted price can coexist with substantial dilution or liquidation preferences that affect earlier securities before conversion.

What new IPO buyers should examine
The SEC notes that a new public company may have little prior reporting history and that its offering price may differ substantially from the trading price soon after listing. Treat the first-day quote as a market price, not proof that the issuer is worth more or less than the offering price.
Core diligence areas
- Business and risks: revenue concentration, cash burn, competition, regulation, litigation and the company’s path to profitability.
- Financial statements: revenue quality, margins, operating cash flow, debt, stock-based compensation and the assumptions behind forecasts.
- Capitalization: primary versus secondary shares, fully diluted share count, preferred conversions, options and warrants.
- Use of proceeds: how much the issuer receives and whether stated uses address growth, debt or general corporate needs.
- Supply and valuation: public float, lock-up expirations, expected resale shares, market capitalization and comparable-company risks.
- Governance: board composition, dual-class votes, related-party arrangements and shareholder rights.
Read the most recent registration statement and final prospectus on EDGAR because information can change during registration. The SEC’s 2022 bulletin says emerging growth companies and smaller reporting companies generally include two years of audited financial statements in IPO prospectuses, compared with three years for other IPO companies under the rules it describes. Issuer classification and current rules should be verified before relying on that distinction.
A practical IPO comparison framework
| Question | What to compare | Why it matters |
|---|---|---|
| Who receives cash? | Primary shares versus secondary shares | Issuer funding and seller liquidity are different outcomes. |
| When can holders sell? | Offering shares, lock-up term, resale registration and restricted status | Listing does not eliminate contractual or securities-law limits. |
| How much ownership changes? | Post-offering shares, options, warrants and conversions | New or issuable shares can dilute existing percentages. |
| Who controls votes? | Vote per class, founder percentage and sunset or conversion rules | Economic ownership and control may diverge. |
| What does an employee actually hold? | Option, RSU or RSA; vesting, exercise and tax terms | The instrument determines ownership, cost and timing. |
| What could pressure the market? | Public float, lock-up expirations, valuation and business risks | Future supply and company performance can affect price. |
Bottom line for each stakeholder
Founders
An early IPO can finance growth and eventually provide liquidity, while imposing dilution, disclosure and public-market accountability. Founder control may persist through dual-class shares, but only the charter’s vote and conversion terms establish that result.

Potential wealth depends on the award instrument, vesting, exercise or settlement, taxes and resale restrictions. An IPO is an opportunity for liquidity for some holders, not an automatic payday for everyone.
