How C.C. Wei’s Chairman-CEO Model Is Shaping TSMC’s AI, 2nm and Global Expansion Strategy

C.C. Wei’s combined chairman-CEO role gives TSMC strategic continuity as it scales AI chips, 2nm and overseas fabs—but increases the importance of board oversight and succession planning.

C.C. Wei is already TSMC’s chairman and chief executive officer. The company’s board elected him to both roles after the June 4, 2024 annual shareholders’ meeting, when Mark Liu retired. The important question is not whether Wei will become a dual-role leader, but how the structure is guiding TSMC through an AI-driven capacity race, 2nm production, overseas expansion and a demanding succession challenge.

What TSMC’s dual-role structure means

The chairman leads the board and helps oversee governance, executive evaluation and succession planning. The CEO runs operations, capital allocation, customer relationships, technology execution and business strategy. At TSMC, Wei now holds both jobs.

That differs from the arrangement used from 2018 to 2024. After Morris Chang retired as executive chairman, Mark Liu became chairman and Wei became CEO under a divided leadership model, as described in TSMC’s 2018 announcement: TSMC’s 2018 leadership announcement. Liu retired following the June 4, 2024 shareholder meeting, and Wei assumed the chairmanship while retaining the CEO role.

TSMC’s executive biography lists Wei as chairman and CEO, and the 2025 annual report says his current board term runs through June 3, 2027 (executive biography; 2025 annual report).

Why TSMC combined the positions

TSMC says the combined structure is intended to align the board and management, improve decision-making efficiency, strengthen execution and help the company respond to a rapidly changing, intensely competitive semiconductor market. Those are the company’s stated reasons, not independent proof that combining the jobs always produces better performance (2024 annual-report governance page).

The arrangement can reduce friction when TSMC must decide quickly where to build fabs, how to allocate scarce capacity or which process technology to prioritize. The trade-off is that one executive has greater influence over both the decisions being overseen and the board agenda. That makes independent directors, committees, disclosure and succession procedures especially important.

Why Wei fits an execution-heavy phase

Wei’s career spans the functions that matter most in a leading foundry: electrical engineering, business development, mainstream technology, operations and executive management. He studied electrical engineering at National Chiao Tung University and Yale University, became president and co-CEO in November 2013, CEO in June 2018 and chairman and CEO in June 2024. His background is documented by TSMC’s executive profile and board information.

That combination matters because TSMC’s choices cannot be separated neatly into engineering, sales and finance. A new node requires process development, customer design support, equipment, packaging, factory construction, workforce planning and large capital commitments at the same time.

How the operating model works under a chairman-CEO

Holding both top titles does not mean Wei personally runs every factory or function. TSMC’s 2025 reporting describes a distributed management structure with executive vice presidents Y.P. Chyn and Y.J. Mii serving as co-chief operating officers, deputy COO responsibilities and dedicated leaders for technology development, advanced packaging, information security, finance, legal affairs, corporate strategy and fab operations.

TSMC Arizona also has its own CEO: Ray Chuang was appointed effective October 1, 2025 (SEC appointment filing). Wei’s role is therefore best understood as integrating strategy, resources and accountability across that operating network.

AI demand is the commercial center of the strategy

Artificial intelligence and high-performance computing are now central sources of TSMC demand. AI accelerators require leading-edge logic, advanced packaging and close coordination with memory and systems suppliers. Meeting that demand also requires power, water, equipment, engineering talent and careful capacity allocation among customers.

TSMC’s 2025 annual report sets management objectives for 2024–2029 of revenue growth approaching a 25% compound annual growth rate in U.S.-dollar terms, a through-cycle gross margin of at least 56% and return on equity in the high-20% range (2025 annual report). These are company objectives, not guarantees or forecasts independent of management.

AI is the strongest current growth engine, but TSMC’s customer base also spans smartphone processors, CPUs, networking, automotive and other applications. That breadth matters if AI infrastructure spending later becomes less uniform.

2nm is Wei’s most visible technology and capital test

TSMC says its 2nm process entered high-volume manufacturing in the fourth quarter of 2025, with a fast ramp expected in 2026 (2025 annual report). The early revenue mix shows why this is still a ramp rather than a mature contributor:

Process technology Share of Q2 2026 wafer revenue
2nm 3%
3nm 30%
5nm 33%
7nm 11%
7nm and more advanced combined 77%

These figures are company-reported for the quarter ended June 2026 (Q2 2026 earnings release). Wei must increase volume and yields without allowing ramp costs, delays or reliability problems to erode margins or customer confidence. A successful ramp reinforces TSMC’s process leadership; a troubled one would raise costs and threaten schedules.

Arizona turns globalization into an operating test

Arizona serves three purposes: bringing some production closer to U.S. customers, diversifying geographic supply and responding to government support. It is not a replacement for Taiwan, which remains the center of TSMC’s manufacturing model.

At its May 12, 2026 board meeting, TSMC approved approximately US$31.284 billion in 2026 capital appropriations for advanced technology capacity, fab construction and facility systems. The board also approved up to US$20 billion for the wholly owned TSMC Arizona subsidiary (English board resolution; Chinese resolution).

U.S. production brings customer proximity and geopolitical flexibility, but it is more complicated economically. Construction, labor, utilities, regulation, supplier development and workforce training can cost more than in Taiwan. Wei’s test is to make overseas capacity strategically useful while preserving the utilization, yields and cost discipline that underpin TSMC’s business.

Growth is strong, but expansion raises financial risk

TSMC reported Q2 2026 revenue of NT$1,270.38 billion, or US$40.20 billion, up 36.0% year over year in New Taiwan dollars. Net income and diluted earnings per share rose 77.4%. Gross margin was 67.7%, operating margin 60.3% and net margin 55.6% (company-reported Q2 results).

For Q3 2026, TSMC guided to US$44.6 billion–US$45.8 billion of revenue, a 65%–67% gross margin and a 56%–58% operating margin (Q2 2026 results page). Strong results demonstrate current business strength, but they do not isolate the effect of the chairman-CEO structure. They also reflect AI demand, product cycles, process leadership and broader industry conditions.

Heavy spending creates a second risk: if AI demand or other end markets weaken sharply, new fabs and packaging capacity could be underutilized, reducing returns and pressuring margins.

What checks remain on a chairman-CEO

TSMC’s board remains responsible for legal and regulatory compliance, financial transparency, timely disclosure, risk oversight, officer appointments and dismissals, management evaluation and senior-executive succession planning. Its committees include:

  • Audit and Risk Committee
  • Compensation and People Development Committee
  • Nominating, Corporate Governance and Sustainability Committee

Those mechanisms can provide challenge even when the chairman is also CEO. They do not eliminate the risks of reduced separation, greater dependence on one executive or the possibility that directors find it harder to challenge management. The practical test is whether the board’s independence, committee work and succession disclosures remain credible (TSMC board responsibilities).

What could go wrong

  • 2nm yields or production volumes may ramp more slowly than planned.
  • Advanced-packaging capacity could become the bottleneck even when wafer capacity is available.
  • Arizona may face hiring, training, supplier or cost problems.
  • Power, water, equipment and geopolitical constraints could disrupt expansion.
  • AI infrastructure spending could slow, or customers could correct inventories.
  • Large capital commitments could prove excessive if demand forecasts weaken.
  • Concentrating authority could increase key-person and succession risk if Wei becomes unavailable or must be replaced.
