Bitcoin treasury companies typically combine several funding sources—excess cash, operating cash flow, common-stock sales, preferred securities, convertible debt and secured borrowing—then use the resulting cash to acquire Bitcoin through negotiated market transactions or other execution arrangements. The purchase is only one part of the program: the company must continue servicing debt, paying preferred distributions, maintaining liquidity and safeguarding the Bitcoin.
The exact mix differs by issuer, jurisdiction and market conditions. An authorized financing facility is not the same as money raised, and money raised is not automatically money spent on Bitcoin. To evaluate a treasury company, trace each step from financing terms to actual purchases, custody and the resulting Bitcoin attributable to each fully diluted share.

What a Bitcoin treasury company is actually doing
A Bitcoin treasury company is an operating business or investment vehicle that holds Bitcoin as a significant treasury asset. It may retain cash above working-capital needs, raise new capital, or borrow against assets and use some of those funds to buy Bitcoin. The company still has employees, suppliers, taxes, debt contracts and other obligations. Bitcoin ownership therefore sits inside a corporate balance sheet rather than in a segregated account belonging directly to shareholders.
Strategy’s FY2025 filing describes a treasury reserve as cash and short-term investments above working-capital requirements alongside Bitcoin. It says financing and acquisition decisions are assessed against market conditions, the capital structure, contractual obligations and anticipated operating needs. That framing is important: a company cannot safely deploy every dollar it raises if doing so leaves it unable to meet near-term commitments.

Owning the company’s shares is not the same as owning its Bitcoin. A shareholder has a security subject to the company’s liabilities, dividends, operating results, management decisions, market premium or discount and potential dilution. The filing also notes that share ownership does not provide ownership of, or a redemption right for, the company’s Bitcoin.
Where the purchase money comes from
The following sources are the main ways a treasury company can fund acquisitions. Their availability and final economics depend on the offering documents and the issuer’s jurisdiction.
| Funding method | How it supplies cash | Terms and risks to compare |
|---|---|---|
| Excess cash or operating cash flow | Deploys money already generated or held by the business, without issuing a new security. | Working-capital requirements, operating needs, cash reserves and the opportunity cost of using the money. |
| Common equity, including an ATM program | Issues new common shares, often through an at-the-market program that sells at prevailing market prices. | Issue price, commissions, dilution, the fully diluted share count and whether the shares trade above or below the value of the Bitcoin and other assets. |
| Convertible debt | Raises cash as a loan that can convert into common equity under specified conditions. | Coupon, maturity, conversion price and triggers, cash repayment exposure and dilution if conversion occurs. |
| Secured debt or Bitcoin-backed borrowing | Provides a loan or secured note backed by specified assets, potentially including Bitcoin. | Interest, maturity, collateral tests, lender remedies, refinancing needs and the risk of forced action if collateral value falls. |
| Preferred securities | Raises capital with priority and distribution terms distinct from common equity; securities may be convertible or perpetual. | Dividend rate and adjustments, seniority, redemption or conversion rights and the issuer’s ability to make distributions. |
| Warrants, subscription receipts and other shelf securities | Creates additional permitted ways to raise money under an approved shelf prospectus. | Whether anything was actually sold, final terms, use of proceeds and any resulting dilution or repayment obligation. |
Common equity and at-the-market issuance
An at-the-market (ATM) program lets a company sell common shares, and sometimes preferred securities, into the market over time rather than in one negotiated block. Management can choose to sell when it considers the share price, liquidity and financing cost favorable. An ATM is an issuance method, not a guarantee that buyers will appear or that a stated capacity will be used.

New common shares increase the share count. Existing owners therefore experience dilution in ownership percentage unless the proceeds generate enough additional Bitcoin or business value per share to offset it. Fees, discounts, the price paid by investors and the number of shares issued all affect the result.

Convertible and secured debt
Debt can raise cash without an immediate common-share sale. Convertible notes may later become shares, creating contingent dilution, while non-convertible notes require cash repayment. Both forms can impose interest and maturity obligations. Secured borrowing adds collateral terms and lender remedies. If Bitcoin or another asset is pledged and its value declines, the company may need to post more collateral, repay debt or accept a forced sale under the contract.
Preferred securities
Preferred securities rank ahead of common stock for distributions or liquidation under their terms. They can carry fixed or adjustable dividends, conversion features, redemption rights or perpetual maturities. A company may issue several classes with different economics. Strategy says it structured and issued five classes of preferred stock in 2025 and groups them under the label “digital credit.” Investors must read each class’s documents rather than assume that all preferred stock behaves alike.
Shelf capacity is not money in the bank
Bitcoin Treasury Corporation reported in December 2025 that a short-form base shelf prospectus could permit up to CAD $300 million of financing through common shares, preferred shares, debt securities, subscription receipts or warrants. That amount is an authorized capacity, not proof that CAD $300 million was raised, nor proof that any particular portion was used to buy Bitcoin. A filing or release should be checked for the securities actually sold, the closing date, net proceeds and stated use of proceeds.
How the financing-to-Bitcoin process works
- Set a deployable reserve. Management estimates cash needed for payroll, suppliers, taxes, debt service, preferred distributions and other obligations. Only the amount that can be invested without impairing those needs is available for a purchase.
- Select the financing or cash source. The board and management weigh valuation, interest rates, dividend obligations, maturity dates, collateral, expected operating cash flow and market conditions. The chosen instrument determines who has a claim on the company after the purchase.
- Complete the offering or borrowing. An ATM sale, private placement, note issue, preferred offering or loan must close under its legal documents. Gross proceeds are reduced by underwriting, placement, legal, exchange and other fees.
- Define the acquisition mandate. The company sets an amount, timing, execution method, approved counterparties and controls. It should also decide how much cash remains uninvested for liquidity.
- Execute and settle the Bitcoin purchase. Orders may be placed on public venues or negotiated with OTC liquidity providers. The company records the quantity, price, fees, settlement and wallet destination.
- Hold, report and manage the position. Custody controls, insurance or contractual protections, accounting, tax, debt covenants and later financing decisions continue after settlement. The treasury program is ongoing capital and liability management, not a one-time trade.
How companies execute Bitcoin purchases
Execution depends on order size, liquidity, volatility, jurisdiction and the company’s controls. A large order placed aggressively on a public exchange can move the market and reveal the buyer’s intentions. An OTC transaction can match the buyer with one or more liquidity providers and may allow negotiated commissions and settlement terms, but it introduces counterparty and service-provider risks.

A disclosed OTC example
In a 2024 supplemental disclosure filed with the SEC, Metaplanet said it bought Bitcoin through multiple OTC liquidity providers. It negotiated trading commissions and used a time-weighted average price (TWAP) over a prearranged interval rather than attempting to fill the entire order at one instant. The company said it prioritized periods expected to have lower volatility and higher liquidity and considered pricing, trading volume, security and service when selecting providers.
That sequence—select providers, agree fees, set an interval, execute against a weighted-average objective and settle into custody—is a concrete example, not a universal industry rule. Other issuers may use exchanges, brokers, block trades or different algorithms. A company that does not disclose counterparties, fees or execution statistics cannot be assumed to have followed this process.
How purchased Bitcoin is held and secured
After settlement, the Bitcoin must be controlled by wallets and signing procedures. The same Metaplanet disclosure said it held Bitcoin offline in cold storage with multiple third-party providers. Offline storage can reduce exposure to online attack, while multiple providers can reduce dependence on one custodian, but neither eliminates risk.
- Custody and counterparty risk: a provider may fail, restrict withdrawals, lose access or become subject to legal action.
- Key-management risk: lost keys, compromised credentials or flawed recovery procedures can make assets inaccessible.
- Operational risk: settlement instructions, wallet whitelists, approvals and reconciliations can be entered incorrectly.
- Liquidity risk: moving coins from cold storage takes time and may be constrained during a market emergency.
- Disclosure risk: public filings may describe custody only at a high level, leaving details of insurance, control testing and exact providers unstated.
“Cold storage” should therefore be read as a custody arrangement, not a guarantee of safety or value. Investors should look for who controls the keys, how transactions are approved, whether holdings are segregated, what insurance or indemnity exists and how the company verifies balances.

What happens after the purchase
Bitcoin purchases do not end the financing obligations. Management must monitor interest and maturities on debt, dividends on preferred securities, collateral coverage, cash reserves and the operating business. Strategy describes its broader Bitcoin operations as including capital-markets management and capital and liability management, with attention to cost of capital, asset coverage, liquidity, dividends, interest and maturities.
A falling Bitcoin price can reduce asset coverage while debt and preferred claims remain fixed or continue accruing. A rising price can improve coverage but does not remove refinancing dates or operating losses. Companies may also sell Bitcoin, pledge it, enter options or raise more capital, each of which changes the risk profile.

Issuing shares can dilute existing owners in share-count terms while still increasing the amount of Bitcoin attributable to each share. The relevant comparison is the Bitcoin acquired with net proceeds against the fully diluted claims created by the financing. A simple conceptual calculation is:

Convertible notes, warrants and options may belong in the denominator depending on the company’s methodology. BitcoinTreasuries.net describes Bitcoin per Share (BPS) as Bitcoin attributable per share, generally on a fully diluted basis, and Bitcoin yield as the percentage change in BPS over time. Because issuers can make different assumptions about conversion, dilution, treasury shares and measurement dates, use the calculation published by the company and read its definition.
The share price also matters. If equity trades at a premium to the market value of the company’s Bitcoin, issuing shares may raise more cash per unit of underlying Bitcoin than issuing at a discount. Liabilities and the operating business must be included in that valuation; comparing a share price only with gross Bitcoin holdings can be misleading. BPS growth is not the same as a positive fiat return for shareholders.
How to compare two Bitcoin treasury companies
| Comparison axis | Questions to answer |
|---|---|
| Financing mix and cost | How much came from common equity, preferred securities, convertible debt, secured debt and cash? What are the coupons, dividends, fees and maturities? |
| Dilution and Bitcoin per share | What is the fully diluted share count, including convertibles and warrants? Did the latest financing increase or decrease BPS? |
| Balance-sheet resilience | How much unrestricted cash remains after purchases? Can the company meet debt service, preferred distributions and working-capital needs? |
| Valuation | Does the equity trade above or below the market value of Bitcoin holdings after considering liabilities and the operating business? |
| Execution and custody | Are purchase channels, fees, counterparties, settlement controls and custody providers disclosed? |
Do not turn one issuer’s balances or an announced shelf capacity into a sector-wide statistic. The available filings and issuer materials do not provide a neutral, harmonized percentage of Bitcoin purchases funded by each instrument.

Important dates and issuer statements
- August 2020: Strategy announced its first Bitcoin acquisition, according to its FY2025 filing.
- 2025: Strategy says it structured and issued five classes of preferred stock.
- December 18, 2025: Bitcoin Treasury Corporation chief executive Elliot Johnson said, “As market conditions permit, we intend raise capital to purchase additional Bitcoin inventory when it is accretive to shareholders.” This is the issuer’s stated intention, not a forecast.
- December 18, 2025: Bitcoin Treasury Corporation said, “Bitcoin Treasury will enter into options contracts using its Bitcoin inventory to enhance Bitcoin Treasury’s income-generating capability.” Options can add income potential and additional market risk; the statement does not establish that every treasury company uses them.
Common mistakes when analyzing a treasury company
- Treating authorization as a completed raise: a shelf prospectus or ATM capacity only permits future issuance.
- Using gross proceeds: fees and expenses reduce the cash available for Bitcoin.
- Ignoring senior claims: debt and preferred securities can rank ahead of common shareholders and continue accruing obligations during a Bitcoin decline.
- Counting only basic shares: convertibles, warrants and options can change the fully diluted denominator.
- Assuming OTC means risk-free: negotiated execution still involves counterparties, settlement and custody risk.
- Confusing BPS with returns: more Bitcoin per share does not guarantee the share price will rise.
- Assuming identical practices: one company’s TWAP, cold-storage arrangement or financing stack cannot be generalized to the sector.
A practical document checklist
Before judging whether a new purchase benefits shareholders, read the relevant filing, offering document or release and record:
- The security issued, amount sold, issue price and net proceeds.
- Interest, dividends, conversion terms, collateral, maturity and redemption rights.
- The number of basic and fully diluted shares before and after the transaction.
- The Bitcoin acquired, purchase cost, fees, date and stated execution method.
- Cash remaining for operations and the next debt or preferred payment.
- Custody providers, wallet controls and any disclosed insurance or segregation.
- The company’s definition and measurement date for Bitcoin per share or Bitcoin yield.
Following those records separates an announced strategy from a completed transaction and shows whether the company is accumulating Bitcoin while preserving the capacity to operate and meet its contractual claims.
