AMD completed its $35 billion all-stock acquisition of Xilinx on February 14, 2022. The deal added Xilinx’s field-programmable gate arrays (FPGAs), adaptive system-on-chips, AI engines and software capabilities to AMD’s CPU and GPU business, putting the combined company in more direct competition with Intel in programmable logic as well as data-center, communications and embedded computing.
Why did AMD buy Xilinx?
AMD’s stated aim was to combine its high-performance computing products with Xilinx’s adaptive-computing portfolio. FPGAs can be reconfigured after manufacture for particular workloads; adaptive SoCs combine programmable logic with other processing capabilities. These products complement CPUs and GPUs rather than simply duplicating them, giving customers more ways to build systems for cloud, edge and intelligent-device applications.
In its February 14, 2022 completion announcement, AMD described an approximately $135 billion opportunity across cloud, edge and intelligent devices. It also cited a $300 billion market for high-performance and adaptive computing solutions. These are company estimates of market opportunity, not sales generated by the acquisition or guaranteed revenue.
What changed in AMD’s competition with Intel?
Intel was already a major competitor in programmable logic. AMD’s 2020 transaction materials reported that, in 2019, Xilinx held 54% of the FPGA market and Intel held 32%. Those figures are historical and reflect AMD’s transaction materials; they should not be read as current market shares.

After the deal closed, Xilinx became part of AMD. The combined portfolio let AMD compete across more of the computing stack: CPUs and GPUs alongside FPGAs, adaptive SoCs and related software. That gives customers evaluating systems for data centers, communications infrastructure and embedded or industrial applications another potential supplier for integrated heterogeneous-computing solutions. It does not mean every AMD product combines all of those technologies in one chip.
What did the acquisition add to AMD’s portfolio?
- FPGAs: Programmable logic that can be configured for specific tasks.
- Adaptive SoCs: Devices combining programmable logic with processing capabilities for adaptable systems.
- AI engines: Specialized capabilities intended to support AI workloads.
- Software expertise: Tools and software that help developers design for programmable and adaptive hardware.
AMD said Xilinx’s technology and expertise would strengthen its offering in high-performance and adaptive computing. The practical value depends on a customer’s workload, product selection and software needs; the acquisition announcement does not establish that AMD’s combined products outperform Intel’s in any particular application.

When was the deal announced, and what were its terms?

The $35 billion figure was the announced transaction value, not a cash payment to Xilinx shareholders. AMD’s announcement set the exchange ratio at 1.7234 AMD shares per Xilinx share; shareholders received stock under the deal terms.

The acquisition closed on February 14, 2022, and Xilinx’s capabilities became part of AMD. The transaction materials establish the strategic portfolio combination, but do not by themselves establish current market shares, the present branding of every Xilinx product, or the performance of particular AMD-versus-Intel systems.

Does AMD now compete with Intel in FPGAs?
Yes. Following the acquisition, AMD owns Xilinx’s FPGA business and competes with Intel in programmable logic. The significance extends beyond FPGA sales: AMD can bring Xilinx technologies into a broader portfolio that includes CPUs and GPUs, while competing for customers in markets such as data centers, communications and embedded computing. The available historical market-share figures are from 2019; they do not show how the two companies compare today.
