Hewlett Packard Enterprise (HPE) announced on July 1, 2021, that it would acquire data-protection software company Zerto for $374 million in cash. HPE said the purchase would strengthen its GreenLake cloud data services and advance its storage business toward cloud-native, software-defined services. The deal was completed in 2021, though HPE’s completion announcement and financial filing give different dates for the closing.
What HPE agreed to buy
Zerto made journal-based continuous data protection software. HPE described the software as supporting disaster recovery, backup and data mobility, and said Zerto served more than 9,000 customers through a network of more than 350 managed service providers at the time of the announcement. Those customer and provider counts were figures reported by HPE in 2021, not independently verified totals.
Why HPE said it wanted Zerto
HPE presented the acquisition as a strategic expansion of its cloud and storage services, rather than simply a purchase of a software vendor. It said Zerto would broaden GreenLake cloud data services and help move HPE Storage toward cloud-native, software-defined data services.
HPE CEO Antonio Neri framed the rationale around the challenge of protecting data across distributed environments: “With the explosive growth of data at the edge and across hybrid environments, organizations today face significant complexity in managing and protecting their data.” That statement reflects HPE’s explanation for the deal, not an independent assessment of its strategic value.

What the $374 million figure means
The $374 million was the cash transaction value HPE announced on July 1, 2021. HPE said it planned to fund the purchase with cash on its balance sheet. Its completion announcement later described the net cash purchase price as $374 million.
HPE subsequently reported $416 million as the acquisition-date fair-value consideration in its FY2022 filing. It said that accounting measure primarily consisted of cash paid for Zerto’s outstanding common stock and vested in-the-money stock awards. The $416 million figure is a later accounting measure, not a replacement for or correction of the announced $374 million transaction value.

When the acquisition closed
HPE announced that the acquisition was complete on September 1, 2021. Its FY2021 Form 10-K records the closing date as August 31, 2021. These refer to different milestones: the filing identifies the date the transaction closed, while the announcement date is when HPE publicly reported completion.

At announcement, HPE expected Zerto to contribute more than $130 million in run-rate revenue. That was HPE’s forecast in 2021; the announcement does not establish that the forecast was later achieved or quantify realized strategic benefits from the acquisition.
