Taiwan’s Fair Trade Commission (FTC) was still reviewing the proposal in its latest specific update, dated August 17, 2026; the companies had said they hoped to close in the second half of 2026, subject to regulatory approval and other customary conditions.
What Grab has agreed to buy
The proposed buyer is Grab Holdings Limited, and the seller is Delivery Hero SE. The deal covers Delivery Hero’s foodpanda delivery business in Taiwan. The announced price is US$600 million in cash on a cash-free, debt-free basis, subject to customary closing adjustments. That describes the transaction’s terms, not a final amount that can be assumed to be paid if the deal does not close.
The companies said foodpanda Taiwan’s customers, vendors and delivery partners would transition to Grab after closing. This is a proposed post-close transition; it has not yet happened.
Has Taiwan approved the deal?
No approval had been announced in the FTC’s latest specific status updates in the supplied record. On July 22, 2026, the FTC extended its review by 60 working days, setting October 27, 2026, as the extended review-period deadline. On August 17, the commission said the case remained under review and that it had no predetermined position on the outcome.

October 27 is a review-period deadline, not a guaranteed decision date, approval, or closing date. The regulator is assessing the transaction’s competitive effects, and its eventual decision is not established.
Issues the FTC is examining
The FTC has raised questions about Taiwan’s duopoly market structure and whether Uber’s equity and voting links to Grab could affect the competitive incentives or ability of Uber Eats and Grab after a combination. Those are issues under review, not findings that the deal will harm competition or that it will be blocked.

When could the transaction close?
Grab and Delivery Hero announced an expectation of closing in the second half of 2026. That is a target, not a confirmed date. Closing depends on regulatory approvals and customary closing conditions, and the FTC’s October 27 review deadline does not itself establish when the transaction will be completed.
Why Grab says the Taiwan business matters
Grab described the purchase as an expansion into its ninth market and its first market outside Southeast Asia. The company reported that foodpanda Taiwan generated approximately US$1.8 billion in gross merchandise value (GMV) during 2025. GMV is a measure of transaction value, not the same as revenue or profit.

Grab also said the Taiwan business was profitable on an adjusted EBITDA basis before allocation of Delivery Hero group costs. Separately, Grab forecast that the proposed transaction would add at least US$60 million in incremental adjusted EBITDA in 2028. That figure is a company forecast, not a guaranteed result or an independently established outcome.
How this differs from the earlier Uber proposal
Grab’s proposal is a new transaction, not a continuation of the earlier agreement between Delivery Hero and Uber. The FTC prohibited the Uber proposal in December 2024, and Delivery Hero later reported that Uber terminated its agreement on March 11, 2025.

The headline amounts are from separate agreements announced at different times. They should not be read as a like-for-like valuation comparison without accounting for transaction scope, adjustments, dates and market conditions.

If the transaction closes, the companies’ stated plan is to transition foodpanda Taiwan’s customers, vendors and delivery partners to Grab. The available terms do not specify exactly how individual accounts, subscriptions, promotions, vendor arrangements or delivery-partner arrangements would change. Until closing and any further implementation details are announced, it is premature to assume a particular change to a user’s service or a vendor’s contract.

What to watch next
