The announced buyer was Groupe Carbone Lorraine, at a price of $143 million in cash. The report expected completion within six weeks, but later records establish an acquisition in 1999 without specifying its closing date.
What Gould Electronics announced
EDN reported on July 12, 1999, that Gould Electronics Inc. had nearly completed the spin-off of Gould Shawmut, its circuit-protection group. Gould Shawmut was to be sold to Groupe Carbone Lorraine, a Paris-based company, for $143 million in cash. At the time, completion was expected within six weeks; that was a forecast, not a confirmed closing date. EDN’s July 12, 1999 report is the contemporaneous account.
Gould executives said the proceeds would be used to build the company’s core business in materials and components for the electronic and optical interconnect industries.
What was meant to happen to Gould Shawmut
The announced plan was to combine Gould Shawmut with Ferraz, Carbone Lorraine’s electrical-protection business, and operate the merged business as Ferraz Shawmut. EDN reported that the planned company would have sales and service operations in more than 40 countries. That figure described the intended reach of the merged operation in 1999, not its present-day footprint.

Why the businesses were being combined
Gould Shawmut’s portfolio included its patented Amp-trap family of current-limiting fuses. EDN said those products would complement Ferraz’s circuit-protection devices designed for power semiconductors. Marc Renart, a managing director, described expanding Ferraz’s North American presence as a long-standing strategic objective.
What later records confirm
Mersen’s corporate history records the 1999 acquisition of the Gould-Shawmut group’s electrical-protection division, identified as American-standard fuses. Its chronology also says that Carbone Lorraine became Mersen in 2010. The 2024 Universal Registration Document and the 2023 registration document provide this later corporate-history record.

Those records support the broad outcome and corporate-name context, but they do not provide an exact closing date or verify that the deal closed within the six-week estimate reported in July 1999. Accordingly, the clearest account is that Gould announced the planned sale to Carbone Lorraine and the combination with Ferraz, while Mersen’s later history records the acquisition in 1999.

The sale was part of Gould Electronics’ stated plan to concentrate on materials and components for electronic and optical interconnect industries. For Gould Shawmut, the proposed combination brought its current-limiting fuse portfolio together with Ferraz’s devices for power-semiconductor protection. The announcement’s financial detail is the $143 million cash sale price; the cited sources do not describe a buyer financing structure or how the proceeds were ultimately allocated.
