GitLab Sale Report Dates to 2024: What Datadog’s Reported Interest Means

The GitLab sale report dates to July 2024. Datadog was reportedly among interested companies, but no acquisition was publicly announced by August 2026.

Reuters reported on July 17, 2024, that GitLab was exploring a possible sale and that Datadog was among companies that had shown interest. That was a report of a potential process—not confirmation of a bid, agreement, or imminent acquisition. By August 16, 2026, GitLab was still operating as an independent public company, and no transaction had been publicly announced in the available evidence.

What the July 2024 report actually said

Reuters, citing people familiar with the matter, reported that GitLab was working with investment bankers as it explored a possible sale. Datadog was named among potential interested buyers, but Reuters did not identify a final buyer or say that talks would lead to a deal. GitLab declined to comment in the syndicated account. The report put GitLab’s market capitalization at about $8 billion at the time. The Information later reported that GitLab shares rose more than 7% after the news, valuing the company at about $8.6 billion then. Those are historical market-cap figures, not a current valuation or a measure of what an acquirer would have to pay. The Information’s summary.

“Exploring a sale” can describe anything from preliminary discussions to a banker-led review of strategic options. The report does not establish that GitLab held a formal auction, received a binding offer, entered exclusivity, or agreed on a price. Datadog was one reported interested party, not a confirmed bidder or sole prospective buyer.

Is GitLab being acquired now?

As of August 16, 2026, the available public evidence does not establish that GitLab was acquired, signed a merger agreement, or confirmed an active sale process. GitLab continued to publish company results and other announcements as an independent public company. Its SEC filings page lists public-company filings through 2026; the reviewed evidence does not show a completed Datadog acquisition. The absence of a public transaction does not prove that private discussions never took place.

GitLab’s March 3, 2026 results release reported that fiscal 2026, which ended January 31, 2026, exceeded $1 billion in annual recurring revenue (ARR) and generated $220 million in free cash flow. The board also authorized $400 million in share repurchases. These figures describe GitLab’s standalone business; ARR is not the same as reported revenue, and a buyback authorization is not evidence that the company rejected or ended any private discussions. Why Datadog might have been interested

The strategic fit is plausible, but it is analysis—not a confirmed explanation of Datadog’s reported interest. GitLab covers planning, source-code management, CI/CD, security, compliance, and software delivery. Datadog focuses on observability and security across infrastructure, applications, logs, networks, and related operational data. Together, those capabilities could connect a code change to its build, deployment, production behavior, and security findings.

GitLab already documents an integration with Datadog that can connect project and repository information, merge-request comments, and CI/CD pipeline and job data with Datadog. A buyer might also value access to developer workflows and the software-delivery context that could support AI-assisted development and operations. GitLab said its fiscal 2026 strategy included the GitLab Duo Agent Platform and intelligent orchestration across the software lifecycle. But neither that strategy nor the existing integration proves Datadog made an offer or pursued the company for a specific reason.

Why a transaction would be complicated

Price and financing

The roughly $8 billion figure in Reuters’ July 2024 report was GitLab’s market capitalization at that time. A buyer would typically need to consider a premium to the relevant unaffected share price, alongside financing costs and the value of GitLab’s standalone growth. The 2024 figure should not be treated as GitLab’s 2026 market value, and the available evidence does not establish an offer price or transaction terms.

Product and customer integration

GitLab is more than a code-hosting service. It serves customers through SaaS, self-managed, and dedicated deployment options, with security and compliance capabilities across the software lifecycle. Combining it with Datadog could create overlapping security offerings, alter product packaging or sales incentives, and complicate support for existing integrations. It could also raise concerns about preserving GitLab’s multi-cloud positioning and the needs of open-source projects and contributors.

Customers would want clarity about self-managed deployments, data residency, pricing, licensing, product road maps, and interoperability with AWS, Google Cloud, Microsoft Azure, GitHub, and other tools. Regulatory review

A deal joining a source-code and DevSecOps platform with a large observability provider could attract regulatory scrutiny, depending on how markets, customer choices, data access, and the transaction were defined. Without an announced agreement and jurisdiction-specific filings, there is no basis to predict whether regulators would approve or block a transaction.

What customers and investors can monitor

A headline about reported interest is not, on its own, a reason for customers to migrate or investors to assume a deal is imminent. More consequential signals would include a definitive acquisition announcement, merger agreement, tender offer, or relevant SEC filing; official changes to pricing, licensing, or product support; and communications about deployment options, data governance, or road maps.

  • GitLab customers: Review contract terms for termination and price changes, keep repository backups, and make CI/CD definitions, runner configurations, and security workflows reproducible. Organizations with high dependence on GitLab-specific features may also document an alternative-provider plan, but the 2024 report alone does not justify a migration.
  • Investors: Distinguish reported interest from a formal bid, and a market-cap estimate from enterprise value or an offer price. Any transaction analysis would need to account for a potential premium, financing and dilution, integration costs, regulatory risk, and GitLab’s standalone performance.
  • Developers and platform teams: Watch for actual product or contractual changes rather than assuming that ownership will change. GitLab can also be used alongside Datadog today; the documented integration is a complementary configuration, not an ownership arrangement.

How GitLab fits against the alternatives

The reported Datadog interest should not be confused with a recommendation to switch platforms. For teams evaluating their current setup, the relevant choice depends on deployment requirements, existing workflow investments, and whether an integrated DevSecOps suite or a particular developer ecosystem matters most.
