Geely completed its acquisition of Zeekr on December 22, 2025. Zeekr is now a wholly owned Geely subsidiary and is no longer publicly traded. The deal offered eligible Zeekr shareholders a choice of cash or Geely stock, but that election was part of the transaction—not an option still available after closing.
Did Geely complete the Zeekr take-private?
Yes. Zeekr announced on December 22, 2025 that its merger with Keystone Mergersub Limited, an indirect wholly owned subsidiary of Geely Automobile Holdings Limited, had closed. Zeekr said it had become wholly owned by Geely and had ceased to be a publicly traded company. Zeekr’s completion announcement requested that trading of its American depositary shares (ADSs) on the New York Stock Exchange be suspended effective that day and asked the exchange to file Form 25 for delisting. The completion notice also said Zeekr intended to file Form 15 to suspend and terminate its reporting obligations through the applicable process. It does not establish when deregistration later became effective, so the closing date should not be mistaken for a confirmed effective date of deregistration. [c001]
What did the deal offer Zeekr shareholders?
Under the merger agreement signed July 15, 2025, eligible holders could elect cash or Geely shares, subject to exceptions in the agreement. A Zeekr ADS represented ten ordinary shares; the figures below distinguish ADS-level consideration from ordinary-share consideration. Hong Kong non-professional investors were entitled to cash only. The stated alternatives describe the agreement’s consideration, not an ongoing post-closing choice. The agreement’s exceptions applied, and Hong Kong non-professional investors were limited to cash consideration. The transaction terms do not by themselves establish which alternative was more valuable: that comparison would depend on the relevant market prices and date.
When did shareholders approve the merger?
Zeekr shareholders approved the merger agreement and related proposals at an extraordinary general meeting on September 15, 2025. Approximately 96.8% of outstanding shares were represented in person or by proxy. Approximately 94.2% of votes cast were in favor; that percentage is of votes cast, not of all outstanding shares. What was the fairness review—and what did it not mean?
According to the transaction proxy, a special committee oversaw negotiations, and Duff & Phelps, operating through Kroll, provided a fairness opinion. The opinion addressed whether the consideration was fair from a financial point of view to specified holders, subject to its assumptions, procedures, qualifications, and limitations. The proxy states that the opinion was not advice or a recommendation on how holders should vote or act. [c004]
The proxy also records that Geely described its final consideration as its best and final offer and that the special committee’s market check did not produce expressions of interest from another potential buyer. Those are accounts of the process in the proxy; they do not prove that no hypothetical alternative buyer or offer could have existed. [c004]

The merger exchanged eligible Zeekr shares and ADSs for the applicable cash or stock consideration at closing, subject to specified exceptions for excluded and dissenting shares. Because Zeekr is no longer publicly traded, its former securities are not continuing as publicly traded Zeekr shares or ADSs. The completion announcement establishes the transaction’s closing and requested delisting steps, but not the later effective date of deregistration. [c001]
The deal terms and fairness opinion describe the transaction, not whether its consideration proved favorable in hindsight. They also are not investment advice.
