Fauji Fertilizer Company (FFC) withdrew from bidding for Pakistan International Airlines Corporation Limited (PIACL) before the December 23, 2025 auction—but it did not leave the transaction permanently. After the Arif Habib Corporation-led consortium won the auction for a 75% stake, FFC decided to join it the following day. By the latest reported milestone, management control had transferred to the consortium; completion of the remaining 25% had not been established.
What FFC’s exit from the PIA bid meant
FFC’s withdrawal was from the bidding process before the auction, not a permanent withdrawal from the privatization. A contemporaneous Dawn report said FFC decided on December 24, 2025, to join the winning Arif Habib Corporation-led consortium. FFC should therefore not be described as the winning bidder: the consortium placed the successful bid, and FFC entered the consortium afterward.
FFC had been among the parties prequalified for the divestment process in 2025. Prequalification, bidding, joining a winning consortium, and completing a transaction are separate stages; the later stages do not change the fact that FFC withdrew before the auction.

The Privatisation Commission had recommended including FFC in the consortium, but that recommendation was subject to CCoP or Federal Cabinet approval under the stated framework. It should not be treated as the final approval milestone.

What the transaction amounts represent
The headline bid and the government’s expected investment figures refer to different parts of the transaction. The Rs135 billion bid was the consortium’s offer for 75% of PIACL, not a figure for FFC’s individual contribution or for total investment in the airline.

The available status milestones establish the transfer of management control at first completion on June 29, 2026, but do not establish that the remaining 25% call option had closed by October 8, 2026. The April government notice described an intent to exercise the option, subject to the transaction agreement; the September parliamentary report still described contractual requirements and second completion as conditions. An intention to acquire the remaining stake is not proof that the acquisition was completed.
