The transaction exchanged 214,687,500 FPCL shares for 15,914,566 newly issued FFC shares; it was not a cash purchase.
What FFC acquired and what it issued
FFC proposed acquiring 214,687,500 ordinary voting shares in FPCL, equal to 25% of FPCL’s paid-up capital, from Fauji Foundation, FFC’s holding entity. In return, FFC would issue Fauji Foundation 15,914,566 new ordinary shares. The new shares were specified at a par value of PKR 10 each and were to be issued for non-cash consideration, other than through a rights offer. FFC’s November 2025 disclosure and its EGM notice set out the proposed terms.
The share-swap ratio
FFC’s EGM notice reported that independent valuer KPMG Taseer Hadi & Co. calculated a ratio of one FFC share for every 13.49 FPCL shares. The notice identified Fauji Foundation as the related party and FFC’s holding entity.
How the transaction moved from proposal to completion
| Date | Milestone | What the record says |
|---|---|---|
| November 10, 2025 | Board proposal | FFC’s board approved recommending the acquisition to shareholders. FFC disclosure and EGM materials. |
| December 8, 2025 | Shareholder approval | Shareholders approved the acquisition and related special resolutions at the EGM, according to Associated Press of Pakistan. APP reported a 57.38% quorum. |
| January 21 and 22, 2026 | Share transfer and allotment compliance | An auditors’ certificate and attached company compliance statement report that legal title, rights and ownership of the FPCL shares were transferred to FFC on these dates, and that requirements for allotting the 15,914,566 new FFC shares were fulfilled. Certificate and statement reproduced by MarketScreener. |
The EGM materials made completion contingent on required regulatory approvals, including approval by Pakistan’s Securities and Exchange Commission (SECP). The cited certificate and statement document the share transfer and allotment-compliance steps, but do not specify the date or instrument for each regulatory approval.

Why FFC said it was acquiring the stake
FFC described the deal as an internal group reorganization intended to bring FPCL under 100% ownership. Its EGM notice said FPCL supports the operations of the Port Qasim plants and presented shared services and other efficiencies as expected sources of synergy, alongside incremental dividends and savings. These are company-stated aims and anticipated benefits, not independently verified outcomes.
The notice’s statement of material facts described the transaction as: “This Transaction is an internal reorganization exercise within group companies.” The sentence is attributed to the company, not to a named individual.

What the share exchange means
Rather than paying cash to Fauji Foundation, FFC issued new shares as consideration. The exchange therefore moved the FPCL shares to FFC while giving Fauji Foundation additional FFC shares. The proposed quantity and ratio are stated in FFC’s EGM notice; the later auditors’ certificate and company statement report the transfer and fulfillment of allotment requirements.
