Equinix’s $280 Million Bit-isle Deal: How the 2015 Japan Data-Center Acquisition Worked

Equinix’s Bit-isle acquisition expanded its Japanese data-center footprint. The deal was announced at about $280 million, completed in 2015, and recorded at approximately $275.367 million in final consideration.

Equinix announced a conditional, all-cash tender offer for Japan’s Bit-isle on September 8, 2015, offering JPY 922 per share. The company estimated the transaction at JPY 33.3 billion, or about US$280 million at the announcement’s exchange rate. The tender offer closed in November, and Equinix bought the remaining shares in December. Its fiscal 2015 Form 10-K later recorded final consideration of JPY 33.196 billion, approximately US$275.367 million.

Why did Equinix offer $280 million for Bit-isle?

Equinix said the acquisition would strengthen its position in Japan and help it meet growing customer demand for interconnection. Bit-isle operated six facilities—five in Tokyo and one in Osaka—giving Equinix additional sites alongside its existing International Business Exchange (IBX) data centers.

In its completion announcement, Equinix described the facilities as being close to its existing Japanese IBX locations and said the combination created “campus-like environments” suited to customers’ future expansion needs. That is Equinix’s strategic description, not an independently verified assessment of the Japanese market.

The US$280 million figure was an approximate value in the September announcement. It was not a guarantee of the final amount recorded in Equinix’s accounts, and the difference does not indicate that the JPY 922 offer price was changed.

Did Equinix complete the Bit-isle acquisition?

Yes. Equinix announced that the tender offer was completed on November 2, 2015, with approximately 97% of Bit-isle’s equity interests acquired, including stock options. Equinix then acquired the remaining equity interests in December.

Why are the announced and final dollar amounts different?

Equinix’s September announcement estimated the total at about US$280 million, while its fiscal 2015 Form 10-K reported final consideration of JPY 33.196 billion, approximately US$275.367 million. The two figures reflect an announcement estimate versus the final reported consideration and different approximate currency conversions. The evidence does not show a change to the JPY 922-per-share offer.

What did Equinix gain in Japan?

  • Six facilities: five in Tokyo and one in Osaka.
  • Greater site density: the facilities were described as being near Equinix’s existing Japanese IBX data centers.
  • Additional interconnection capacity: Equinix said the acquisition would help address customer demand for interconnection.

Equinix characterized the combined business as Japan’s fourth-largest data-center operator. That ranking is a company claim; the cited announcements do not provide an independent ranking methodology or market-size calculation.

What the transaction means for readers

This was an enterprise infrastructure acquisition, not a consumer product purchase. Its significance was the expansion of Equinix’s Japanese data-center footprint and interconnection network.
