Elon Musk and X Agree to Settle Former Twitter Executives’ $128 Million Severance Lawsuit

Four former Twitter executives claimed more than $128 million in severance and benefits. Musk and X agreed to settle, but the amount and completion details are not public.

Elon Musk and X Corp. agreed to settle a lawsuit brought by four former Twitter executives who claimed they were owed more than $128 million in severance and related benefits. The settlement amount and terms were not disclosed. A September 30, 2025, court filing said certain conditions still had to be met; reports of the agreement were published October 8, 2025.

What the settlement does—and does not—tell us

The case, Agrawal et al. v. Musk et al., No. 3:24-cv-01304, was filed in the U.S. District Court for the Northern District of California. The September 30 filing said the parties had reached a settlement and asked to postpone case deadlines while they completed certain near-term conditions. Bloomberg Law reported on the filing; Bloomberg reported the agreement on October 8.

The executives’ claim of more than $128 million is not a disclosed settlement figure. Public reports do not establish how much, if anything, each plaintiff will receive, whether payment has been made, or whether the court has formally dismissed the case. An agreement to settle is not itself a court judgment or proof that the allegations were established.

Who brought the lawsuit?

The plaintiffs were four former senior Twitter executives:

  • Parag Agrawal, former chief executive officer.
  • Ned Segal, former chief financial officer.
  • Vijaya Gadde, former chief legal officer.
  • Sean Edgett, former general counsel.

The headline shorthand “Musk and former Twitter executives” leaves out the full set of parties. The case named Musk, X Corp. (formerly Twitter, Inc.), Twitter severance and change-of-control benefit plans, and other individuals connected to post-acquisition employment decisions. The case docket identifies the action and parties.

Why the executives said severance was due

Musk completed his approximately $44 billion acquisition of Twitter in October 2022, and the four executives were dismissed around the time the deal closed. The company was later renamed X. The executives alleged that the company improperly denied them severance after treating their terminations as “for cause,” a characterization they said was used to avoid contractual payments. The Associated Press’ account of the lawsuit describes the acquisition and the executives’ allegations.

The dispute was about more than the fact of their departures. The complaint focused on whether Twitter’s change-of-control and involuntary-termination benefit plans entitled the executives to payments, and whether the plans were administered properly. The complaint’s account of the acquisition dispute and the company’s alleged conduct is the plaintiffs’ position, not a finding by a court.

How the claimed amount broke down

The complaint sought more than $128 million in total severance and related benefits. Published estimates of individual claims vary slightly, so the figures below are approximate amounts attributed to the plaintiffs’ claims—not awards or settlement payments. Bloomberg Law reported the individual estimates.

These estimates help explain the total at issue, but they do not reveal the settlement’s value. The public reporting does not say whether the agreement provides for all, part, or a different amount than the original claim.

What kind of legal case was it?

The lawsuit asserted claims under the Employee Retirement Income Security Act (ERISA), the federal law that governs many employer benefit plans. The docket classifies the action under 29 U.S.C. § 1132. In this kind of dispute, the central questions can include whether a plan participant qualifies for benefits and whether the plan administrator properly interpreted or applied the plan. The complaint also sought equitable relief, statutory penalties for allegedly failing to provide plan information, interest, and attorneys’ fees. Those requests were claims for relief, not amounts shown to have been awarded. The complaint sets out the plaintiffs’ legal claims.

This was a civil employee-benefits case, not a criminal prosecution. Nothing in the reported settlement indicates an admission of liability by Musk or X.

How this differs from other Twitter-related lawsuits

The four-executive case is separate from litigation by rank-and-file former Twitter employees who claimed they were owed about $500 million in severance after mass layoffs. Reuters reported that X also agreed in 2025 to settle that separate case. Reuters’ report distinguishes the employee action from the executives’ lawsuit.

The agreement involving Agrawal, Segal, Gadde and Edgett does not resolve other disputes connected to Musk’s acquisition of Twitter, including cases involving former employees, shareholders or vendors. Each has different parties and claims.
