Elliott Reportedly Built a Stake Worth More Than $1.5 Billion in HPE

Reuters and Bloomberg reported in April 2025 that Elliott had built a stake worth more than $1.5 billion in HPE. Later filings detail governance arrangements but do not update the reported holding’s value.

Elliott Investment Management reportedly built a stake worth more than $1.5 billion in Hewlett Packard Enterprise (HPE), according to reports published April 15, 2025. The figure came from people familiar with the matter—not from an HPE disclosure—and later HPE filings describe cooperation and board arrangements without stating Elliott’s current holding or its value.

How big was Elliott’s reported HPE stake?

Reuters reported that Elliott had built a position worth more than $1.5 billion, citing a person familiar with the matter. Bloomberg also reported the amount, attributing its account to people familiar with the matter. Neither report established a publicly disclosed share count or ownership percentage.

That figure is anchored to the April 2025 reports. It should not be read as the stake’s value today: the reviewed HPE filings do not update Elliott’s share count, ownership percentage, or position value. Reuters’ April 15, 2025 report said HPE shares rose nearly 5% to $14.98 after the news. That was a report-era market reaction, not a current share price or a measure of Elliott’s present position.

What did Elliott reportedly want from HPE?

Bloomberg reported that Elliott planned to engage with HPE to help boost value and that the investment made Elliott one of HPE’s top five shareholders according to Bloomberg-compiled data. Bloomberg also said Elliott’s exact intentions could not immediately be learned. Those reported plans and ranking were not established as company-filed facts. What did HPE later disclose?

HPE’s July 16, 2025 Form 8-K provides a formal account of subsequent governance arrangements. HPE said it entered into a cooperation agreement with Elliott Investment Management L.P., Elliott Associates, L.P., and Elliott International, L.P. Robert M. Calderoni joined HPE’s board immediately. The board also established a Strategy Committee chaired by Calderoni, with Raymond Lane, Charles Noski, and Gary Reiner as its other members. Calderoni was appointed to HPE’s Integration Committee, formed following the Juniper Networks transaction.

“Pursuant to the Cooperation Agreement, the Board has established a Strategy Committee to support the Board and management in reviewing the strategy of the Company and its businesses and opportunities for value creation.”

That filing also describes standstill restrictions and voting commitments. Certain Elliott rights concerning replacement directors were conditioned, among other things, on Elliott beneficially owning a net long position or having aggregate net long economic exposure of at least 2% of HPE’s then-outstanding common stock. The agreement was to remain in effect until the first anniversary of July 16, 2025, subject to an extension if an Elliott employee director served on the board. These provisions describe agreement terms; they do not disclose the dollar value of Elliott’s position. HPE’s July 16, 2025 Form 8-K contains the filing details.

What changed in 2026?

In a filing dated June 1, 2026, HPE said it and Elliott had agreed on May 29 to amend the board-size provision. Immediately after the 2026 annual meeting, the board could have up to 14 directors until the 2027 annual meeting. The filing summary said the full amendment would be filed as an exhibit to HPE’s quarterly report for the period ended July 31, 2026. The summary does not provide an updated stake value. HPE’s June 1, 2026 Form 8-K describes the amendment.

How the Juniper deal fits into the timeline

HPE completed its merger with Juniper Networks on July 2, 2025. HPE’s 2025 annual report says it agreed to pay $40 per Juniper share, representing approximately $13.4 billion in cash consideration. This is relevant business context for HPE during the period, but the cited sources do not establish that the Juniper transaction was Elliott’s reason for investing. HPE’s 2025 annual report provides the transaction details.
