EchoStar agreed to sell SpaceX rights and licenses covering 50 MHz of AWS-4 and H-Block spectrum for approximately $17 billion in September 2025. An amendment later added up to 15 MHz of unpaired AWS-3 spectrum for approximately $2.6 billion in SpaceX stock, raising the announced value of the amended transaction to about $20 billion.
The sale followed intense FCC scrutiny over EchoStar’s spectrum use and network buildout. However, the legal record does not show that the FCC or a court issued a direct order compelling EchoStar to sell. The more precise description is that EchoStar pursued the transaction amid severe regulatory uncertainty and warnings it says included the risk of broad license revocation.

The short answer: did the FCC force EchoStar to sell?
Not literally, based on the available record. EchoStar said the FCC viewed its spectrum as underused, considered continued ownership inconsistent with the public interest, and required a material spectrum sale to avoid broad license revocation. That is the basis for the headline that EchoStar sold spectrum after the FCC threatened to revoke licenses.
But a later court filing stated that neither the FCC nor a court issued an order requiring EchoStar to divest its licenses or enter the SpaceX and AT&T transactions. EchoStar also described its decision as a response to “severe uncertainty” involving possible investigations and forfeitures.

Accordingly, the most accurate summary is: EchoStar sold spectrum under substantial regulatory pressure, according to its filings, but the FCC did not directly seize the licenses or issue a publicly identified order commanding the sale. (EchoStar filing; court filing; Department of Justice filing)
What EchoStar agreed to sell
The initial SpaceX agreement covered rights and licenses associated with 50 MHz of spectrum:
| Band | Frequencies covered | Role in the transaction |
|---|---|---|
| AWS-4 | 2000–2020 MHz and 2180–2200 MHz | Initial 50 MHz transaction |
| H-Block | 1915–1920 MHz and 1995–2000 MHz | |
| AWS-3 | 1695–1710 MHz | Later addition of up to 15 MHz of unpaired spectrum |
The transaction was broader than a simple transfer of domestic FCC licenses. It also included associated international authorizations, filings, concessions, licenses, rights, priorities and certain related assets.

| Component | Announced amount |
|---|---|
| Initial AWS-4 and H-Block transaction | Approximately $17 billion |
| Cash portion of the initial transaction | Up to $8.5 billion |
| SpaceX stock portion of the initial transaction | Up to $8.5 billion |
| Additional unpaired AWS-3 spectrum | Approximately $2.6 billion in SpaceX stock |
| Total amended SpaceX transaction | Approximately $20 billion |
| SpaceX debt-interest funding | Approximately $2 billion through November 2027 |
The later AWS-3 addition was announced in November 2025 and was described as payable in SpaceX stock. The amended transaction therefore included up to approximately $11 billion in SpaceX stock at the agreed valuation. That valuation was reported as $212 per share, subject to the agreement’s terms and adjustments.
The approximately $2 billion interest-support arrangement should not be counted as additional spectrum purchase price. It is separate funding intended to support EchoStar’s debt-interest obligations through November 2027. Likewise, the announced value is not the same as cash already received, and the eventual economic value of stock consideration can depend on closing mechanics and valuation provisions. The dispute centered on whether EchoStar and DISH were adequately using their spectrum for mobile service and meeting related buildout obligations. SpaceX complained to the FCC that EchoStar was not making sufficient use of the spectrum. FCC Chairman Brendan Carr announced or directed an investigation into EchoStar’s spectrum utilization and compliance.
EchoStar’s filings say the company understood the FCC to be considering reversal of prior grants or broad revocation of licenses. That possibility created a serious financial and strategic risk: spectrum licenses were among EchoStar’s most valuable assets, while the company was also under pressure to fund network deployment, service operations and debt payments.
On September 8, 2025, EchoStar publicly announced the SpaceX transaction. It later entered the separate AT&T spectrum transaction as part of a broader attempt to address the regulatory uncertainty. A September 2025 FCC-chairman letter reportedly directed staff toward concluding the investigation and finding that EchoStar’s relevant buildout and related obligations had been satisfied in view of its then-current milestones. That procedural development should not be treated as a blanket finding that EchoStar had been cleared of every contested issue.

What SpaceX gains
SpaceX gains access to additional terrestrial and mobile-satellite spectrum that it says will support a next-generation Starlink Direct to Cell constellation. The strategic benefit is not simply the number of megahertz. SpaceX can potentially combine the spectrum with its satellite manufacturing, launch capability and network operations to expand the capacity, performance and geographic reach of direct-to-device connectivity.

But the agreement does not establish specific consumer speeds, universal coverage, launch dates or performance levels. Those outcomes would depend on regulatory conditions, satellite deployment, device compatibility, network engineering and commercial execution.
What EchoStar receives beyond the sale proceeds
The transaction also included a long-term commercial relationship. Boost Mobile subscribers were expected to gain access to SpaceX’s next-generation Starlink Direct to Cell service through Boost’s cloud-native 5G core.
That does not mean every Boost customer automatically receives satellite service, that the feature is free, or that all phones and plans will qualify. The transaction materials do not establish universal availability, pricing, compatible devices, launch timing or roaming terms.
EchoStar said it would use transaction proceeds partly to retire debt and fund continuing operations and growth initiatives. SpaceX’s separate interest-support commitment was intended to help EchoStar manage approximately $2 billion of debt-interest payments through November 2027. The arrangement therefore gave EchoStar both liquidity and a commercial path to retain a role in wireless service without continuing to own and build the same nationwide spectrum-based network.

The AT&T deal was the other half of the reset
SpaceX was not EchoStar’s only major spectrum buyer. On August 26, 2025, EchoStar announced an agreement to sell AT&T its 3.45 GHz and 600 MHz licenses. The proposed AT&T transaction covered 50 MHz of nationwide spectrum and was valued at approximately $23 billion.
That deal was paired with a revised network-services arrangement intended to let Boost Mobile operate as a hybrid mobile network operator, or hybrid MNO. Boost would use its own core and outside network infrastructure, including AT&T cell sites, rather than relying exclusively on a nationwide network built from EchoStar-owned spectrum. (EchoStar’s AT&T announcement)
Together, the AT&T and SpaceX transactions represented a much larger change than a normal asset sale. EchoStar was divesting substantial spectrum while repositioning Boost around partner networks and satellite connectivity.

EchoStar filings say that after the transactions, the company terminated deployment of its 5G network and began abandonment and decommissioning for portions that would not be used in its hybrid MNO business.

For customers, that does not necessarily mean Boost Mobile was being shut down. The practical change was architectural: Boost’s service was being repositioned around a hybrid model that uses external network infrastructure, while EchoStar reduced its role as a facilities-based nationwide wireless network builder.

EchoStar said its DISH TV, Sling, Hughes and Boost operations would not be directly impacted by the transaction. Nevertheless, ownership of key spectrum and the way Boost’s wireless service is delivered were changing materially.
FCC approval is not the same as final closing
The FCC’s Wireless Telecommunications Bureau and Space Bureau issued an order granting the SpaceX/EchoStar spectrum and earth-station license assignments. The order included terms and conditions, so it should not be summarized merely as an unconditional green light. (FCC order)
Readers should distinguish four separate milestones:
- Agreement announced: EchoStar and SpaceX signed the initial transaction in September 2025 and later amended it to add AWS-3 spectrum.
- FCC approval granted: The FCC approved the assignment applications on May 12, 2026.
- Trust transfer completed: EchoStar’s structure contemplated transferring licenses to Spectrum Business Trust 2025-1 before the trust transferred them to SpaceX.
- Final acquisition closed: EchoStar’s May 2026 filing described the final SpaceX acquisition closing as expected around November 30, 2027, unless SpaceX elected to close earlier.
Customary closing conditions and other approvals, including Department of Justice approvals, were also relevant. Therefore, it is safer to say SpaceX agreed to acquire the spectrum or that the amended transaction was valued at approximately $20 billion than to say SpaceX already owned all of it.
Why the transaction matters for competition and investors
The deal presents a difficult policy trade-off.
- Potential efficiency: Spectrum that regulators considered underused may move to a company with a credible satellite-network deployment plan.
- More direct-to-device capacity: SpaceX may gain additional resources for Starlink’s mobile-satellite strategy.
- Less terrestrial competition: EchoStar’s retreat reduces the number of independent companies attempting to build a nationwide wireless network.
- Greater concentration: Valuable spectrum moves toward two large buyers, AT&T and SpaceX, raising questions about market power and future access.
- Operational disruption: Network shutdowns, vendor obligations and decommissioning can affect smaller carriers, creditors and other business partners.
For investors and creditors, the headline purchase price should not be viewed as a simple cash windfall. The amended consideration included substantial SpaceX stock, the transaction had staged closing mechanics, and EchoStar faced continuing debt and operating obligations. EchoStar’s financial pressure also predated and extended beyond the FCC dispute; the investigation was one factor in a broader balance-sheet and business-model crisis.
EchoStar’s 2025 annual-report materials listed major debt maturities in 2026, while its filings connected the spectrum decisions with network deployment, interest payments and restructuring risks. The value of the transaction to stakeholders therefore depends on more than the stated $20 billion: timing, the value of stock received, debt retirement, continuing operating costs and the success of the hybrid wireless model all matter.
