Short answer: The U.S. Department of Justice sued on January 30, 2025, to stop Hewlett Packard Enterprise from acquiring Juniper Networks, arguing that the combination would eliminate a major competitor in enterprise wireless networking. The case did not reach trial. HPE and Juniper settled with the DOJ in June 2025, HPE acquired Juniper on July 2, 2025, and the latest official filing located said the court’s final Tunney Act review remained under advisement after a March 23, 2026 hearing.
The dispute was not about every part of networking. Its central issue was whether combining HPE Aruba Networking and Juniper Mist would reduce competition in the U.S. enterprise wireless local-area-network, or WLAN, market.

1. The DOJ’s concern was enterprise WLAN—not all networking
HPE and Juniper announced their all-cash merger agreement on January 9, 2024. The deal was widely described as being worth approximately $14 billion, with HPE agreeing to pay $40 per Juniper share.
On January 30, 2025, the DOJ filed suit in the U.S. District Court for the Northern District of California under Section 7 of the Clayton Act, 15 U.S.C. § 18. The government alleged that the acquisition was likely to substantially lessen competition in enterprise-grade WLAN products and services. The DOJ’s case materials identify the complaint and subsequent settlement documents.

That market is narrower than the entire networking industry. It covers enterprise wireless equipment and related software, including cloud-managed WLAN platforms. HPE and Juniper also compete or overlap across broader areas such as switching, routing, security, SD-WAN, data-center networking, automation and AI-driven infrastructure. The companies presented the transaction as a broad platform combination, while the DOJ’s lawsuit focused primarily on enterprise WLAN competition.
That distinction matters financially and strategically. A large acquisition can be attractive because it adds scale across multiple product categories, but antitrust analysis may focus on a much smaller market where the merging companies are especially close substitutes.
2. The government said Aruba and Mist were close rivals
The DOJ alleged that HPE and Juniper were the second- and third-largest providers of enterprise-grade WLAN solutions in the United States, behind Cisco. According to the complaint, combining the businesses with Cisco’s existing position would leave the two largest providers controlling more than 70% of the relevant market.

- HPE Aruba Networking, HPE’s enterprise networking business; and
- Juniper Mist, Juniper’s cloud-managed, AI-oriented networking platform.
The DOJ argued that losing this head-to-head rivalry could lead to higher prices, less aggressive discounting, fewer choices and slower innovation. Those are allegations in the complaint, not established findings about what would have happened absent the settlement.
Government filings and industry coverage also pointed to HPE internal pricing and sales materials. The DOJ said those materials showed HPE responding to competitive pressure from Juniper Mist and Cisco Meraki through discounts and product development. In the government’s view, those documents supported the argument that Juniper was not a marginal competitor but an important constraint on Aruba.

Juniper Mist was particularly significant because Juniper’s 2019 acquisition of Mist Systems helped give Juniper a software-led identity in enterprise networking. Mist’s proposition included cloud-managed WLAN administration, AI-assisted network operations, automated troubleshooting, and user and device experience analytics. Its competitive value was therefore not limited to access points and other physical hardware.

3. HPE and Juniper said the deal would create a stronger Cisco challenger
HPE and Juniper denied the DOJ’s market definition and competitive conclusions. Their defense was that customers evaluate more vendors than the DOJ recognized and frequently use competitive requests for proposals. They also argued that looking only at enterprise WLAN understated the broader choices available to networking buyers.
The companies emphasized that Cisco remained substantially larger across networking and that combining Aruba’s portfolio with Juniper’s Mist AI capabilities would give HPE more scale and breadth to compete with Cisco. They said the transaction could expand customer choice rather than reduce it.
The competing economic theories can be summarized this way:
| DOJ theory | HPE and Juniper theory |
|---|---|
| Aruba and Mist were close substitutes, so the merger would eliminate meaningful competition. | The relevant market included more vendors and broader networking purchases. |
| The combined company and Cisco would dominate enterprise WLAN. | Greater HPE scale would create a stronger alternative to Cisco. |
| Customers could face higher prices and less innovation. | Integration would combine complementary technology and increase investment capacity. |
Neither market definition should be treated as self-evidently correct. The case illustrates a recurring antitrust question: does a merger remove a close rival, or does it create a larger competitor capable of challenging an incumbent more effectively?
4. The settlement required Instant On divestiture and Mist licensing
On June 27, 2025, HPE, Juniper and the DOJ filed a proposed hold-separate stipulation and final judgment. The settlement had two principal remedies.

HPE Instant On divestiture
HPE agreed to divest its global Instant On campus and branch business. Instant On was positioned as a simpler networking offering aimed particularly at small and midsize businesses and branch environments.
Instant On should not be confused with HPE’s larger enterprise Aruba Networking platform. That product distinction became central to criticism of the settlement. Critics, including lawmakers and antitrust commentators, argued that divesting Instant On did not directly replace the enterprise WLAN competition that the DOJ said would be lost when Aruba and Mist were combined.
Mist AIOps source-code licenses
HPE also agreed to make the source code for Juniper’s Mist AIOps software used in Juniper WLAN products available to up to two approved licensees through an auction process, subject to DOJ approval.

Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →The intended logic was to preserve the possibility of an independent competitor using important Mist technology even though Juniper itself would become part of HPE. But a source-code license is not the same as recreating Juniper as a standalone vendor. A licensee would still need engineering and product-management resources, sales teams, support operations, channel relationships, brand recognition and customer trust.
For that reason, the remedy addressed technology access, but critics questioned whether it could reproduce the full competitive force of an independent Juniper Mist business. The DOJ’s proposed final judgment and competitive-impact statement describe the remedies and the government’s rationale.
5. The merger closed, but the legal review did not end there
The lawsuit did not proceed to a full trial. The court signed the stipulation on June 30, 2025, allowing the transaction to proceed to closing, and HPE completed the acquisition on July 2, 2025.

That closing should not be described simply as the DOJ “approving” the deal. The DOJ settled its challenge subject to proposed remedies; the court permitted the merger to close; and the settlement remained subject to the Tunney Act process, which requires judicial review of certain government antitrust settlements.

What the deal means for networking buyers
The acquisition does not automatically require an enterprise to replace existing infrastructure. Buyers should evaluate their own contracts, installed equipment and product roadmaps rather than infer a support or discontinuation decision from the antitrust case alone.
- Aruba customers: Assess how the combined portfolio affects overlapping products, management tools, licensing and future procurement choices.
- Juniper Mist customers: Evaluate the value of Mist’s AI-assisted operations against any integration or roadmap uncertainty and review existing support arrangements.
- Cisco customers: Reassess whether a larger HPE networking portfolio changes the economics of adding a second vendor.
- Multivendor buyers: Compare interoperability, management overhead, licensing flexibility and bargaining leverage rather than selecting a platform solely because it is now broader.
- RFP teams: Continue to consider alternatives such as Cisco Meraki, ExtremeCloud IQ, Fortinet and Ruckus alongside HPE Aruba and Juniper Mist where they fit the technical requirements.
The practical questions are whether the organization buys WLAN alone or a larger networking stack, how much it values cloud management and AI operations, and whether vendor concentration is an acceptable trade-off for integration and scale.

Partners may gain more cross-selling opportunities from a broader HPE portfolio, but product overlap can also create confusion over certifications, distribution arrangements, account ownership and positioning. The Instant On divestiture is especially relevant to partners serving small and midsize businesses and branch locations.
Partners should be prepared to explain the difference between Instant On, Aruba’s enterprise platform and Juniper Mist. They should also verify current program terms, product availability, support rules and account assignments directly with vendors or distributors rather than relying on assumptions from the merger litigation.

How precise is the $14 billion figure?
“$14 billion” is the headline value for the announced transaction. It is not identical to every measure of final consideration. HPE filings report approximately $13.4 billion in cash consideration for outstanding Juniper shares, with total consideration later reported at approximately $13.6 billion after additional transaction components.
The difference is normal in reporting large acquisitions: an advertised transaction value, a per-share purchase price and the final accounting consideration can be calculated on different bases. HPE’s SEC filing provides the reported cash-consideration detail.
The larger antitrust question
The HPE-Juniper case leaves two competing interpretations. Under the DOJ’s narrow-market view, the transaction removed an important Aruba-versus-Mist rivalry and required a remedy targeted at enterprise WLAN. Under HPE and Juniper’s broader-market view, scale was necessary to build a more credible alternative to Cisco, and other suppliers continued to constrain the merged company.
