Distributel Communications Limited announced the acquisition of Primus Telecommunications on January 19, 2021. Primus had been owned by U.S.-based Fusion Connect, so Distributel described the deal as bringing Primus under Canadian ownership. That description was accurate for the 2021 transaction, but it is not the complete current ownership story: Bell acquired Distributel in 2022 and now lists both Distributel and Primus among the brands it operates.
What Distributel announced on January 19, 2021
Distributel said it had acquired Primus Telecommunications, also identified in customer-facing materials as Primus Communications or Primus Canada. The purchase price was not disclosed. The announcement covered Primus’s Canadian residential, business and wholesale telecommunications operations, rather than every company worldwide using the Primus name.
Distributel characterized itself as 100% Canadian-owned since its founding in 1988. Primus, founded in 1997, had previously been owned by Fusion Connect, a U.S.-based communications company. The transaction therefore changed Primus’s corporate owner from Fusion Connect to Distributel.
Distributel’s announcement is available from Newswire. Contemporary coverage from MobileSyrup also reported that the price was not disclosed.

What Primus brought to the combined group
Distributel presented Primus as more than a residential internet provider. Its stated portfolio included the following:
- Residential home phone, internet, long-distance and VoIP services.
- Hosted PBX, enterprise voice and other business communications.
- Access services and IP connectivity.
- A cloud-based business phone system.
- Telemarketing Guard call-screening technology.
- Retail partnerships that gave Primus additional distribution.
Distributel said Primus also had a substantial cable footprint and longstanding experience as an early Canadian VoIP and hosted-PBX provider. These are descriptions of the businesses at the time of the announcement, not a current 2026 product catalogue.
What Distributel contributed
According to its announcement, Distributel added national residential, business and wholesale operations, its ThinkTel business-services division, SIP-trunking, Microsoft Teams-integrated unified communications, and an IP-based television service. It cited approximately 1,000 competitive local exchange carrier (CLEC) coverage areas.

“CLEC coverage areas” should not be read as 1,000 areas of physical infrastructure owned by Distributel. A telecom company may serve customers through a combination of its own facilities, wholesale access and incumbent-carrier networks. Cable footprint, fibre availability, regulated wholesale access and owned last-mile assets are different measures.
Why Distributel wanted Primus
Distributel said the acquisition would increase scale, broaden network reach and expand the products it could offer to residential, business and wholesale customers. It specifically highlighted:
- Additional cable-network coverage.
- Cloud communications and business-phone capabilities.
- Access services, connectivity and SIP products.
- Primus’s retail-partner distribution.
- More capacity to compete as fibre connectivity expanded across Canada.
The company also placed the deal in the context of Canada’s wholesale-internet regime and anticipated implementation of CRTC wholesale-rate decisions. That was Distributel’s strategic and regulatory rationale; it was not proof that every customer would receive a lower price or better service.

Scale had a competitive trade-off
A larger independent provider can spread technology, support and network costs across more customers. At the same time, an acquisition removes one independent competitor. The effect on competition depends on the relevant geography, wholesale access, pricing and the buyer’s later ownership.
What “under Canadian ownership” meant
In January 2021, the phrase referred to the transfer of Primus from U.S.-based Fusion Connect to Distributel, which described itself as Canadian-owned. It did not mean that every network used by Primus was Canadian-built or that all customer traffic necessarily stayed in Canada.

Corporate ownership, Canadian control of facilities, Canadian branding and the location of a service’s underlying network are separate questions. The 2021 announcement established the first of these, not all four.

Did Primus disappear after the acquisition?
No immediate disappearance is established by the available follow-up. Distributel’s subsequent release listings continued to identify Primus as part of the Distributel group and showed Primus-branded announcements in 2021 and 2022, including expanded Quebec internet availability and the removal of data-overage charges on some internet plans. The listings can be found at Newswire’s Distributel page.
That evidence supports a group-company relationship, not a universal customer migration. “Acquired” does not necessarily mean that every legal entity was immediately amalgamated, every plan was renamed, or every technical platform was replaced.

Distributel promoted more products, broader reach and greater value. The announcement did not publish one migration schedule or one set of changes for all customers.

A residential internet customer, a hosted-PBX business and a customer who purchased through a retail partner could therefore have had different contracts, billing arrangements and technical transitions. The acquisition announcement alone cannot answer an individual account question.

The federal consultation record discusses Bell’s acquisition of Distributel alongside other Canadian competitive-telecom transactions: Innovation, Science and Economic Development Canada. Bell’s current internet terms identify both brands as Bell-operated: current Bell Internet terms. An earlier Bell document also lists them: 2023 Bell Cable terms.
The resulting ownership chain is Fusion Connect → Primus → Distributel → Bell. That does not by itself prove that every brand, legal entity, plan or support operation has been fully consolidated. Bell’s court document refers to Primus as an entity formed following completion of the 2021 acquisition: Bell court document.
Why the deal still matters to Canadian telecom competition
The transaction illustrates a tension in the independent-ISP market. Combining two competitive providers can create a stronger challenger with more products, coverage and purchasing scale. But consolidation also reduces the number of separately owned competitors. The later Bell acquisition makes that tension more significant: the company that acquired Primus as a Canadian independent group eventually became part of a national incumbent’s portfolio.
Readers evaluating competition should therefore distinguish the 2021 ownership event from today’s market structure. Wholesale access rules, local network availability and address-specific pricing determine the practical choices at a given address.
