DIRECTV did not buy DISH. The companies announced a proposed acquisition in September 2024, with DIRECTV offering $1 for the equity of DISH DBS and agreeing to assume its net debt at closing. The transaction never closed: DIRECTV terminated the agreement effective November 22, 2024, after the required debt exchange offers were not completed by the deadline.
What DIRECTV proposed to buy for $1
The agreement covered EchoStar’s DISH DBS Corporation, which operated the DISH TV and Sling TV businesses—not all of EchoStar. DIRECTV Holdings’ SEC-filed agreement set the equity purchase price at $1 in cash, plus assumption of DISH DBS’s net debt outstanding at closing. The $1 was therefore nominal equity consideration, not the total economic cost of the proposed transaction. The transaction agreement describes its terms.

Why the debt mattered more than the headline price
The proposal paired the nominal equity payment with a complex exchange of DISH DBS notes. In the companies’ September 30, 2024 announcement, the exchange offer covered five series of notes with approximately $9.75 billion in face value. The announcement set a minimum aggregate principal reduction of $1.568 billion for a mandatory exchange mechanism. These were proposed transaction terms, not amounts ultimately transferred: the acquisition did not close. The companies’ SEC-filed announcement explains the exchange structure.

The announcement said DIRECTV could terminate if noteholders did not accept terms satisfactory to it, including if the required principal reduction was not achieved.

Why the transaction ended
The agreement required the exchange offers to be completed by the settlement date, alongside a pre-closing reorganization and required regulatory approvals. It also included antitrust-process conditions under the Hart-Scott-Rodino Act and any required Federal Communications Commission consents. Those regulatory conditions were part of the proposed deal; the available filing does not say regulators blocked it.
EchoStar’s SEC filing identifies the contractual trigger: the exchange offers were not consummated by the deadline. EchoStar said DIRECTV gave written termination notice on November 20, 2024, and the termination took effect at 11:59 p.m. Eastern Time on November 22. EchoStar also reported that neither side owed a termination fee or other payment as a result. EchoStar’s 2024 Form 10-K records the termination.

Contemporaneous Associated Press reporting said bondholders rejected an exchange that would have required them collectively to accept about $1.6 billion less debt principal. DIRECTV CEO Bill Morrow described the company’s position this way: “While we believed a combination of DirecTV and Dish would have benefited all stakeholders, we have terminated the transaction because the proposed exchange terms were necessary to protect DirecTV’s balance sheet and our operational flexibility.” That was DIRECTV’s stated rationale; EchoStar’s filing specifies the failed exchange-offer deadline as the termination trigger. The Associated Press report published the statement on November 22, 2024.

No. The $1 figure referred to proposed cash consideration for DISH DBS’s equity, with closing-date net debt also to be assumed. Because the debt exchange was not completed by the settlement deadline, the agreement was terminated and the acquisition never closed. DISH DBS was not acquired by DIRECTV under this transaction.
