What Bezos’s latest confirmed sale shows
Bezos’s Form 4 filed with the U.S. Securities and Exchange Commission on August 5, 2026, reports a sale on August 3 of 1,209,649 Amazon shares at a weighted average price of $286.4083. Multiplying those reported figures gives approximately $346 million in gross proceeds; the filing reports the share count and average price, not that calculated dollar total.

Why the $3 billion figure is not established
The disclosed August 3 sale calculates to about $346 million, not $3 billion. Amazon’s 2025 annual report says Bezos adopted a conditional Rule 10b5-1(c) plan covering up to 15,000,000 shares through February 26, 2027. That is the plan’s maximum permitted amount, subject to its conditions—not a report that all those shares have been sold or that a particular amount of proceeds has been received.
The reviewed filings and annual-report disclosure therefore do not substantiate a completed latest sale worth $3 billion. They do not establish whether a later transaction or filing changes that picture as of October 4, 2026.

The sale was made under a pre-existing trading plan
The August 5 Form 4 says the August 3 transaction was effected under a Rule 10b5-1 trading plan Bezos adopted on November 14, 2025. That establishes the plan’s adoption date and its connection to the reported sale; it does not explain Bezos’s personal reason for selling.

A separate Form 4 filed August 27, 2026, reports gifts of 184,943 shares on August 25 and 230,637 shares on August 26—a combined 415,580 shares. These are coded as gifts, not sales, so they should not be added to sale proceeds.
