The January 2025 story was about a possible option being considered by Chinese officials, not a sale announced by ByteDance. Axios reported that Beijing preferred TikTok to remain under ByteDance’s ownership and was weighing other possibilities if the U.S. law could not be avoided. The coverage did not establish that Musk made an offer, signed an agreement, secured financing, or was selected as a buyer. Axios’s January 14, 2025 report described the possibility; it did not report a completed transaction.

Musk may have seemed like a plausible name to discuss because he owned technology and media businesses and had a prominent relationship with the incoming Trump administration. Those circumstances help explain the speculation, but they are not evidence that he was negotiating with ByteDance or Beijing.
Why was TikTok facing a sale-or-ban deadline?
The Protecting Americans from Foreign Adversary Controlled Applications Act required ByteDance to complete a qualifying divestiture of TikTok’s U.S. operation or face restrictions on U.S. app distribution and hosting. The original deadline was January 19, 2025. This was not simply a law making it a crime for users to open the app: the restrictions targeted companies that distribute, maintain, or update it. A qualifying divestiture had to sever foreign-adversary control in practice, not merely change the name on a U.S. business entity. The statutory test addressed operational relationships, cooperation over the recommendation algorithm, and data sharing. That made control of TikTok’s technology and systems central to any transaction, alongside ownership of its U.S. business.
What did ByteDance prefer?
ByteDance and TikTok challenged the law in court rather than announcing a sale to Musk. Contemporary reporting also said ByteDance preferred to fight the legislation and might rather shut down the U.S. service than sell its proprietary recommendation algorithm. That preference matters because a buyer of U.S. business assets would not necessarily receive control of the technology that powers the app.

What did the Supreme Court decide?
On January 17, 2025, the Supreme Court upheld the challenged provisions against a First Amendment challenge, two days before the statutory deadline. These events are distinct: the law took effect, the app experienced a short shutdown, and the administration later delayed or declined enforcement while a transaction was pursued. The Supreme Court had not overturned the statute, and the temporary return of service was not itself a divestiture.

By late 2025, ByteDance had agreed to transfer control of TikTok’s U.S. operations to an investor-backed joint venture. Reports identified Oracle, Silver Lake, and Abu Dhabi-based MGX among major participants, with other investors also involved; they were not a Musk-led buyer group. The new entity, TikTok USDS Joint Venture LLC, was announced as established on January 23, 2026. ByteDance retained a 19.9% stake; American and global investors held the remaining 80.1%, according to Reuters reporting. The joint venture said it would take responsibility for U.S. user data, app operations, algorithm security, content moderation, and software assurance. TikTok’s announcement sets out the entity and its stated safeguards, while Reuters reporting describes the ownership structure.
Why wasn’t the final deal simply a Musk purchase?
The reported Musk possibility and the eventual joint venture were different scenarios. The former was an unconfirmed option attributed to Chinese officials in January 2025; the latter was a consortium-backed structure established a year later. A qualifying deal had to address not only who owned the U.S. business but also who controlled data, operations, software, and the recommendation algorithm. A straightforward purchase of advertising contracts or U.S. corporate assets would not, by itself, resolve those questions.
Does the joint venture end the dispute?
Not entirely. The administration said the arrangement met the law’s requirements, but some lawmakers called for congressional scrutiny and questioned whether ByteDance’s continuing minority stake and any ongoing operational or technological ties were compatible with the statutory standard. Reporting on the lawmakers’ concerns underscores that an ownership percentage alone does not settle the separate question of practical control.
