The court also awarded the stockholder plaintiff $1 in nominal damages. The ruling changes the trial court’s remedy; it does not mean Musk was awarded a $56 billion cash payment.
What the Delaware Supreme Court decided
In In re Tesla, Inc. Derivative Litigation, the Delaware Supreme Court reversed the Court of Chancery’s rescission remedy and restored the 2018 compensation plan. The justices described the disposition as “AFFIRMED IN PART, REVERSED IN PART.” The court’s opinion states: “We reverse the Court of Chancery’s rescission remedy and award $1 in nominal damages.”
That means the plan is no longer blocked by the trial court’s rescission order. It does not mean the Supreme Court erased every finding below: its decision addressed the remedy and gave the stockholder plaintiff nominal damages.
What the $56 billion figure means
The 2018 award was an equity compensation plan made up of stock options, not a fixed $56 billion cash payment. The options allowed Musk to buy specified Tesla shares if he met the plan’s vesting conditions. The value commonly attached to the package changes with Tesla’s share price. The Associated Press reported it as worth about $55 billion when covering the December 19, 2025 ruling; that is a reported valuation at that time, not a guaranteed cash amount.

How the options vested
The plan had 12 vesting tranches, each tied to market-capitalization and operational milestones. The market-capitalization targets started at $100 billion and increased in $50 billion increments to $650 billion. Completing a tranche entitled Musk to options for a specified number of Tesla shares.
How the case reached the appeal
The trial court rescinded the grant
A Tesla stockholder brought a derivative lawsuit challenging the 2018 grant. After a five-day trial, the Delaware Court of Chancery found that Musk exercised transaction-specific control, applied entire-fairness review, and concluded the defendants had not shown that the award was entirely fair. It also criticized disclosures to stockholders and ordered the grant rescinded.

Tesla held a second stockholder vote
Tesla later submitted the plan to stockholders again, this time with new disclosures that included the trial court’s opinion. A majority of disinterested shares voted in favor. The Court of Chancery declined to revise its judgment, and the defendants appealed. The second vote occurred before the appeal; it was not the Supreme Court’s final ruling.
The Supreme Court reversed rescission
The Supreme Court reasoned that rescission could not return the parties to their original positions after Musk had performed under the plan for years. It therefore reinstated the plan and awarded $1 in nominal damages. The sequence matters: the trial court first ordered rescission, and the Supreme Court later reversed that remedy.

What remains open on attorney fees
The Supreme Court awarded plaintiff’s counsel fees and expenses using a quantum meruit method—a measure based on the value of services—and a four-times multiplier. It directed that disputes over fees and expenses go to the Court of Chancery. The final amount, if any, set after those proceedings is not established here.

Tesla’s Form 10-Q for the quarter ended September 30, 2025, also discusses separate derivative litigation over non-employee directors’ compensation awards from 2017 to 2020. That matter involved a settlement and separate appeals concerning attorney fees and a shareholder objection; it is not Musk’s 2018 pay-package appeal.
