DayOne Files for a Nasdaq IPO: What the Preliminary Filing Confirms

DayOne has filed preliminarily for a Nasdaq IPO under DODC, but its share count, price range, proceeds and valuation are not yet disclosed.

DayOne Data Centers has filed a preliminary registration statement for a proposed Nasdaq IPO under the symbol DODC. The October 5, 2026 filing does not yet disclose the number of shares, price range, proceeds or valuation, so the $500 million figure in the earlier headline is not a confirmed offering size.

What is confirmed about the DayOne IPO?

DayOne Data Centers Limited—not GDS Holdings—is the issuer named in the preliminary Form F-1 filed with the U.S. Securities and Exchange Commission on October 5, 2026. The filing proposes American depositary shares for listing on Nasdaq under the symbol DODC. It leaves the ADS count and price range blank, so investors cannot yet calculate an offer size, expected proceeds or IPO valuation from the filing. Read the preliminary SEC filing.

A preliminary registration statement is not the same as finalized IPO terms or a completed listing. The filing establishes that DayOne has entered the registration process; it does not establish the eventual price, amount raised, timing of completion or final terms.

What does DayOne do?

DayOne is a Singapore-headquartered data-center platform incorporated in the Cayman Islands. The company says it was established as DigitalLand Holdings Limited in 2022 and renamed DayOne Data Centers Limited on January 1, 2025. Its filing describes a business operating outside the United States and China, with campuses and development activity across ten markets.

The company says it serves demand for cloud and AI infrastructure. Its preliminary filing reports 4.6 gigawatts of resources secured across ten markets and approximately 2.3 gigawatts of bookings, primarily from seven global hyperscale and leading technology customers. These are issuer-reported measures, not independently verified capacity or revenue guarantees. Secured resources and bookings are also different measures; neither should be read as equivalent to operating data-center capacity or realized sales.

How fast is revenue growing, and is DayOne profitable?

DayOne reported US$512 million in revenue and an US$81.9 million net loss for the six months ended June 30, 2026. For the six months ended June 30, 2025, it reported US$151.5 million in revenue and a US$13.5 million net loss. These figures show sharply higher revenue alongside a larger net loss; they are six-month results, not full-year totals. The F-1 contains the company’s financial statements and risk disclosures.

For an investor, growth in revenue and bookings does not by itself show that a data-center platform can fund expansion or become profitable. DayOne identifies ongoing investment needs, project execution, financing costs, customer demand and market uncertainty among the material risks in its filing. Those factors matter because building and operating infrastructure requires capital, while planned capacity and customer demand may not translate into returns on the expected schedule.

What is GDS’s connection to DayOne?

GDS Holdings is a continuing minority investor, not the company offering shares in this IPO. GDS reported completing a US$385 million partial sale of DayOne ordinary shares in the first quarter of 2026. As of April 29, 2026, GDS reported owning approximately 19.9% of DayOne. It valued its remaining stake at more than US$2.2 billion using DayOne’s Series C issue price. That is a private-round reference value, not an IPO valuation, and it does not say how many shares GDS may sell in the offering. See GDS Holdings’ first-quarter 2026 results.

Why did earlier reports say GDS was considering an IPO?

In its Q2 2025 earnings call, GDS CFO Daniel Newman said, “I think it remains the case that we target have an IPO within 18 months,” responding to a question about a broader public offering for DayOne in 2026. That was a forward-looking target at the time, not a statement of current offering terms. The October 2026 F-1 is the more relevant indication of the present stage: DayOne has filed preliminarily, while key terms remain unspecified. Read the GDS Q2 2025 earnings-call transcript.

What should investors watch next?

  • Updated registration statements: Watch for the filing to supply an ADS count, price range and further offering details.
  • Final pricing and listing: A proposed Nasdaq symbol does not mean the IPO has priced or trading has begun.
  • Use of proceeds and dilution: Review how much capital DayOne seeks, how it plans to use the proceeds and how the offering affects existing shareholders when those terms become available.
  • Operating performance and execution: Compare later financial results with the company’s bookings, expansion plans, investment needs and disclosed risks.
  • GDS’s stake: Treat GDS’s reported ownership and Series C reference value as separate from the IPO’s eventual price and any shareholder sale.
