DayOne and the $500 Million Bond Claim: What Is Confirmed and What Is Not

Available reporting does not confirm DayOne is in early talks for a $500 million bond. The closest match is a 2025 IPO report, and the later financings are loans and mezzanine debt.

As of October 9, 2026, available reporting and company announcements do not confirm that DayOne is in early talks with banks for a $500 million bond. The closest matching figure is a February 2025 Bloomberg report about a possible $500 million U.S. IPO. DayOne’s December 2025 financing of up to €1 billion was a mezzanine facility, not a bond. None of the 2026 debt reports reviewed describes a bond. DayOne has borrowed and raised a lot of money, but the individual deals are different instruments, and they should not be merged into one headline figure.

What the evidence shows about the $500 million claim

No report located as of October 9, 2026 describes DayOne holding early bank talks on a $500 million bond. The claim appears to have been formed by combining a 2025 IPO report with later financing news, which then reads as a debt deal. Keeping each transaction separate shows where the confusion comes from.

The February 2025 Bloomberg report: an IPO, not a bond

On February 11, 2025, Bloomberg reported that GDS Holdings was considering listing its international arm, DayOne, and that DayOne was in talks with banks about working on the offering. The reported size was a possible $500 million U.S. IPO. An IPO sells shares to public equity investors. A bond is debt that a company sells to bond investors and must repay with interest. The two share a bank-talks angle and a $500 million number, but they are different securities and different kinds of transactions. The report is more than a year older than the headline it is being matched to.

The December 2025 Finland facility: mezzanine financing

On December 4, 2025, DayOne announced a €500 million mezzanine financing facility, expandable to €1 billion by mutual agreement. Brookfield and an unnamed global sovereign investor provided it, and it is secured by DayOne’s Finland platform. The company described it as financing. Mezzanine debt ranks below senior secured loans and above equity, which is why it is usually priced higher than senior debt. It is not a bond sale, and the announcement does not describe bond investors or bond terms. Its euro amount should not be read as the same figure as the $500 million in the headline.

2026 borrowing and fundraising, instrument by instrument

The table below lists each transaction reported or announced in 2025 and 2026 that is connected to DayOne, with the status and source attached. Status matters: a completed loan, a lender’s announcement, an unnamed-source report and an IPO filing carry different levels of confirmation.

The Singapore and Hong Kong loans

The Singapore loan is the only completed debt transaction in the table with a lender-side announcement. DBS said the four-year green loan was for DayOne’s first Singapore data center, a planned 20 MW facility. The release said the project was expected to pioneer an on-site solid oxide fuel-cell power-generation proof of concept that explores hydrogen-based energy solutions. It is a loan, and the release does not describe a bond.

The Hong Kong figure is different in kind. The Business Times reported on August 21, 2026, citing people familiar with the matter, that DayOne was seeking a five-year loan of HK$1.86 billion for its Hong Kong data center and was in talks with DBS, OCBC and UOB. That is an unnamed-source report of a loan under negotiation. DayOne has not been reported to have confirmed its closing, and the terms may change.

The Hillhouse loan is not DayOne’s borrowing

The June 18, 2026 Business Times report concerns Hillhouse, which is an investor in DayOne, not DayOne itself. Sources said Hillhouse was in talks with banks for a roughly US$600 million loan to fund its investment in DayOne, and that part of the money could refinance earlier debt. A three-year term and a margin of 500 basis points above SOFR were described as possible terms. The report said the discussions were preliminary. Hillhouse’s borrowing should not be reported as a DayOne bond or as direct DayOne debt.

What DayOne’s SEC filing adds

The most reliable primary source for DayOne’s identity and finances is its registration statement on Form F-1, filed with the U.S. Securities and Exchange Commission on October 5, 2026 under the name DayOne Data Centers Limited. The filing says the company changed its name to DayOne Data Centers Limited on January 1, 2025. Figures in this section come from the filing unless noted otherwise, and the amounts and dates are the filing’s own.

Equity raised in 2024

The F-1 says DayOne raised US$1.9 billion through Series A and Series B equity financings during 2024. These are equity raises, not debt, and they predate the 2025 and 2026 transactions above.

Purchase commitments for data-center development

As of June 30, 2026, the F-1 reports US$4,937.3 million in unconditional purchase commitments related to data-center development. An unconditional purchase commitment is an obligation to buy goods or services, such as construction or equipment, that the company must honor regardless of other conditions. It is not a loan balance, so it should not be added to the debt figures above.

The IPO filing and the $3 billion estimate

Axios Pro Rata reported on October 6, 2026 that DayOne had filed for an IPO and estimated a possible US$3 billion raise. That number is Axios’s estimate. It is not a proceeds figure from the filing. Axios also reported first-half 2026 revenue of US$512 million and a net loss of US$77 million, compared with revenue of US$151.5 million and a net loss of US$13 million in the year-earlier period. These figures come from Axios’s newsletter reporting. For the exact filed numbers and the risk factors, the F-1 itself is the authority.

Company-reported capacity

In January 2026, DayOne announced more than US$2.0 billion of Series C financing and said it would fund expansion in Finland and Asia-Pacific. The announcement also described about 1 GW of secured customer commitments. Both figures are company-reported and have not been independently verified in the reporting reviewed.

How to check a bond claim yourself

Headlines about bank talks often compress several deals into one number. A short check before repeating a figure will usually reveal the mismatch.

  1. Identify the instrument. Decide whether the reported deal is an IPO (shares), a loan, a mezzanine facility or a bond (debt securities sold to bond investors). A figure that matches in size can still describe a different transaction.
  2. Identify the borrower or issuer. Check whether the company is the party raising money or an investor in the company is. The Hillhouse loan is an example of an investor-level borrowing.
  3. Check the source type. A company or bank announcement is a primary statement. A report citing “people familiar with the matter” is unconfirmed until a named party or filing confirms it.
  4. Check the date. Compare the report date with the headline. The February 2025 IPO report should not be read as a 2026 development.
  5. Check the currency and amount. Note whether figures are in US dollars, euros, Singapore dollars or Hong Kong dollars, and whether the reporting converted them. Do not treat a euro facility as a dollar bond.
  6. Look for filings. For a U.S.-listed issuer, the SEC’s EDGAR database holds registration statements such as the F-1 that DayOne filed. A bond or IPO that has actually been launched or priced will be accompanied by offering documents, so their absence is informative.

Applying these checks to the headline gives a clear result. The $500 million figure traces to an IPO report from 2025. The 2026 debt news involves loans, some completed and some still under negotiation, and one of them belongs to an investor rather than DayOne. If a DayOne bond is announced later, the company, a bank or a named source would be expected to say so. Until then, the bond claim remains unverified.
